Lots of recent activity to my complaints so maybe regulators really are getting closer to taking appropriate action.
Remember SEC vs Donald Brooks? I posted court records and court decision a few times. Brooks claimed no convictions within ten years which turned out to be a total falsehood. They fined him heavily, banned him from public company officer, raising capital for public companies, etc.
Mr. Benoit Laliberte in UAMA 2Q 2019 claimed he had no convictions within ten years which is also a falsehood. In fact, Mr. Benoit Laliberte was convicted on three (3) additional counts after appeal filed by AMF in Quebec. This on top of convictions on 41 counts of stock fraud, market manipulation and deceiving investors in 2008. To make matters worse Mr. Laliberte never disclosed these convictions in any public company filings as required.

UAMA MVNO not active! More fraud.
UAMA shouldn't be taking about new initiatives given their history.
Like the "crypto-currency mining campus" promoted back in fall of 2019. Nothing ever became of that.
Or, the stupid and sophomoric attempts to promote iPCS and TNW Wireless with the CRTC in Canada which went nowhere.
Now they're all excited about the MVNO opportunities, though that will take far more capital and talent than they think.
Seems they already know this though, as no signs of any development on the MVNO front. The first would be an agreement with a major facilities-based national carrier like Bell, Rogers (Shaw) or Telus. Given TNW Wireless and Benoit Laliberte and Lawry Trevor-Deutsch are persona non grata with these majors I wouldn't look for that to happen anytime soon. Wouldn't be able to muster the capital or guarantees to cement an agreement for resale.
So all this MVNO talk just more of the illusion that UAMA tries to peddle as reality.

Been a while since UAMA spoke of moving ahead as MVNO.
What progress has been made?
MVNO will end up as another UAMA illusion
Launching an MVNO won't work for UAMA.
Don't have the industry relationships.
Don't have access to the required capital. (will take $millions)
Don't have management with industry knowledge, experience and contacts to move forward.
Safe to predict an MVNO run by Benoit Laliberte will quickly FAIL!

Look back at all the BS press releases from this group.
Large Blockdome campus in Quebec promised back in 3Q 2019 and never materialized.
BS legal initiatives never went anywhere including the complaint filed in US Court (Florida) v Bitmain et al. First rejected back in early 2020 for inability of UAMA et al to prove damages. Later submissions similarly rejected by Judge.
Patent litigation has gone nowhere because they can't afford the legal costs and likely have weak case.
TNW Wireless a total failure. No working network, no subscribers, no roaming agreements and no roaming revenue. Stupid on part of Mr. Laliberte as RuralCom CEO had premium-priced roaming agreements in place and had committed sources of funding who had issued the company term sheets. So RuralCom market-ready and presumably that is why Investel, UAMA et al bought the company. Laliberte thought he'd fire RuralCom CEO and do an end run with the investors with documented interest. That went nowhere as it is apparent that Laliberte is both a crook (see The Canadian Press) and he has no knowledge or decent contacts in the Canadian or US wireless industry.
Now Benoit and Lawry (Bert & Ernie) say they have a plan to launch an MVNO. What a joke! Just more of the "illusion" and presence that UAMA may be moving ahead.
You could add "and failure is our most usual result" to the end of the first line of this post.
UAMA 1Q-2021 financials. Likely not sustainable!
Earnings not sustainable.
Look at operating expenses. Got few staff working for nothing it appears. Is that sustainable?
Don't see evidence they are paid in stock so that's all very telling in itself.
MVNO progress not stated. Maybe they've figured out they can't pursue that without serious capital and talent influx. Lawry and Benoit known nothing about wireless especially in the sales-marketing-distribution relm. So MVNO will be stalled on the starting line until they get significant capital and find talented people who actually know what they're doing.
Blockdomes still dealing with land-use and issues with local power company. No update on these issues found and no resolution. It would appear that operating the Blockdomes, is likely being done in contempt of Court Order.
The rental of Blockdomes the only signs of revenue and if the Quebec Court or the local power utility took action that could put operations and revenue at significant risk. Sound sketchy? Look back at the history of UAMA et al. Everything these guys touch seems to suddenly become compromised. Clowns? Maybe. Remember Lawry Trevor-Deutsch and Benoit Laliberte have never built a business of lasting value. Its all fluff and fakery!
At UAMA byword seems to be, "the illusion of progress is our most important product".
On regulatory AMF Cease Trade Order in Canada seems "sticky" and they aren't likely to lift it anytime soon. All same with OTC Markets? Don't know but OTC Markets "flag up" on UAMA as it has been for most of past year or so. That also seems "sticky". Why? Maybe Benoit Laliberte's past actions like failure to report his own bankruptcy status and the $47M CCAA Proceedings (bankruptcy in Canada) of Teliphone-Navigata-Westel motivate them to stay their ground. Both are clearly material information. It is believed both agencies along with the SEC and State of Florida AG are fully familiar with the fraudulent misrepresentation in Pink disclosure documents of 2019.
Wow! UAMA actually issued Pink & financials.
No surprises though.
Claiming mining revenue likely from renting old processors in Blockdomes! That's the only good news!
No mention of resolving the land-use problem which resulted in Court Order to shut-down miners so likely operating in contempt of that Order.
No wireless revenues claimed and no progress reported on stated plans to pursue MVNO.
With NO CASH the MVNO route can't be made to work and nobody in their right mind would lend or invest in a company with no proven wireless expertise.
Financials look suspicious.

If not for one-time gain on abandoned in place miners by former client (Woodland?) the loss would have been enormous.

Results will come fast though as operating an MVNO all about "Net Adds". That is how many subscribers at end of day, week and month based on new additional sign-ups minus those who cancel service or migrate to another carrier or MVNO.
Among those in the industry the average cost to acquire a new customer (a single cell phone account is $300 USD). That reflects costs of advertising, acquiring and activating cell phones, selling commissions, etc. etc. This number from a mature industry so no easy way to get around this reality.
Why is it important?
UAMA has no cash and market entry will take plenty of it. Just Google MVNOs in Canada to see who the incumbent competitors are. Many have well known household "brands" that are trusted.
UAMA enterprises have never been accused of being trustworthy!

There's evidence of fraudulent misrepresentation wherein Benoit Laliberte falsely, knowingly and with the likely intent to deceive investors and the public, claimed that he had NO convictions during the past ten (10)years in both 1Q and 2Q filings in 2019. Both the AMF (issuers of the Cease Trade Order) and OTC Markets have been made aware of this serious fraudulent misrepresentation.
There is case law which supports US convictions for this kind of behavior and if curious search SEC vs Donald Brooks (Standard Oil) in Texas. He was convicted, fined heavily and banned from holding a position in public companies.
Let's hope that the SEC, State of Florida, et al decide to prosecute Mr. Benoit Laliberte.

Is UAMA CEO legal resident of US?
Given Benoit Laliberte, UAMA CEO was convicted on 44 counts of stock fraud, market manipulation and deceiving investors in Canada. Has he legally taken up residence in Florida as suggested in some publicly filed documents. Does he have a "green card" or other visa according him the privilege of US residence or has he simply overstayed tourism access which allows most Canadians to stay in the US for slightly less than 1/2 year?
Given Mr. Laliberte's record it would not be surprising to find out that he is not a legal resident and faces deportation.

Mr. Benoit Laliberte in UAMA 2Q 2019 claimed he had no convictions within ten years which is also a falsehood. In fact, Mr. Benoit Laliberte was convicted on three (3) additional counts after appeal filed by AMF in Quebec. This on top of convictions on 41 counts of stock fraud, market manipulation and deceiving investors in 2008. To make matters worse Mr. Laliberte never disclosed these convictions in any public company filings as required.
Finally a hint of regulators caching up with UAMA fraud.

Then there was "cryptocrap" who tried to convince us that UAMA was a miner of standing. Not so and now everybody who reads this board known UAMA, Cetaq et al nothing more than a landlord. A real Canadian miner looks like Hut 8, UAMA not even on the list.
And what about "bitblack" who always made unsubstantiated claims about how UAMA value tied to Bitcoin which is a total fraud. Similar one-liners about technology or management talent. My favorite comment from "bootblack" was "this is 2021 who cares about 44 convictions back in 2009".
All of the complicit posters now clearly fraudsters in their own right.

Blockdomes has turned out to be an interesting if sophomoric experiment.
Nobody cares about "green operations" in crypto-mining unless they are referring to the real "green" returns from profitable operations. Just look at Hut 8. Wow! Helps understand how truly irrelevant UAMA is when in comes to cyrpto-currency mining.
Latest revelation is that UAMA was never a real independent miner and now nothing more than a landlord renting out old and outdated processors to smaller players. No real upside to renting.
So management and complicit posters have been trying for the past year or so to suggest a connection with cryptocurrency miners and the value Bitcoin. Obscure concept though now not remotely plausible as we find out UAMA not a real miner. The fraud with these guys has become more subtle and got to watch what they don't disclose closely.
Like Benoit Laliberte never disclosing his personal undischarged bankruptcy in Canada for over (10) years. Material information. You bet and I want to know about any public company CEO who's in bankruptcy proceedings.
Also not so small failure to provide material information on Mr. Laliberte's convictions on 44 counts of stock fraud, market manipulation and deceiving investors. Again I want to know about any public company CEO who's been convicted.
Like I said, not disclosing and withholding material information is also considered fraud.
Don't expect UAMA to succeed as an MVNO!

Competition from incumbent facilities-based carriers and new market entrant MVNOs will literally eat UAMA alive.
UAMA has no proven expertise building a wireless distribution business.
It's all about "net adds" a number all carriers and MVNOs focus on DAILY!
The BS can't get past the "net adds" number.

What does it take to launch MVNO besides capital?
1) An underlying deal with major facilities-based wireless carrier!
2) A brand? You know like "Virgin" or "Fido".
3) Differentiation. Best value, lowest price, best coverage?
4) Advertising support throughout the sales area. Direct mail, e-mail, radio-tv-print media and rinse and repeat daily.
5) Store fronts with excellent look, feel, and full line of contemporary devices. Yep! iPhone a must.
6) Warm, friendly, well trained staff of sales associates.
7)Or, could take fully on-line sales though history shows that has been tried by many and consumers have generally gone to local stores even if it means driving a half-day to get there. Not a winning strategy for a new market entrant.
8)How to gain competitive edge against a growing field? That will be a constant challenge as the more desperate players engage in a race to the bottom.
If you've read this far you may be curious about the true cost of capturing a new subscriber and you may be interested in learning the industry figures. So when you add up all the period costs of advertising, store fronts, device activation, device subsidy, customer service, etc. etc. the average cost to activate a new subscriber is in the range of $300-350 regardless of whether you're a nascent new market entrant or a well established MVNO or facilities-based carrier.
Launching a new MVNO throughout a large geographical area obviously takes capital but it also takes a talented team of proven marketing and sales personnel and administrators that know how to get the job done. Most new market entrants fail or voluntarily withdraw from the market.
I know how difficult and rewarding this can be as I built the largest MVNO in the US at the time.
UAMA has no capital. How will they launch MVNO.
UAMA still "flag-up" by OTC Markets, labeled with "Dark & Defunct" with Warning attached.
AMF in Quebec not pulling Cease Trade Order and, as they have previously convicted Benoit Laliberte, they won't be easily convinced that he has ceased the behaviour that got him charged and convicted.
I imagine both OTC and AMF and others have seen my warnings as they seem to regularly appear from this board to anyone doing a simple Google Search on either UAMA or Benoit Laliberte.
Given the huge body of evidence of fraudulent misrepresentation that surrounds Mr. Laliberte and his 44 convictions for stock fraud, market manipulation and deceiving investors it makes it nearly impossible to raise capital to turn UAMA around.
The 2020 Annual Report says they have no cash and the 1Q -2021 Report and Financials are due in a few days. My first guess is that they seek an extension though I suspect that the news for first quarter this year will be truly dismal. Oh, they'll try and make a case of the impending success of their plans to launch an MVNO though that will predictably go nowhere. You known like their "vision" of a large cryptocurrency mining campus announced in fall of 2019.
By now those who follow UAMA and the principals will recognize the BS. It's their style to create the illusion of progress.

TNW Wireless already blew-up opportunity to launch market-ready wholesale wireless carrier back in 2017, though $47M bankruptcy of Teliphone-Navigata-Westel (TNW Networks et al) likely killed that with result network fell into inoperative status sometime in 2018 and no subscriber, no roaming agreements and no revenue.
That these clowns could even give voice to launching an MVNO is a true farce. Neither Benoit or Lawry (Bert & Ernie as I like to call them) has any knowledge of the MVNO business and they will be eaten alive by competition from the incumbents and other MVNOs in a full field fight for market viability.

Who in their right mind builds without a permit? Add to that the revelation in the 2020 Annual Report that Cetaq, UAMA et al (Blockdomes) filed for creditor protection to prevent disconnection it is assumed.
UAMA now changing focus to distract from the Blockdomes debacle to wireless and the prospects of developing an MVNO business. Neither Benoit or Lawry (like to call them Bert & Ernie) have any relevant experience in wireless or in building an MVNO.
Building a MVNO will take capital. Capital to enable storefronts and places where potential subscribers can come and get a new phone activated. That will also require a stock of expensive smartphones and accessories which will also require capital. They'll need to develop a brand and advertise as they'll be up against both the well-established incumbents like Bell, Rogers and Telus and they'll face stiff competition from the established MVNOs. They'll need to sit down and negotiate terms and conditions with one or more facilities-based carriers. That likely won't go well as the $47M bankruptcy included both Telus and Bell as debtors.
So what is the probability that UAMA could succeed as an MVNO?
As someone who built the largest MVNO in the US years back I can say with great authority that UAMA is very unlikely to get off the launchpad. Building and running a successful MVNO is a highly dynamic undertaking and UAMA doesn't have the people or the money to successfully enter the market and establish their brand.
