NEW YORK, Dec. 20 - Seven Worldwide, Inc., a leading provider of marketing execution services such as creative design, photography, file building, retouching and pre-press, today announced that it has agreed to combine operations with Schawk, Inc. of Des Plaines, IL (NYSE: SGK), one of North America's leading providers of digital imaging graphics services to the consumer products and brand imaging markets.
Schawk agreed to pay $191 million, with $122.4 million in cash and $68.6 million in Schawk stock (four million shares of Schawk common stock at $17.15 per share).

Seven Worldwide, Inc. is controlled by an affiliate of funds managed by Kohlberg & Company, LLC, a private equity firm with offices in New York and California. Kohlberg affiliates acquired control of the Company in a recapitalization and buyout in 2003. The transaction is subject to approval under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 and other customary closing conditions, and it is expected to close in early 2005.

As competitors fall, AirClic is in demand

BLUE BELL - AirClic Inc. hopes to start announcing contracts this fall with many of the 20 or so companies with which it has tested its technology.
AirClic's technology links bar codes to the Internet by using mobile devices.
One likely partner is Nextel Communications, one of the country's top wireless phone companies. Nextel and AirClic have teamed up to sell a technology that helps truancy officers keep track of kids who ditch school. Already in use in Boston, AirClic and Nextel hope to expand that application to other school districts. "The technology we've developed isn't just neat technology, but it is technology that's in demand," said AirClic CEO Philip Riese. "We're converting demand into real market applications and revenue for AirClic."
The technology bubble was already bursting in January 2001 when AirClic, a wireless scanning applications company, received commitments for nearly $290 million in venture financing. AirClic saw its future developing wireless applications that used special bar codes as on-ramps to the Internet. The company launched in 1999, hoping to ride a highway to riches by linking its proprietary bar codes, known as Scanlets and SmartCodes - ID numbers that link consumers to Web content - to print ads in magazines and on billboards. But as dot-coms crashed and consumer markets didn't ripen for cell-phone applications, AirClic took a detour.
Along with its funding came a new chairman and CEO, as well as a new business model aimed at business customers, though consumer bar-code scanning applications simmer on the backburner. AirClic faces the same tough sales cycle as other emerging technology companies. Just last month, key investor Symbol Technologies Inc. - which invented the first supermarket bar code scanner - wrote down more than $47 million of its $50 million investment in AirClic. "Like a lot of the Internet excitement, it just didn't develop as quickly as we had anticipated," a Symbol spokeswoman said, noting that Symbol remains "committed" to AirClic's business model. "To AirClic, it means nothing," Riese said. "There's no impact on our business at all. Symbol continues to be massive investor."
AirClic has about $20 million remaining of the initial $72 million made available to it. It hasn't tapped another $220 million, which consists of commitments that require matching money and other provisions. Though Riese wouldn't divulge AirClic's burn rate, he said it was running at less than one-third of its peak. In January 2001, AirClic had a burn rate of about $1.6 million a month. "We treat cash as oxygen and so any significant expenditure we think very hard about because cash is a lifeline," said Lewis M. Taffer, AirClic's head of business development. AirClic anticipates becoming cash-flow breakeven at the start of next year as it lands large customers.
"I think it's still a very promising technology," said Chris Quilty, vice president of Raymond James & Associates, a securities brokerage in St. Petersburg, Fla. "The company has moved into a little bit of a hibernation phase here, but I think it could turn into a very exciting company if it could convert a couple of big customer wins."
Meantime, most of AirClic's competition has fallen to the wayside. The stock of NeoMedia Technologies and BarPoint.com trade has dwindled to pennies a share. Texas-based Digital: Convergence couldn't make its much-anticipated CueCat purr in 2000, in part, because users had to sit at their computers to use them while reading magazines and newspapers.
AirClic doesn't need a separate device because it works with any computer or mobile device. "AirClic appears to have fared best of all these companies," Quilty said. AirClic makes money when third-party users pay to use its platform; when customers' get click-throughs on SmartCodes; and when AirClic develops, deploys and supports an application.
Riese said the revenue stream isn't where the company wants it to be, but that likely will change as AirClic signs contracts. AirClic last April implemented a program in Boston to keep track of truant students as part of the Boston Public Schools' Attendance Initiative. Nextel and AirClic equipped truant officers with wireless phones to track attendance. Nextel is said to be moving closer toward other dealings with AirClic. Some 2 million of Nextel's 10 million subscribers, most of whom are high-end business customers, regularly use wireless data applications over their phones. In December, Nextel is coming out with a scanning attachment for its most popular phone.
AirClic's other target markets include the medical profession, market research and logistics. Once AirClic makes some headway in business applications, it will turn again toward the consumer market. "When we came into the company, the original notion of AirClic was almost entirely print-to-Web," Riese said. "We thought from an environmental-readiness perspective: How ready were devices, publishing companies, consumers? It's not a market that will be easy to get off the ground for some while."
