Best, Street, and Rebel, the reason why I say that and this is only my opinion, NMKT has been late always filing for the 1st Qtr. Shareholders are getting frustrated and patience is running thin. This happened last year as well. Not sure if they have some surprises instore for us shareholders (I hope the good kind of surprise)or not? Did they have that meeting with AMEX last week? Can anyone confirm if that took place or not and what is the bottom line? I have not been following lately since work has pretty much consume my time for the past week and so far it has not lite'n up. Maybe next week, my load will be lighter Sorry to hear that Rebel Trade sold his shares. I would have waited at least for 1st QTR earnings results then decide.
It has been a roller coaster ride with NMKT for the past year and this year. I hope it gets better after the China trip, and the coming dividend from DFTS. Still holding and will accumulate more when it falls below .40's. My buy order is set at .38 for another 30K. If it gets filled good if not no problem as well. Better get back to work. Regarding the other stocks that you have mentioned that is a true statement. I own several of them. ASTM and XMSR are good examples. But you are right in saying that you have to diversify. Can't put all your eggs in one basket. With regards to NMKT you just have to have patience. It is like a wine it gets better with age. Or if it is a girl it will soon turn into a lady. I know it has been frustrating and disappointing to see our share price go up and then slowly come back down. It has been this way for at least since the beginning of the year and late last year. While other stocks has some great and bad actions. I am not exactly sure what to say about NMKT. It seems like alot of shareholders are beiginning to doubt Management but I on the other hand, I am still holding and being patience. I will still give Management benefit of the doubt. I really do not think the "related party" is stupid enough to dump all his 40 million shares at one time and bring the PPS way below the current price 40"s. Why dump it now if you can get more at the dollar range? I am confident that NMKT will reach that price again sometime this year... That is what I am hoping for anyways As long as Phil is executing his plan, reaching/surpassing his projections, making big profits, and keeping his promises... I really don't see why we would not reach the dollar range again. When and if AMEX accepts NMKT I hope sooner rather than later... We might get some run up but do not expect it to go to the moon. It will also level out, at what price that is everyone's guess. Still holding and not watching the stocks as often since too busy as work lately . Jen, Thanks for the tips. I on the other hand own variety of stocks from Technology to Healthcare and Entertainment. My favorite next to NMKT is XMSR. I have own that for the longest time when it was below $4.00. My biggest mistake with that stock is I did not hold alot of it. Imagine if I have own 200K of XMSR at this current price. Boy I would be smiling all the way to the bank and more . Currently, I am holding from most to least of shares. NMKT, GTEL, MOBL, ASTM and XMSR. I got some NEOM before last week but my sell got filled when it run. I am long with NMKT, XMSR, and ASTM but of course need to play the profit game and then do it all over again. Buy low sell high whenever I get the opportunity.
I usually set a sell and buy on all of my stocks just in case I don't have time to watch. Good practice by the way... I am waiting for NMKT to run so that I can get that Gambling home in Vegas. My offer still stands to NMKT longs. My home is your home. Common Phil, make our dreams come true..

Hello Jen, Glad to be back. I have been reading some post and some deleted post as well. It looks like Matt had deleted some post that has some name calling or bad words in it. Anyway, This is only my opinion and gut feelings. Everyone should still do their own DD. I still trust Phil since he has not really disappointed me even though I did not like what was in the recent 10K. Phil has so far delivered his projections plus profit. I will give him till the end of the year and watch closely the PPS action. If it does not go to a dollar by end of the year I will reconsider my holdings then.

I believe the reason they did that was to answer investors concerns about what is being posted at Raging Bull message board. I don't think the company would just spend their time reading what is being posted on the board and decided to file an 8K regarding the posters. Not to mention some of the posters there are biased about NMKT. Some of the posters there has never posted any positive about the company and not to mention they are there 24X7 bashing the company. I would personally just watch the stock for now since there is a lot of question on the recent 10K/a/a. I am still long on this stock but I want to be more informed on what is going on. May it be moving to AMEX, and explanations on the recent 10K. If you go to the RB board, it is just a mess over there. It is bashers vs longs and mixed all the way around. Trying to get IR to have a conference call and if possible with Phil Verges CEO of NewMarket. 1Qtr earnings is around the corner and from there it is everyone's guess.

I believe the reason why we are trading this low is because of the shorts. I think we are on the SHO list for 11 days straight now right? I am sure we can name alot of companies out there that has a worst technicals / fundamentals than NMKT that are trading over a buck. In due time we will be trading in the dollar range again. Frequently Asked Questions
Recently we have received a number of questions regarding the Company's issued and outstanding share balance as well as the authorized number of shares. I will take some time below to articulate the history of the issued and outstanding as well as the authorized. In short, the issued and outstanding is currently at approximately 70 million shares and the authorized number of shares is 300 million.
NewMarket began the year at approximately 55 million shares issued and outstanding. Throughout the course of 2003, the Company has made several acquisitions as summarized above. All the above listed acquisitions have been appropriately disclosed. The Company has also orchestrated a small number of strategic financing transactions in conjunction with the above listed acquisitions. Furthermore, the Company has engaged the services of executive talent on both an employee and consulting basis to help the company execute on plans in association with the above-mentioned acquisitions. All of the acquisitions have been made with restricted securities, as have all of the financial arrangements and the executive compensation commitments.
I imagine some portion of the questions regarding the issued and outstanding may be related to a certain degree of skepticism surrounding the integrity of management teams in general that work in OTCBB listed Companies. A certain degree of skepticism is healthy and I would encourage shareholders to inquire in regard to any doubts they may have with the management of any Company where they are a shareholder or prospective shareholder.
With this in mind, I will try to address any possible concerns with the management team as it might relate to the increase in the issued and outstanding in 2004. I have not received any additional shares in 2004 nor do I anticipate receiving any shares. I have not sold any shares in 2004 nor do I anticipate selling any shares. No officers or directors of NewMarket have sold any shares in 2004 nor do I anticipate any officers or directors selling any shares in 2004.
When considering the issued and outstanding, I believe it is worthwhile to look at NewMarket in the framework of the overall OTCBB. The top 100 most actively traded issues on the OTCBB of course changes every day, however you find many of the same Companies on the list on a consistent daily basis. NewMarket regularly makes this list. The average issued and outstanding number of shares of companies usually in the top 100 approaches 1 Billion shares -- not the authorized, but the already issued and outstanding. The average share price of the usual companies on the top 100 list is $0.07 with an average 52 week high of $0.31. We are pleased that NewMarket regularly achieves recognition as one of the top 100 most actively traded , but when it comes to the top 100's issued and outstanding balances, we do not have any intention of competing in this category.
In addition to questions regarding the issued and outstanding, there also seems to be some confusion regarding the number of Authorized shares. As previously mentioned, the number of Authorized shares is 300 million. This has been the number of Authorized shares since 2002. The number of Authorized shares was increased from 100 million by a shareholder vote and board vote in conjunction with the purchase of VergeTech. The VergeTech acquisition was the landmark event initiating the current business plan articulated in this letter. Given the share price at the time of the VergeTech acquisition, the Authorized had to be increased to accommodate the potential fully diluted obligations of the Company.
For some reason, there appears to be a concern that the issued and outstanding was recently increased from 100 million shares to 300 million shares. This is not the case. I do have someone at our Company reviewing recent filings to see if we inadvertently put the old 100 million number in a recent document that might account for the confusion. If we discover such an inaccuracy, we will accordingly file an amendment.
In light of our revenue growth expectations, the increase in shares outstanding are well in line. As a reminder, NewMarket booked revenue of $2.3 Million in 2003, and we expect to finish 2004 with realized revenue of $24 Million and to achieve revenue of $75 Million in 2005. Once again, in light of possible skepticism regarding management intentions, there is no plan in place nor is there any current consideration of a plan that would call for the Company to make use of even half of the current Authorized.

I see there is alot of discussion about authorized shares from 100,000,000 to 300,000,000. I believe they NMKT had brought this up last year where they said that it has always been 300,000,000 not 100,000,000. I know most of their 10K are saying the A/S is only 100,000,000 and it also state on the OTCBB website under NMKT's profile. I found this on the 10K dated November 15, 2004.

5,000,000 common shares in exchange for services valued at $250,000, or

and fourth qarters 2002, 51 shares of the Series B preferred stock were
converted to 7,078,199 common shares. In October 2002, 60,000,000 common
shares were issued to convert $1,800,000 of the promissory note issued to
acquire the net assets of Vergetech. In October 2002, the Company completed
a 1 for 30 reverse split of its common stock, resulting in 110,648,874
shares being retired. Subsequent to the reverse split, 26 shares of the
Series B preferred stock were converted into 588,546 shares of common
stock, and 200,000 shares of common stock were issued in exchange for
services valued at $18,000, or $0.09 per share.
NC and Pete's concern are still legitimate with regards to EPS. But and again, some companies out there has worst resume / preformance than NMKT. That is the only reason why I have not sold all my holdings yet. I am an optimist and of course a gambler and will wait until 1QTR results comes out and take a very close look at the filings when it comes out. This board is getting better by the minute. What happened here? I hope Phil was not blaming Yahoo for posting the wrong financials. I am sure they did not notice the corrected 10K that NMKT had to put out 3 times . I am still a long with NMKT but their PR, 10K department or whoever is releasing their PR's need to check and double check maybe even triple check before they release it. People, shareholders, are beginning to question NMKT's professionalism, it is kind of embarrassing don’t you think? Lately, I am kind of getting disappointed with what is going on with the company’s PR department. They better shape up or they will lose a lot of shareholders. Sorry to be negative but their PR department is just not that great. On the bright side, I am glad that we are up another penny :- ) I missed the action when it went all the way up to .53. I am still holding and see what will happen this coming 1qtr. It is just around the corner. It is like gambling now… I believe that we are still in good hands.
There are a lot of other companies out there that are losing money and higher OS and no profits. At least NMKT has something to show for. Look at XYBRE that stock just went down the toilet… But I did make some money on that baby last week when it went up to the .30’ from .12. I got lucky on that one . I even post a warning about the stock yet, I bought it . I am just a gambler I guess. That is why I love Vegas so much. Maybe I should check in to gambler anonymous or something. Anyway, with the money I made from XYBRE, I will be buying more shares of NMKT. I am just timing it to get in the low and sell in the high. It seems like a lot are trying to flip NMKT for a quick buck. I am guilty as charged but most of my holdings which I purchase in the 30’s and low 40’s are still there. I have not flipped them yet. Mypointz, I agree with you but Azpete0 already sold his. I am waiting for the 1QTR report and the China trip. I am still holding quite a lot and as soon as I received my tax return I will be loading up some more if it goes down any lower than it is. Hoping to go down so I can get more When this baby bounce back up as I have said before I will be investing a property in Vegas and all the Longs are welcome to use it when they are in Sin City. Pete, I did sell when the 10K came out with the wrong numbers the 1st time it was released. The one that really made me decide to sell was the number of diluted common shares and the difference in EPS from 2003 and 2004 which I stated earlier in my post. But since 1QTR is close by I just decided to hold the rest of my shares and wait it out. Casino style? I know it is not a good example to be a gambler but and again it is only money right?! And usually, stocks go up and down everyday, every second etc... and as long as they do not go below the price I purchase the majority of my holdings I am still okay. Hoping for it to bounce back up and as long as they don't declare bunkruptcy or do illegal stuff and shut down their business. And again, time will tell. It seems like NMKT is going have a wild ride up and down and down and down and up. I will hold on for now and see what 1qtr will bring. If I do not like the earnings report or the PPS by then... then I will say goodbye for good. sell it all and look for another stock to play with. Hello All, I have read the revised or amended 10K and everythng looks okay except for the big dilution number and the Verge Tech. But that was an old on going thing. One thing that I did not like is the increased in numbers of fully diluted common shares. Over 90 million just from 2003 to 2004. Maybe that is why we are not moving up as we should be. Still holding for now and will wait for the 1st Quarter earnings. At least I am still up from my entry point. I hope you guys are still ahead of this game as well. Would hate to see any longs here losing money on this. Anyway, does anyone else have any inputs on the latest 10K. Would love to hear some feedback on this. Good luck to all and peace on earth.

Hello Street, I just glanced at it and will read tonight. Yes, it appears that there is a mistake on the numbers. That is one thing AMEX would be looking at and this mistake is going to cost NMKT. I think they should Proof Read everything they release may it be PR or 10K, 8K etc... This is embarassing. It is okay if it is just a bulletin board like this one but for something legal... :( Anyway, later tonight I will read the 10K closely after I print them out. I will get crosseyed reading it from the pc. You know, work is making me do this damn report from the business trip that I just came from. Hello All, just got back from a trip. Why are we still at this price level. Anyway, I have been reading all the post so far and to answer the most common question which is AMEX. The last time I spoke with Rick Lutz he said that the only thing that AMEX is waiting for is the 4th QTR / yearly 10K. I asked him about the PPS for the AMEX requirement and he said that we NMKT has already met that. When I asked for more detail about it he said there are some going back and forth between the company and AMEX and thus far the only thing that AMEX is waiting for is the 10K. So I hope that's it. I will be really surprise if we did not get accepted with AMEX. Unless, something IR or NMKT is not sharing with their shareholders. I just called the TA and the OS right now is 85,479,300. As long as we close at the HIGH today we should see another up day Monday. I really hope that we see green all week next week. Getting tired of going up then down again. Clouser, you may want to call IR or the TA for the current Outstanding Shares for NMKT. As far as I know it is around 84 million. Regarding taxes, I just use Turbo Tax to do mine.
