OK, since no one else seems willing to answer I will make the attempt.
Say a stock is shorted, and a group of investors hold what is believed to be more than the O/S of that particular stock. If the company gets bought out or moves to another exchange, say from pinksheets to OTC, under these two conditions before either can transpire all stock MUST be accounted for. Now since a group of investors hold more than the O/S for this company, and the MMs that have shorted it must cover their positions, (buy to even out their sells)they will buy whatever is available to do this. If the investors hold out for a higher price, then the MMs will have to pay what ever it takes to even up their books, it is just that simple.
If the investors hold the price will go up because the demand goes up. The demand being the MMs that are short needing to cover. Supply and demand, it all comes back to that.
I and some of the other longs believe this is the unique position that JPHC is in right now. The key to this is that all shares will have to be accounted for.
Even if the shorts have not shorted more that the O/S they still need to even up their books, cover, before the buyout date. Which means for every single share of stock that they've shorted they must purchase a share. That demand will cause a run in itself, how much, it depends on how high the longs are willing to hold.
JPHC Longs
I was told that the Priority for JPHC was to get the Financials out ( this was 1 Month ago), and once you saw them coming out it would be a sign of other filings to follow at a FAST PACE.
So far everything I have I have been told has come to fruit. It just has taken longer. JPHC is on their game plan, now no one can say JPHC is no complient and bash the Company.

The Fire Dept House Funds pays for the Services PPV etc, the City suppled the TV where I was.( Funny thing is when we returned from Fire calls the TV was stolen by the neighborhood thugs LOL we had to chain it down) Now it could be a different set up in your area. A vote is taken by the Fire House members if they want the service then it is OK'ed by the House Captain and then the service is supplied by the Carrier.
Where I was they had every channel you could think of, yep everyone and the members paid for it out of the House Fund.
Now I was a Paid Dept maybe Volunteers are different.
same53: Sorry I can't post a private reply but thats good info. I know most of the BC's very well as well as the Engine Lt's. The city pays for cable for both Police and Fire but I don't know if they would pay for "extras".

I was a Captain for a major City in CT, Fire Supression.
Each Fire House has a house fund where each member contributes a set amount for sevices.
This House Fund has one FD member who collects the dues from all members and pays the Bills.
The House Captain gives the final say so as to what is allowed in the FireHouse ( usually he goes along with the Majority Rule)
So the person to approach is the Fire Member who runs the House Fund in each Fire House, he will in turn spread the word and ask all the Firefighters to write e-mails to their carrier for the TFN Program.
All stations from my experience have Cable TV, and sometimes multiple.
As far as where I was a Fire Captain in Hartford there are to many negatives in that deparment for a variety of reasons.

Hello Fighters: So I've been talking TFN up at work and one of the guys approached me about it. He represents our department by boxing at Police Protective Association fights in the metro area and when he heard about TFN he was stoked!! Won't leave me alone about it now! I told him to pass the word around the boxing circles in the Denver area to get the word out. We need this in the US!! If the CD was uses as an instrument to grow the Company this is positive. I would worry if it were an investment service banker like Cornell supplying the money, that is Death Spiral Financ for sure.
Also I agree that the CEO really keeps BKMP shareholders informed a lot more that other pink stocks as you state.
This CEO has to run a Company not answer messages all day. IMO RULiguid, Rascia, Analy, Dave and some other posters supply us the details we need about BKMP through their DD they have done.

Just my point of view:
I just had to vent a little about the flow of this board over the past two or so months. We as a group have seen more flip-flopping than the 2004 presidential elections. Its a gem...its a dog...its a gem...its a dog. Back and forth we go. Bottom line is:
1. Regardless of what some people (cow boy) try to say on this board, the level of disclosure from BKMP is more than the average sub pinkie. A K filing is not common place at these levels.
2. Death spiral financing can destroy a company..TRUE. However, there is no proof here that this is the case with the CD. Furthermore, it is foolish to rip a company at this stage for using equity to grow. It was a strategic move to enter a new, young market that has similar demographics to TFN.
3. Many people wait several years for S&P 500 companies to turn around operations and boost their stock price by 40%. That is considered a solid investment. 40% over two years!!! That is holding up your capital for 24 months to gain a 40% return!! I am repeating this because many people here are forgetting that even if this stock falls far short of its true potential, we can still easily realize gains of 100% to 500%, and most of us would still be dissapointed. In a relatively short period of time, we have the opportunity to realize very high rates of return. Of course we have a larger risk burden to bear, but if you do your due diligence you should be comfortable with your investment whether it is a blue chip or pinkie. Nothing is a sure thing.
4. The constant bashing going on between our own (mainly due to frustration) is not good for anybody. This website harnesses alot of investor traffic, and many potential longs that pass thru our board can easily be scared away by our own insecurities.
5. We must stop expecting news to come a set times. This only breeds hype, which brings in more traffic and increased expectations, and ultimately ends in dissapointment and loss of credibility. BKMP suffers for hype that we create. Lets see what happens during the spring time and let nature take its course. A US deal is most likely in the works at this point. Don't you think management seems the same potential that we see?? Just takes time. Alot of red tape to clear.
Our day will come, but until then, lets relax.

IGNORE THEM ...learn how professional Bashers are paid: When you REPLY to Bashers you give them an opportunity to earn appox. 5-7 dollars. The service agreement they enter into with their employer states their messages will be monitored for content, profanity, lies, etc. but Overseers and the like don't have the time to check all their Bashers messages. Only occasional spot checks are done. Those who manage the Basher will generally read the headlines to see if a Basher is replying to other posters by name. That tells them the Basher isn't just "posting blindly" or repeating the same message over and over since they won't pay for those.(True to form a Basher will put the bite on anyone, even their unscrupulous employer). A Basher will attempt to milk three to five replies per post at one to two dollars each. This way the Basher spreads negative influence to as many stockholders as possible. A Basher will create this discussion thread because it takes less time reading more messages than is necessary. This ultimately allows the Basher more time to post and make money. In general, NEVER ENGAGE A BASHER. Make them read all the posts and think up ways to enter the discussion. NEVER ENGAGE A BASHER; if you do so then YOU BECOME THE BASHER,S AID! If you feel compelled to challenge a Basher do so without mentioning his/her true alias in your response. This will make it hard for the Basher to use your post as a revenue stream. Read the news, do your own homework and make your own decisions. Get real time quotes and follow the stock for a couple of weeks. Due Diligence is key here. Know that there will be a time when the stock runs up which will be followed followed by the Bashers and those that missed the boat. The Bashers will trash the stock by saying such things as "it's a Pump and Dump" and "the company is lying" and deceiving. There goal is to scare off newbies and potential new investors by "shaking" you out of your shares. Take the time to confirm your DD ,trust your own judgement and believe in yourself, pick your point of return or loss and live with it. Don't listen to hype or Bashers trust your own judgement. Live by the rules you have created .

It is my Understanding, if the Pink sheet Companies will now have to be reported on the SHO List as to the amount of the Short Posistion held it is a huge gain for all in the Marketplace except the Crooked MM's and Security Firms who abuse this practice.

I understand everyones frustration but you can see that Macro, VXBX are real Companies and Macro takes in 12 Million a year in revenues. We now ended the first Quarter and I am sure it is more Revenue now.

IMO don't expect any
PR's from JPHC until things are finalized with the Buyout or Merger. There is alot of legal stuff to do for Companies that are in Talks to merge or be bought out.
A Company is not going to tell you something in the form of a PR while they are in negotiations to jeopardize the deal.

I always read 100 posts of a company, I am thinking of putting my money into.This way I could determine who the real longs are and who the shorts are and how many aliases they have.So yes I have read posts by all of you.
As far as the negotiations,and this is only an educated guess,is there finished.
If I were representing JPHC,I would never let them dilute the company by 1,000,000,000 shares unless I had something in writing that this was a done deal.
The time now is spent documenting everything that has been agreed upon and filings with the SEC.
Some people think you just hand over the keys to the other guy and he gives you the money.LOL Wish it would be that easy.
The truth of the matter is the poeple representing the banks and the Title Company.That's the company who takes responsibility that everything JPHC says is in fact true, is the ones who will decide when this will close.
The title company is a company that insured the fact that the new buyer is getting what he thinks hes getting.They can be sued if their wrong and it costs the new buyer additional monies once he takes over.So this takes time.
Had I thought the negotiations weren't going well,I would have put up a red flag for you guys,whether you listen to it or not,is your choice.But there were times when I was learning, that I would have liked someone to tell me something that doesn't look right.As far as I could see it is just a matter of time now.One other significant detail is,it is to the benefit of the new buyer to close at the end of a month,rather than the beginning.He will skip one months payments by closing the last week of the month.

APRIL 02, 2006 (IDG NEWS SERVICE) - Alcatel SA and Lucent Technologies Inc. have reached a definitive agreement to merge, the two companies said Sunday.
The merger stands to create a networking giant with revenue of $25 billion, based on 2005 financial results, and a strong presence in both North America and Europe.
"We are very excited about this combination," said Patricia Russo, chairman and CEO of Lucent, in a conference call. "We see this as opportunity to create a clear, competitive advantage in the marketplace."
The announcement comes a week after the two companies said they were talking about a merger. Analysts speculated that growing competition from Chinese networking vendors such Huawei Technologies Co. and ZTE Corp. had pushed Alcatel and Lucent to consider a union.
"Now seems to be the optimal time because this combination gives both companies a time-to-market advantage in a market that is changing quickly," said Serge Tchuruk, chairman and CEO of Alcatel in the conference call.
Geographically, the companies are a good fit, said the executives. Alcatel made about half of its sales in Europe in 2005, while Lucent made about two-thirds of its sales in North America. Combined, the new company would have made 35% of sales in Europe, 34% in North America and 31% in the rest of the world.
The company expects the combination will bring with it annual pretax cost savings of around $1.6 billion per year by the third year of operations, said Russo.
About 10% of the combined company's workforce, which stood at about 88,000 at the beginning of the year, will likely lose their jobs as a result of the merger, she said.
Under the terms of the agreement, Lucent shareholders will receive 0.1952 of an American Depositary Share representing ordinary shares of Alcatel for every common share of Lucent that they own, the companies said in a statement. After the merger, Alcatel shareholders will hold about 60% of the new company, with Lucent shareholders accounting for the remaining 40%.
The new company will be based in Paris and be headed by Lucent's Russo. The board of directors will consist of Russo, Alcatel's Tchuruk, five other people from each company and two independent European directors.
Also planned is a separate company to handle Lucent's business with the U.S. government. The company will be managed by a three-person board made up from U.S. citizens acceptable to the government, said Russo.
The merger has been agreed to by the board of directors of both companies but still requires approval from shareholders and regulatory authorities. The companies said they anticipate the deal will close in six months to a year.
The two companies have been close to merger before.
"Five years ago, we went a very long way to get this done and discussion broke in the last minutes," said Tchuruk.
The companies never disclosed the exact reason why the talks failed -- although reports at the time suggested the talks failed because Lucent had insisted on a merger of equals, with both sides having an equal number of representatives on the combined company's board of directors -- something that was agreed to with today's deal.

I have been doing quite a bit of research this past week to identify methodologies used to determine valuation and buyout price correlations. A valuation of a company may be initiated for a variety of reasons. Most commonly they are used to show the strength of a company for future debt repayment on loans, to acquire better financing of loans, and to show value for potential buyer/merger/acquisition possibilities. What I have typically found is a company with revs (EBITDA) in excess of $5m are valued at 60% - 90% of ACTUAL asset value, which is an agreed upon value by the seller/buyer for takeover/merger considerations. Once that value is agreed upon by both buyer and seller, the process begins to determine sell/buy price. The average sell/buy price is somewhere between 2 - 8 times valuation of the company. The reason for such a wide potential for the asset valuation, and valuation multiple used is due to the demands of the marketplace for the product offered, expanded future product offerings, and the potential to increase revenues going forward. Quite often a business with little chance of agressive growth (revs and expansion) without a large capital investment, will sell for 2 - 3 times valuation, with a low % assessed value. Whereas a business with the potential to greatly expand it's rev base and/or business base may command a price of 4 - 8 times it's agreed upon valuation. Also, in a merger situation where two companies combine assets to create one new entity, the synergistic values of both companies will come in to play for the exit (post buyout/merger) value of the new company. This can in effect cause the value of the newly created company to be worth more than the combined assets of the two pre-merger/buyout companies. This is typically the case when two like companies combine and are able to reduce overhead while increasing customer/revenue base. The future potential of the "new" company is generally taken into consideration by both sides when negotiations for the sell price are discussed. The capital investments required to unify the companies are likewise taken into consideration, but to a lesser extent. This is due to the corporate direction, and additional capital outlay above reasonable expectations the buyer may choose to take once the deal has been closed. Relate it to buying a car or house....objective value is assumed ...buyer lowballs...points out negatives...seller highballs...points out positives...sell/buy price is reasonably close to assumed value...financing is arranged.
We all have REASONABLE expectations of the numbers....play and have some fun.

an EXAMPLE:
assessed value = $15m
agreed valuation 75% = $11.25m
agreed multiple = 4.5
sell/buy price = 4.5 x $11.25m = $50.625m
fees = 3% = ~$1.5m
actual sell/buy price = ~$49.1m
O/S = ~6b
buyout pps = $49.1m/~6b = ~$.0081

Good day everyone!
I recon we are in for a very interesting week with JPHC. Heres my thoughts in the matter, and please , nobody take offence to what i say.
I dont think most people realize how much money MM's can make out of a stock in one day. But for sure they will make in a day on a stock what any of us would hope to make in a year.
Stock manipulation can be a very subtle science. Combination of bashing , pumping , price freezing , price crashing , price jacking etc etc.
Ive seen a post claiming that JPHC's assesment would be better than .004 , but Ive seen so many since that seem to indicate the writer thinks thats about as high as its going to go.
Consequently, if I was market manipulating , caught short and faceing a run , thats as high as I'd let it run, as theres no stopping it till then, but at .004 I'd be pulling out all guns to stop it climbing further.
So, says me, at .004 we will see tick down sells of 100 shares and other curiosities across the charts. And boy o boy are we going to cop a load of bashers. Many of our constant writers, who have over a period of time, become reasonably accepted and read , will begin saying ever so slightly negative things which are designed to erode a longs confidence. And we will see a host of new writers showering us with all sorts of missinformation and abuse.
The Iggy lists will grow fat this week.
I would be thinking that we will see somewhere between 2.5 and 4 cents as a real possibility , perhaps even 5. It really depends on whos buying who. But theres no doubt for me that we are going past 2cents. No doubt also that the market making malitia will do everything in their power to stop it too.
One must remember that come the buyout , all stocks must be accounted for. Anybody short has got to cover, no alternative. So , for a change we may be able to force the MM's to buy at our price enstead of we theirs.

People need to understand the following......
Let's say the buyout of JPHC falls flat on it's face. You still have the Evans & Evans evaluation that states JPHC is worth at least .004 a share. The evaluation itself gives JPHC their long awaited financials that allows them to be current and ready to move to the OTCBB. So, once the confirmed evaluation is out, JPHC will be priced at least in the .004 range. And all this is without the buyout. But the buyout still should happen. Maybe next week, maybe two, or maybe even 6 months from now. But when the buyout does happen, expect Livestar to spin off with dividends that shorts will be forced to pay from their own pockets. Would suck to be short when this happens.

Averagejoe and Rinder answered your questions well. You must first understand we have been through these same type of basher posts for several months now.
It has gotten better but I knew someone would eventually show up to try and discredit my posts on my DD that took a long time to do.
First if you read my DD you will see that Macro, VOXBOX, LIVESTAR and JUPITER are real companies not B/S made up stuff.
You will also see I put the recent Filings on the Restricted Shares issued JPHC Management. There is nothing to hide here.
Question to you, if you were the CEO of a Company and you had a chance to sell your Company to another Company would you not be entiled to lets say take care of yourself the management along with Shareholders.
Well thats what they are doing and IMO it is positive, as far as I know a lot of work has been put into making this deal go through by the CEO, hours, attorneys, meetings, auditors and so on.
The other link this poster talks about is from June of 2005, a lot of positive things have transpired with JPHC since then.
