More precisely, AAPT is exempt from registering in Kansas as a foreign corporation because it engages in “interstate commerce” (which is commonly defined as “the buying and selling of products and services across state borders”).
"K.S.A.17-7303: Same; doing business in Kansas; classification of activities. (a) Activities of a foreign corporation which do not constitute doing business within the meaning of K.S.A. 17-7301, and amendments thereto, include:
(10) transacting business in interstate commerce.”
As Giant Eagle has their own distribution centers, then it is apparent that the upcoming initial Pawtizer release through Central Pet Distribution, shall be with another large retail stores vendor.
http://careers.gianteagle.com/Article.aspx?cntid=196529
Giant Eagle …”also operates 168 fuel station/convenience stores under the GetGo banner.” This could well be AAPT’s “foot-in-the door” to this segment of the retail foods marketplace.

All American Pet Company, Inc. Announces Its PAWtizer™ Branded Products Will Be on the Shelves of Giant Eagle Supermarkets
LOS ANGELES, CA--(Marketwire - Nov 5, 2012) - All American Pet Company, Inc. (PINKSHEETS: AAPT) All American Pet's innovative branded line of PAWtizer™ antibacterial wipes and spray will be available on all Giant Eagle supermarket shelves within the next two weeks.
Lisa Bershan, AAPT President said, "Supermarkets offer shoppers the convenience and ease of access to tens of thousands of products in just minutes. However, getting those products onto the 36,569 supermarket store shelves can often take years. AAPT said we would take PAWtizer to the Nation's Retail Shelves -- we did! And we will!"
Giant Eagle operates 218 supermarkets in Western Pennsylvania, Ohio, West Virginia and Maryland. Giant Eagle is ranked 27th on Forbes' list of the top private U.S. companies with annual sales in excess of $9B.
Barry Schwartz, AAPT CEO added, "PAWtizer is a highly effective and safe solution to a serious problem that 45 million American households share... It has been proven that our 76.5 million dogs pick up and innocently transfer our most dangerous diseases to other family members, friends and neighbors. A million reported annual incidents do not accurately reflect the scale or scope of the "carriage & transmission" problem -- people do die from the pathogens passed by their pet and those deaths did not have to happen. We know there are as many germs on paws as there are on hands and that is why PAWtizer isn't something we can do for our dogs, PAWtizer is something everyone must do for their dogs. Keeping pets and their families well is our core business."
ABOUT: All American Pet Company produces, markets, and sells natural super-premium and premium patented wellness products under proprietary brand names specifically for dogs. WRONG ! Just more of your inaccurate statements. The 52-week pps intra-day low occurred 9 months ago, and it was before AAPT: 1) Introduced and began selling Pawtizer; 2) Opened the new Shawnee, KS DC and increased sales staff; 3) Introduced and began manufacturing of NutraBars and other new pet food products; and 4) Established new national retail distribution relationships.
Quite the contrary, as AAPT’s strategy is ”… to place our products not only in the pet sections of their chain stores, but in the baby wipe section, the general cleaning section and at every check-out.” (May 21, 2012 PR)
Not one shred of evidence provided to support your false and misleading statements about AAPT's products.
Your last comment is irrelevant for further discussion of the inaccurate statement you first made about why AAPT is giving out free pet food product samples.
In any event, here are just a few of hundreds of websites offering free samples of pet food products:
FREE Purina Pet Food Samples from Walmart

WRONG ! Many large and small retail products manufacturers have for many years, and still are currently, offering free product samples to the public.
WorldCruiser: In support of what you were told today about AAPT and CJ Foods, per my July 17, 2012 post #22086, I had spoken earlier that month with a sales representative of CJ Foods, who told me that they had produced for AAPT the pet food products that were delivered to the Food Lion markets chain in December 2010, and that they have not produced anymore food products for AAPT since that time.
He also told me that CJ Foods would do business again with AAPT; however, as CJ’s was then currently operating near full capacity with orders booked for approximately the next 6 to 8 months, they might not be able to accommodate additional new business anytime soon.
Further, as the most recent AAPT October 2012 SEC filings do not indicate any financial dispute with CJ Foods or any other pet food manufacturer, I think it is most reasonable to conclude that CJ Foods has been paid for the services previously rendered to AAPT.
KngmAz- FACTS ! - Below is a reprint of my September 28, 2012 post #34818 regarding what the USDA and FDA state about this matter:
Below is the link to the USDA fact sheet on “Food Product Dating”, which states in part:
“Is dating required by federal law?
Except for infant formula (see below), product dating is not generally required by Federal regulations. However, if a calendar date is used, it must express both the month and day of the month (and the year, in the case of shelf-stable and frozen products). If a calendar date is shown, immediately adjacent to the date must be a phrase explaining the meaning of that date such as "sell-by" or "use before."
There is no uniform or universally accepted system used for food dating in the United States. Although dating of some foods is required by more than 20 states, there are areas of the country where much of the food supply has some type of open date and other areas where almost no food is dated.”
http://www.fsis.usda.gov/Fact_Sheets/Food_Product_Dating/index.asp#10
Also, here is the link to the FDA advisory titled: “PET FOOD: THE LOWDOWN ON LABELS”, which states in part:
“Pet Food Safety and Nutrition
No matter what choice they make, consumers can take comfort in knowing that pet food is manufactured under a series of standards and regulations. These regulations require some nutrients and additives, disallow others, and stipulate certain information that must be on the label. The labels of packages and cans of commercial cat and dog food must list five pieces of information: guaranteed analysis, nutritional adequacy statement, ingredients, feeding guidelines, and the manufacturer's name and address.”
http://www.fda.gov/AnimalVeterinary/NewsEvents/FDAVeterinarianNewsletter/ucm130726.htm#
This information was obtained from the USDA and FDA websites today.
(End of re-print of earlier post)
Point of clarification: I have in front of me two containers of Pawtizer I recently purchased (1- 100 count and 1- 45 count) and the expiration date on both containers is "05/14" (May 2014).
Your statement about the registration matter is repetitious and irrelevant. However, it is nice to see that you have finally acknowledged the Shawnee DC facility building signage, which you recently claimed was non-existent.
The information you stated about All American Pet Brands Inc. is incorrect, as per the following link to the State of Nevada website (Secretary of State- Business Entity Search), the current status of All American Pet Brands Inc. is listed as an “Active” “Domestic Corporation”:
http://nvsos.gov/sosentitysearch/CorpDetails.aspx?lx8nvq=0spwoYAAIXnezyuiE5IElQ%253d%253d&nt7=0
Again, read the PR’s. For example, per the October 17, 2012 PR:
“LOS ANGELES, CA--(Marketwire - Oct 17, 2012) - All American Pet Company, Inc. ( PINKSHEETS : AAPT ) -- All American Pet completes its initial shipment to Central Pet Distribution of its PAWtizer™ brand antibacterial wipes and spray.”
And in an earlier September 10, 2012PR, AAPT stated:
"In addition to building inventory reserves of the food bars, the company is receiving a new shipment of 200,000 PAWtizer™ units to meet demand for its successful 99.9% antibacterial dog wipes and spray."
Take a few minutes via marketwire.com to review All American Pet Company's press releases over the past two months, and you will be up to date as to the anticipated initial B & M retail distributors for AAPT's products.

Yes ! I believe in AAPT this time, and so many others, including the Kansas Department of Commerce, the City of Shawnee, KS, Central Pet Distribution, SSI, Inc. distribution company, The TJX Companies, Inc., as well as several major retail vendors, who are anticipated to soon be officially identified as WalMart, Walgreens and Duane Reade.
(Your quote) “Time to contact the Commerce Department” ?
Why they were instrumental in bringing AAPT to Kansas !

All American Pet Company selects Shawnee for operational HQ
All American Pet Company Inc. announced on April 2 its new operational headquarters, manufacturing and warehouse facility in Shawnee. The animal health and wellness company plans to add more than 80 new employees over the next five years.
Beverly Hills, Calif.,-based All American is the only public company singularly focused on pet wellness. It offers multiple products to dog owners, including: “Pawitizer,” the first alcohol free antibacterial “cleanser” for dogs; “Grrr-nola,” the first heart-healthy dry kibble and food bar with amino acids; and a variety of protein food bars and breakfast cereals for dogs. All American Pet Branded Products are endorsed and recommended by veterinarians.
All their products are promoted through their national sales teams and broker organizations nationwide. Anticipated product launch is expected for spring 2012 with supermarket, mass merchant, big box, drug, convenience, discount stores and truck stops. There are more than 250,000 retail locations nationwide that sell pet wellness products.
The facility will be located at 8310 Hedge Lane Terrace in Perimeter Park. All American evaluated buildings across the Kansas City metropolitan area. The current owner of the building, Olson Manufacturing and Distribution, plans on subdividing the building to the All American Pet Company specifications. Olson will remain in the building and will continue to supply machined and fabricated plastic products to the OEM market.
“The growth of our company necessitated a new facility in the Midwest,” said Barry Schwartz, CEO, All American. “Having visited several states and communities, we found Shawnee, Kansas, to be extremely welcoming and creative in meeting our space needs. On behalf of the board and our employees, I’d like to thank Mayor Meyers and his team for quickly and professionally responding to our needs.”
“All American Pet Company is a perfect match for Shawnee and our business environment,” said Mayor Jeff Meyers. “They are an innovative, growing company with sky-high potential in an industry that Shawnee and our region knows well: animal health. We could not be more pleased that they have chosen Shawnee for their new facility.”
“I want to welcome All-American Pet Company to Shawnee,” said Kansas Commerce Secretary Pat George. “I'm excited that Kansas was able to provide the right business environment to meet All-American's expansion plans. I look forward to the company's future growth in the state.”
The SEDC partnered with Shawnee City Council and staff, the Kansas Department of Commerce, and Dave Huston with Olson Manufacturing to assist All American Pet Company. For more information on All American Pet Company, Inc. visit www.allamericanpetcompany.com

Recent Board of Directors Meetings in Europe Open Doors to International Markets Expanding the Global Footprint for the Innovative Brands of All American Pet Company, Inc.
LOS ANGELES, CA--(Marketwire - May 29, 2012) - All American Pet Company, Inc. (OTCQB: AAPT) (PINKSHEETS: AAPT) --
Positive meetings with investors, distributors and production resources in Germany and France present opportunities for expanding US operations of AAP to international markets including Latin America and Japan. Euromonitor reports the up-trend in pet care spending has increased exponentially during the last five years. Industry media attribute the expanding world pet market to the global humanization of pets -- research shows that more than half of all dog owners sleep with their pets.
"While North America is the largest ($56.7B) pet products marketplace servicing 78 million dogs, it is also the most mature pet products market," commented Barry Schwartz, CEO, AAP. "To fully realize the potential of our innovative lines of wellness products we will look to the expanding global marketplace ($24B) to leverage our brand's unique franchise and retail footprint with the other 80 million dogs of Europe, Japan, Russia and Brazil."
Within the pet product sector, industry analysts indicate that consumer preferences for premium and super-premium all-natural products offering specific wellness benefits are seeing and will continue to see the greatest growth. Pet owners are highly receptive to products and services that replicate the ones they use themselves. AAP's new PAWtizer™ is a perfect example of a human product mirrored for pet use.
Lisa Bershan, AAP President acknowledged, "We have a super sales team and first to market innovations. Offering our lines of wellness product firsts will get us in the door and customer loyalty will certainly keep us there."

A very impressive move for AAPT. Also, this CPA firm specializes in “Manufacturing and Distribution Industries.”
http://www.hwcpa.com/about/firm_profile.php
1) If the initial intended recipient is WalMart, they may have required this arrangement.
2) It raises the possibility of yet to be announced AAPT acceptance by other Central Pet Distribution clients.
Per AAPT's September 24, 2012 PR:
"Central Pet ranks among the nation's largest distributors of pet supplies and generated $850M of the parent Company's revenue in 2011 pet product sales. The Company supplies product into the largest retailer in the world as well as the nation's two largest Pet Centers Nationwide -- PetCo and PETsMART. Collectively, Central Pet distribution distributes to over 20,000 stores nationwide through a network of 27 distribution centers."
I assume they're talking about WalMart- "largest retailer in the world".
In light of today's news, hasn't anyone re-read the September 10, 2012 and September 24, 2012 PR’s ? Wasn't the recently announced re-order for 200,000 units ? Connect the dots !
My best guess is that the Pawtizer may be going to WalMart.

http://finance.yahoo.com/news/american-pets-innovative-brands-nutrabar-131500153.html
Why start with Walgreens and Duane-Reade ? The following recent article from drugstorenews.com is self-explanatory.
Also, I don’t recall anyone having mentioned that earlier this year AAPT commenced trademark registration for BOWWOWBOOST, a “soluble vitamin powder to be mixed with water for dogs”. IMO- Like Pawtizer, the vitamins product is not a substitute for AAPT’s pet food products line-up, but it certainly is another good complement to growing a “healthy” pet care products oriented company.

"Treating furry friends to good health
OCTOBER 9, 2012 | BY BARBARA WHITE-SAX
Pet products have moved into the OTC aisles and even behind the pharmacy. Sales of pet supplies/OTC medicine are expected to reach $12.56 billion in 2012, according to the American Pet Products Association. ?
One of the key drivers of the category, according to Packaged Facts, is the growing population of pets with specialized health needs, especially senior and overweight dogs and cats.?
But OTCs aren’t just for aging pets; consumers are lavishing more preventive care on their pets from the start. “We are keeping our pets longer and are looking to keep them healthier right from the beginning,” said Bob Vetere, president of the APPA. He expects sales of health-related products, treats and food to boom in the next few years.?
Sales of remedies for joint care, behavior control and dental health have led category growth, according to Amy Malpocker, product manager of ENB Science, which manufactures True-Dose pet ?healthcare products. ?
Malpocker said that the aging pet population is driving sales of joint care products, while behavior OTCs are fueled by pet owners giving their pets OTCs to calm them during storms and to treat separation anxiety. The growth in dental care products is a result of the recent push from veterinarians to focus on good pet dental health."
http://www.drugstorenews.com/article/treating-furry-friends-good-health
What competition ? The manufacturer is marketing their bar as a “snack”.
Thanks for sharing. What I find interesting about this article is:
1) It apparently first appeared in nwi.com on October 10, 2012 at 6:30 pm.
2) It states that the Nutrabars retail for $ 1.50, yet I do not recall that AAPT PR’s have revealed any pricing information. However, we did learn about their pricing info around 4-6 weeks ago, when a shareholder attended a trade show and took photos of AAPT’s products pricing info display boards.
3) The Nutrabar wrappers displayed do not match the latest version on the Company’s website.
I may contact nwi.com next week to try to find out who had submitted this info to them.
I also wonder what 7kidsmom may think of this popping up in this particular geographic area.
Thanks highstakes, as alphadog's email to you confirms that they grossly erred with their announcement last week. Also:
1) Per The Doctors show 24-hour audience tickets reservation phone number, 323-843-3627, the show is taped only on Thursdays and Fridays.
http://www.thedoctorstv.com/main/audience_ticket_info
2) This morning I contacted The Doctors show production office- 323-956-8300, and was told that they tape 3 to 4 shows each of those two days, and that it could be weeks or even several months before a taped show is aired.
It is now self-evident why AAPT did not announce anything about the show. Assuming the Pawtizer segment is being taped today, AAPT may not even know at this time when it will be aired. And if in fact AAPT has terminated its relationship with alphadog, IMO it certainly seems justified based upon this alphadog snafu.
The link I sent you works fine.

While you’re on the subject of “poison” and searching for “multiple lawsuits from dead-dog-owners”, nobody’s perfect, not even Blue Buffalo !* Below is the link to the list of FDA pet food products “Recalls and Safety Alerts” for the period 2008-2012, which includes both large and small pet food manufacturers, no different than what we unfortunately also experience in the human food products manufacturing industry.

However, as I posted here about two weeks ago, I recently obtained a title profile of this property from a major title insurance company, which shows that the property is currently owned by the City of Shawnee. I therefore assume it is master-leased to Olson, who in turn subleases the majority of the building premises to AAPT.
highstakes- In case you were not aware of this, the trademark registration process for Pawtizer was completed on September 25, 2012. Therefore, future product runs will show an “R” on the container instead of the present “TM”.

“Brick and Mortar” is a term that has commonly been use on this MB to indicate when a product becomes available on the shelves of a retail store location. For example, Pawtizer is presently available at TJ Maxx and Marshall stores, where a number of shareholders, including myself, have recently purchased this product.
An example dictionary definition is:
“pertaining to conventional stores, businesses, etc., having physical buildings and facilities, as opposed to Internet or remote services.”
Per the following information obtained today from the City of Shawnee, KS website, the DC property is zoned for manufacturing uses:

Much of this information is repetitive from the prior annual 2010 10-K, filed July 7, 2011. IMO, the newly disclosed information seems positive, as it pertains to recent settlement of several litigation matters.
From a website I'm looking at, quotemedia.com, it is showing a purchase of 11,399 shares at .031 occurring at 15:54 (EST). Could this be your trade ?
Are you sure it's because of the stock price and not the desired number of shares ? For example, per Fidelity: "Market orders to buy 5,000 shares or more of a security trading at $1 or less are not permitted online in a retirement account."
