I agree, any educated or experienced trader won't place a block that large on the ask, unless there a run with high volume. The sell would generally be smaller blocks. If it was multiple sellers you'd never end up with a even 5 mil ask. Def. MM's blocking the ask.

Even if they are late filing, they won't go to pinks. The OTCBB has a "three strike" system before being removed from OTC. AAVG has no strikes at this point, they may get an "E" designation if late, which is removed upon correction of the issue.
I'm more concerned about the 8K Auditor issue than the 10K. I'm very pro AAVG, but if they have not secured an auditor as required, it could point to problems within the company (just my opinion).
In the email that BG got from Henry it said that they felt the 10K would get done. That would have to indicate that a new auditor was being brought on board, or the differences were being worked out with the old auditor.
The good news in the previous 8K was that the former auditor reported no discrpencies or problems to the SEC, which they are required by law to do.
Has anyone sent an email off to Henry to see where these issues stand? We are assuming quite a bit here, maybe he could answer most of the questions about the 10K and auditor issue.
Still think things looking bright for AAVG, how many pennies are out there without a little snag here and there. Our biggest problem here is we are starving for news and some are tired of waiting and selling. But, to say your holding long and then becoming discouraged after a 4 or 5 months? Is that really holding long? Not by the IRS standards!! Your short!!

I look at the OFAC like this, the same division handles all sanctions and business to do with counties with sanctions. All of the new termoil in the Middle East ie; Iran, Syria, Libya, etc has likely caused extra workload for that office. I'm sure that Cuba has become a low priority with them, especially approving a Cuban Service Provider.
It will come, just will probably be when someone realizes it's still on their desk and needs to move forward. IMO

Just for information and to make some feel better, I own some AFP*, another real company, with a new technology in which they just delivered their first device to the US Air Force. My point is, AFP* has also NOT filed their 10K as of Friday, so we shouldn't be too concerned yet....

BTW, In the 70's (aging myself) I was with the DQA Section with the 416th Bombardment Wing. I can tell you a lot about refueling equipment, but can't help much with running an airline!
I have searched all of the FAA and DOT, can't find any mention, application or approval for Commuter Air Carrier Status for Berry. Others have told me they do, but haven't seen proof.
If they do have DOT, possibility their records are sealed due to the Military Contracts and sensitive nature of their flights.
Berry may not need DOT for their business activity. Being a Charter/On-Demand Service, they can fly to any one destination with 3 flights per week. With that said, they could fly 50 or 100 flights a week if they don't fly to the same destination more than 3 times. So if Berry caters to the sports teams and entertainment industry, they would not be flying to the same destinations often in the same week. They also can't post a regular flight schedule, which they wouldn't need to do. Of course with the military they'd be allowed anything.
AAVG is looking for DOT because they want regularly scheduled flights to the Bahamas and Cuba. If DOT didn't come, it could mean a shift in the business plan to new destinations and activities, but certainly still can be a growing company.

As a government employee myself, having the approval of a
Mil Spec. piece of equipment becomes very important when making technology purchases, especially if using Federal Funding which is available and used widely by federal, state, county and local governments. This also includes Tribal Nations and Territories.
A federal/military acceptance is not only important, it's huge.
Also remember that the National Oceanic and Atmospheric Administration (NOAA)/National Weather Service and the USGS are federal agencies and are potential customers. They are just the tip of the iceburg!

Berry does not have DOT and look at their success. If there was a DOT denial, I think Avstar/Twin Air can do fine without it.
Question to anyone that can answer: Can they file without a Certified Independant Accountant? I thought OTCBB/SEC required it.
Could they have brought on another accountant without reporting it?

From what I've read, the OTCBB has a "three strike" rule. Can be late twice and recieve an "E" designation each time, which is removed upon filing. The third time the stock is removed from the OTC and a hearing is set up if the company wishes to appeal.
AAVG will not be removed for being late once, if in fact they are late.

I stopped trying to figure out the SEC, DTCC, Market Makers, NYSE and why they do the things they do a long time ago. Claim they are out to protect the investor.....or was that big business and Wall Street?

I expect that we'll see the announcement of the purchase of 3 new jumbo jets, a new control hub in Florida and the takeover of JetBlue (who BTW increased both flights and revenue last year). New second chance drilling at the oil and natural gas assests yielding millions of gallons/cubic ft per year. Finally a new aircraft manufacturing facility with military contracts!

Should be a good thing. NITE could be doing 3 different things with that 10m bid @ .0012.
1. Could actually be buy orders from investors @ .0012.
2. Could be NITE looking to pick up shares to block us with later.
3. Could be a FAKE bid, used to manipulate investors and will disappear or move at some point.

Only number 2 is really bad.
We all hate the games that MM's play, but they do serve a purpose by creating liquidity in the market, they stablize the pps and do process the trades through the DTCC. Can we imagine no MM's? Every stock would run hard, of course the market would implode!

I think quite a bit depends on how much service work thay have been doing on other planes. The Maint/Service component of Avstar could have a substantial bearing on revenue, if managed and promoted properly. Yes, the added "illegal" flights might add a little revenue, but I doubt more than a few K, considering expenses to run those few extra flights. Also must consider they are now leasing a plane, which I don't think they were doing in 2010. Just IMO.

The events of the past 4 or 5 days have just been strange. Could just be lack of volume giving MM's free rein and impatient investors selling, even maybe due to tax time (or all of the above). But, just strange that the buying that was happening here periodically, just seems to have halted.

Government does not pay on delivery, I've worked in the government all of my life. Will be likely 30-60days. There may also be a performance stipulation where the product must perform up to the Air Force specs before acceptance.

Looks like MM's are putting those newly acquired at .0030 to make a little wall or a few people are putting shares out on the ask.
At less than 110K at .0029 we should be able to be back into the 30's....

I'm sure it was just an oversight, they probably release dozens of documents a month with only a few being posted. With everything going on with sanctions in other countries now, Cuba sanctions are likely the least of their concerns right now.
The updated Cuban Service Provider list was never posted as being released on the OFAC site when it came out on March 1st.
