And therefore, our pitiful stock price will decrease by three-fold.
What profitable company is going to merge with/be acquired by a company that has never, ever made a profit?
I hope they find one.

True, a reverse or forward split in and of itself does not affect the value of a company, however, all the other things that go along with either of those significantly do affect the overall value. We have seen just such effects with our "dividends" which are in effect, forward splits. Share prices tumbled, number of shares stayed the same.
With a revere split, number of shares will more than tumble, price per share will go up for a millionth of a nanosecond, then come way down to reflect true value of our never-made-a-profit corporation.
So, reverse split must be avoided at all costs. Forward splits should be avoided as well.
Main goal should be to get some value to UBRG in some shape, form or fashion.
This can be accomplished by making lots of profit, reducing debt, avoiding r/s, reporting on time, and of course, selling the corporation to a much higher pps company.
Maybe new board of directors will be able to do something. Doesn't look like the new CFO is going to materialize. Hope Vince and Solomon will get some actual results going

More than likely, they are stockpiling that excuse to use when the next 10Q or 10K is late.

Not much wiggle room there.
And looking at the direction of the PPS over the last few years,
there isn't much hope of it going up on its own.
Now, if management were to release information on
actual results (like lots of profit, no r/s, debt reduction, buying back shares or a real sale to a high PPS company) then you'd see this thing take off like a rocket.
Its all up to management.

OK. My DD shows that unless management produces some real results, this stock isn't going anywhere, except down.
I don't want that. So I encourage management to produce large amounts of profit, avoid a reverse split, report on time, pay down debt, buy back shares and sell this company to another company with a really high PPS. All shareholders including management make piles of money.

There are several other promises to file on time.
I like your idea of punishment for not doing what they promise, but it is actually the PPS that suffers when pie in the sky dreams and plans do not come through. Excuses don't exactly attract investors.
By the way, the PPS back then was about 0.03.
Shareholder value just isn't happening.

It did when I started out, like you and a few others, I was all giddy and happy and this is gonna be great, and we'll be making money in a few months, and they just need a little time, and they've made a few mistakes, and this will take off, and back up the truck, and they'll report on time next time, and this year they'll make a profit, and soon they'll have oil and ng at the well head. . .on and on and on and on.
And just like you'd expect, after a long time I got tired of the plans and dreams and promises and excuses.
Hang around long enough, it'll get to you too. And all the other newbies that think UBRG is the best thing since Santa Claus.
Its time for real results. Or sell this thing to someone who can. Get some board members that can make this thing work for all the shareholders and management too. Please.

In fact there was a Form NT filed 8/15/2008 and the next 10Q was not filed until 3/15/2010. The next 10K was after that.
And yes, I did use Edgar as you auggested.
There are several 10K Amendments that shore up the chaos as our current management was settling in. But not the required filing. They caught those up in 2010.
Regardless, PPS is in the toilet. 99% of the shares of long, loyal shareholders are about to evaporate into thin air if r/s happens, No profits in sight, and debt is growing. There are plans and dreams. And the hoax didn't help matters.
God help us longs, cause management ain't doing it!

You may know Ken Harris and I'm sure he is a fine executive. but my impression is he only runs NDR. (Thank Goodness he does).
The upper management is the key to the PPS and avoiding a R/S.
Of course, if you (and I) really believe, the only way to profit from a R/S is to buy tens of millions of shares so you have some significant number of shares after a r/s.
I'm not doing it until I see some real progress on the plan.

R/S for any company like UBRG that has no profit is POISON.
R/S might be good in certain situations where the PPS could be sustained, but that is not the case for UBRG in the foreseeable future. When Press Releases contain actual results, which are then reflected in the bottom line, that's when the institutional and deep pocketed investors get on board. Then it goes up into the clouds.

All the cheerleading in the world ain't gonna move the PPS or avoid a r/s. Which is what is needed. Along with lots of profits, reducing debt and reporting on time. The simple thing to do would be to find a high PPS buyer, but the hoax probably put the brakes on that for awhile.
When management can actually do those, we'll be fine. And I'll cheerlead right along with you.
If management can accomplish these goals, the potential here is a whole lot better than investing in MSFT.
(I do own some of that too, by the way, thanks for the tip though).
So, I'm fine right where I'm at.
