Laptop, yes I agree and that the series B shares are to maintain control of the company. There will never be a need for proxy voting by the shareholders.
Do you agree with the number of outstanding shares as of March 31,2009 being 132,878,706 as I calculated?
VistaViewer...Please, I would be very interested in your feedback on this information also. I thank you in advance.

The Series A holders are the original equity holders of the LLLP. The conversion of the Series A shares will have the effect of diluting all other common stock shareholders. As of March 31, 2009, the Series A shares were convertible into approximately 46 million shares of common stock. The Series B shares are majority voting shares and are held by senior management. Ownership of the Series B shares assures the holders thereof a 51% voting control over the common stock of the Company. VistaViewer..The old video is of a motor running on compressed air, it therefor is a pneumatic motor.
It is interesting and fact, that Cyclone is no longer developing that 12 cylinder WHE engine shown in the video.
Thanks

My words:
Harry states they have not produced a fully operational pre-production prototype.
Harry's words: (from shareholders letter)
"important small advancements are to the goal of producing fully operational pre-production prototypes"
Conclusion:
There are no operational pre-production prototypes. If he had something ready for the public he clearly would have stated it in his letter.
feinanddandy...I am still patiently waiting for proof that you called the Transfer Agent, as you stated you did call.
I did not see your answer (proof)!

What reason was given for the quarterly report being filied late?
I agree with your guess: 96 million to 100 million shares issued by the end of this year.
It is curious , since Cyclone is an R an D company why this statement would not apply to Cyclone:
"One of the most prevalent approaches that R&D companies take is to omit the bad and exaggerate the good. "
It is clear from the very late quarterly report and the letter from the CEO that this R and D company and its licensees have not yet been able to get the engine working well enough to be sold to the public.
now invest, Here is the link you requested. I did not make up this statement:

Frazdog...At the end of last quarter the number of outstanding shares was 86,877,706. This quarter is almost over. If we add shares at the same rate as last quarter (3.2 million) we now have over 90,000,000 shares issued (90 million).

Harry said the process of invention and discovery is not always a straight line forward, so why does he continue to incorrectly predict completion times?

Cyclone should not be proud of a late quarterly report, the March 31,2009 report coming out on June 02, 2009 does not deserve Congratulations.
I see the dilution continues.
MarcAntiny..Under the new Rule 144 holding period has been reduced from one year to six months.

This might make it clearer.
It is my belief that if you buy the minimum number of PPO shares you don't pay the same price as someone who buys $500,000 worth of PPO shares, this may be what happened.
Cyclone has the right to make any deal it wants. They own the shares.
KatmasterM.... That is not a guess. I did not guess. I was told that is the cost. I can not say the name of the person who told me or he will not give me any more information. I am sure you understand why he does not want his name on the Internet. Yes you are correct call the company and they will tell you the price. Then you can tell us all.

Piecemaker thank you for your answer to my question.
I am concerned that the MHT publication... is not correct and not representing the truth as you have stated here.
quote:MHT publication.....NOT TRUE....
" Waste Heat Resources (WHR) paid $500,000 for the license to Cyclone’s 92 horsepower Mark V automotive engine,"
http://www.masshightech.com/stories/2009/05/25/weekly7-Startup-turns-waste-heat-into-industrial-power.html
-----------
Frazdog
Believe Piecemaker or Cyclone about the money not the MHT publication.
Just my opinion...
If you don't believe Cyclone is telling the truth when they say the money has been pledged not received. You should not believe anything else the company has said. Cyclone said the money was pledged. Please remember Cyclone is not responsible for Carl Mueller's statements.
--------------------
Piecemaker has CYPW recieved $500,000.00 from Waste Heat Resources ??
Look forward to your answer to the question here.
-----------------
feinanddandy:
Did you ever think of trying to reach them a second time?
"I called the transfer agent phone number and was unsuccessful at reaching them"
We know how many shares were issued last year, and this year is 5 months old, therefor without any information from this company we can conclude that if they issue shares at the same rate as last year we have over 100 million shares issued.
----------------
I do not believe that Cyclone received $500,000 from Waste Heat Resources. I believe the Press Release from Cyclone saying the money was pledged. ( another promise LOL) Not received.
Statement from Press Release:
"Waste Heat Resources then plans to integrate the customized WHE Series Cyclone engines into its proprietary heat recovery, electric power generation solution -- the WHR Energy Forge -- which it expects to start beta testing soon. Overall, WHR has pledged to Cyclone $500,000 in license fees over the following 12 months, engineering and operating assistance, and royalties from the future installations of their Energy Forge systems throughout North America".
feinanddandy...CYPW traded for .17 on Friday. I hope you saw that. You did say you were going to call the Transfer Agent. Now you say you never said you spoke to the transfer agent from CPT. What happened?
Look forward to your answer?
Do you have proof that there are not 100 million shares issued?

Many people see this as a problem.
Harry has been working on the Cyclone engine for EIGHT YEARS. The company went public in 2007. That is not why the company is classified Distressed* By the Pink Sheets. There is no good excuse for not filing a quarterly report. NONE!

Many people see this as a problem.
The problems I see with this company is the endless PR's of unfulfilled promisees of products using the Cyclone engine. The continued selling of discounted shares and the failure to meet Pink Sheets' Guidelines for Providing Adequate Current Information.
Due to the poor classification* by the Pink Sheets this company has not been able to get funding and probably won't qualify for government grants.

It sure is concerning that Cyclone is unwilling to meet Pink Sheets' Guidelines for Providing Adequate Current Information.
Cyclone has not made a video of a Cyclone powered lawn mower cutting grass! WHY????
KatmasterM....Did you ever consider the reason Cyclone is on sale and who is selling the shares you are buying? If you think day traders would play with this penny stock, you are greatly mistaken.

Frazdog...I see CYPW traded in the teens again today.
'KatmasterM...If you look at the Pinksheet site for Cyclone CYPW you will find that Cyclone has this Classification:
http://pinksheets.com/pink/quote/quote.jsp?symbol=cypw#getCompanyInfo
If you click on it (symbol) you will find this:
"Designed for companies with financial reporting problems, economic distress, or in bankruptcy to make the limited information they have publicly available. If Cyclone was a full reporting company, The quarterly report would be late and the SEC would put an E on the stock ticker symbol.....CYPWE
"E" Added To Stock Ticker Symbol
When a company that trades on the OTC Bulletin Board (OTCBB) becomes delinquent in its reporting obligations with the SEC (for example, it submits a required filing late or in an incomplete form), the letter “E” will be appended at the end of the company’s stock ticker symbol. After the “E” is added, the company is given 30 calendar days (60 calendar days for most foreign companies and domestic banks), known as the “grace period,” to become current in its reports. If the company files complete required reports during the grace period, the “E” will be removed. If the company fails to correct its deficiency, the company’s stock symbol will be removed from trading on the OTCBB.

It is a bad situation when the stockholders have to guess how many shares a company has issued.
My guess is based on these facts.
Outstanding Shares
83,016,048 as of Dec 31, 2008
Authorized Shares
1,000,000,000 as of Dec 31, 2008
"My guess is we are approaching 100 million shares issued."
Those who don't learn from history!!!
Look at the history of this company. Cyclone is not looking good, and the company is not going public with the dilution facts about the stock. My guess is we are approaching 100 million shares issued.
The press Releases and trade shows have produced nothing but a lower share price and the selling of more cheep Private Placement shares.
Frazdog, feinanddandy, Piecemaker, KatmasterM... Yes I read that post, we all agree that the Transfer Agent has been gagged. I also read a post that said the information was on the Pink Sheet site, and that Cyclone files quarterly reports. Quarterly report is not shown on the site, the last report filed was DEC 31, 2008.
I have to believe that no one on this board knows how many shares were issued last quarter and at what price they were issued.
Pink Sheet site . Click on filings.

I am sure sooner or latter we will have the information, it is just not a good thing for a company to hold back this information. IMHO

Could you please re post the number of issued shares.
Thank you

The question has not been answered. Or has it!
HOW MANY SHARES HAS CYPW ISSUED??
http://pinksheets.com/pink/quote/quote.jsp?symbol=cypw#getCompanyInfo
IF you click on Filings. You do not find a quarterly report for 2009.
If you click on Company info. You find.
SEC Reporting Status
non-SEC Reporting Company
Estimated Market Cap
$16,580,428 as of May 22, 2009
Outstanding Shares
82,902,139 as of Dec 31, 2008
I have been checking this site, and I have noticed that the Market Cap changes with the date and the share price. The Outstanding Shares remains the same as well as the date, Dec 31, 2008.
If you take the Estimated Market Cap and divide it by the closing price for the given date you will find the outstanding shares to be 82,902,139.
This would indicate that zero shares have been issued in 2009.
--------------------------
1. Is the answer to the question: zero shares have been issued in 2009?
2. Why send stockholders to the site to find that there is no quarterly report filed?
3. Why does the site say:
SEC Reporting Status
non-SEC Reporting Company
4. And who is James Landon, Dir?
Company Officers
James Landon, Dir.
Harry Schoell, President, CEO, Dir.
Frankie Fruge, COO, Dir.
Rick Simmons, Vice President
5. Why is the Transfer Agent gagged?
greasygrassca...Thank you, I said the Transfer Agent was Gagged and I said this stock would be in the teens. I hope someone will a least thank me for my accurate predictions.LOL
This is a non-reporting Pink Sheet company, The only information you get is what the company wants you to see.
'spicey...Harry has been working on this engine for 9 years*. I think he is 66 or 67 years old. The public has not seen a product. Your question ,"Is this the technology of the future??". I ask you how long can you wait??? LOL

spicey..The claims of this company about their steam engine have been many, and in my opinion unsubstantiated with a product that could show the reliability or durability or commercialization of this steam technology.
Frazdog...Of course you saw it running on steam. It is a steam engine. The problem with a steam engine is that you have to burn fuel to make the steam to run the engine. That is what we now have a fuel burning engine. This technology is not the right thing for these times.
spicey...Things you should know about Cyclone (cypw)
One billion shares authorized, between 82 million to about 100 million shares issued.
The company and its licensees have not been able to produce a product for the public.
The engine has not been independently tested.
For some unknown reason we have not had a quarterly report and the transfer agent will not tell anyone how many shares have been issued.
KatmasterM is correct their are many things we do not know about this company or motor. I suspect not all of them are good.
