The United States District Court for the Eastern District of New York (in case citations, E.D.N.Y.) is the federal district court which is notorious for illegal requests for non-disclosure.
The Powerup suit is in federal court and disclosure is prohibited and that is how courts in the NE district of NY operate.
It is unknown and that was my point. You fail to understand that fact. Whether or not it is debt or assets we do not know. SEC filings are being withheld because the Powerup Lending suit has a non-disclosure clause and any SEC filing would disclose the lawsuit and material facts related to the lawsuit.
Why did UMS LLC owe iTalk $249,313.75 Isn't that a question anyone cares about? What did UMS LLC sell to iTalk? Talk about misguided misinterpretations. Maybe UMS LLC sold 10 or 20 stores to iTalk? Maybe a few kiosks too? Maybe 1500 kiosks? Without SEC filings we don't know PERIOD! Powerup Lending wants everything to be secret...
Interpretations are misguided with no SEC filings as to who owns the new stores and who owns the leases. 5 new iTalk Lease Management offices in 5 states are some indication as to what the filings will say. Until the Powerup Lending case is over we won't know.

Powerup Lending may get control of iTalk but UMS LLC will be safe and tucked away in WY. After the Powerup case is when iTalk will be able to consolidate assets again. The Kramers play dirty as in the motion for default was immediately filed. Not a typical lender. That is what I am guessing and I agree with longs. I think it all rests on the outcome of the Powerup case. That gag order is the total worst. If somehow Kramer's massive short interest can be exposed to the judge we have a prayer if my hunch is correct
It is only by risking our persons from one hour to another that we live at all. TALK is my risk, and the ticker that every telecom company wants.

Unsure what they would do to iTalk but Powerup Lending can acquire iTalk if the price per share is low enough and they get a ruling from the court favorable to conversion of the convertible debt

Logic dictates the following:
1. There are only 11,000 short shares.
2. There is relentless argument in the short side of things.
3. 1 + 2 means there is a huge hidden short interest in TALK.
4. Hidden shorts come from NITE as evidenced in the news.
5. NITE is guilty of violating RegSho by counterfeiting shares of iTalk
What about the other 1600 stores with inventory problems? Aren't they owned by UMS?
