Does Walgreens have a Moat??
This is a important Question Warren Buffet ask's before pulling his elefantes gun's trigger for a buy-out.
Now, Steffano Pessina.. of Alliance Boots a fellow Billion-Air did not buyout Walgreens. he & KKR were intelligent enough to allow Walgreens. Co to give up its majority control of issued stock to Mr. Pessina's Investors.. to begin the Alliance Boots Buy-out offering Walgreens tendered.
At this same time of Walgreens M&A announcement(Alliance Boots) Wag had hit the economic growth wall with 65% of its revenue coming from Drugs sales... and this Rx revenue dollars was decreasing under the Was-sin leaderships/plans.
And as is reported customer traffic is declining..
In my Judgement, Wall-street had advised Walgreens after the Esrx screw up to seek expansion growth opportunities outside of the US to guarantee it's Institutional investor that Wags revenue model would succeed in a U.S.A. PBM controlled Insurance risk model.
What I took out of the Chemist and Druggist's article is that Walgreens president(Crawford) of Pharmacy service is a follower of change, and not the leader that will control Alliance Boots and its Druggist team..
*CVS will soon discontinue tabacco sales..
Mr. Pessina, stated Boots will never sell Tabacco!!!
As you can see from Walgreens financial statements on hand Cash assets have decreased and increasing cash flow has become its priority (Ref. ABC 10 yr. contract)..
As Mr. Pessina was quoted as saying.. Supermarkets are using Rx Drugs as a loss leaded to increase foot fall.
Crawford stated.. outcomes are the issue not filling pills.. LOL, I said this 3 years ago..
And further more Crawford does not understand what being a Wholesale medical supplier is about!!!
Walgreens now in some states are selling Milk below cost..
and Was-sins response to this is to market its Sushi plan of community clinic's with a very expensive Nurse Practitioner..

2013 The Shopping Experience:
I understand that what I observe is of little Importance to this Investment board.
However the Facts are the Facts, and Brick and Mortar retail sales are being impacted by online sales, as noted with Christmas sales in the U.S & U.K.
Yet there are certain products like food & beverages that always will be purchased at a store with Touch, smell and visual observation .
Or medical services that cannot be done in the online sales channel, like a Physical, Medical Procedure, Physical Therapy, Occupational Therapy or physical manipulation of a product or many other services Provided in the Healthcare Industry.
Unfortunate as it sounds just picking-up a refilled maintenance medication can be done in a more cost effective manner as you noted with your smart app.
Beauty Products have also been impacted by online price competition.
The Market distribution channel is Changing and with the XY&Z generation as they look for the best value and price,
differentiation is the touch point of there loyalty.
I too have observed these folks shopping with there smart phones,
and to become relevant to these guests, a business must provide a service that is a destination for their needs.
That is my Agenda.

Big.Yank, your friend at RAD has done a very good job in turning around Rite Aids customer counts and image, in this growing competitive space.
The personal competitive shopping experience has its limitations as you don't see what is behind the Curtain, as in Rita Aids case it was a financial mess loosing customers and market share.

The J.P. Morgan California presentation was a eye opener for me in the grab of Rx customers by the Supermarkets.
Out of the 4 Medicare Part D payers Walgreens presented, they had a 21.4% market share of Rx fills and the food stores had the second largest share at 17.3%.
That is quite a growth story from the old days when Drug Stores, would locate next to a Food store in a non-compete relationship.
It appears that destination shopping is cutting into convenience.

I sounds like you where at Burger King or McDonalds, you are receiving a medication that that can have long term serious medical issues.. As in todays FDA announcement on a control with liver toxicity issues.

The second part is the leverage that can be extended with off balance sheet financing, as had occurred with CIV's by the banking industry.
Remember KKR is a partial owner in A/B, directly and indirectly in Walgreens, put this into the commoditization of purchasing/distribution of generic drugs for the global market will they create there own boogieman.

I am asking you or any other member of this board, what kind of work/Quality balancing is occurring with Walgreens Investor presentations on the role of its retail pharmacist's.
Correct me where I'm wrong.
A Walgreens retail pharmacist can handle all of these functions presented by the CEO, CFO and media outlets.
1) fill you Rx
2) consult on drug/food interactions and medication adherence.
3) Verify a medication, dosage and consult on a Rx
or control with the Prescriber.
4) Administer a Vaccination and monitor a adverse reaction
without an appointment.
5) Do a MTM consult.
6) Draw blood for a test.
7) Be out in front helping a customer.
8) Verify the prescription filled by a Tech.
9) Order & Control Rx inventory based on the changing patient
population serviced daily.
10) Fill a PDQ Rx need, ex. respiratory patient
11) Deal with a insurance claim rejections at the point of sale
12) Teach or train on a medical device such as a blood glucose
monitor, Teach Self injection for a diabetic.
13) Service a Drive thru patients questions.
14) And then have time to answer Medicare/ACA questions.
And what ever else fails to function or needs to be fixed, reloaded or repaired and deal with a average of 280 patients a day, as pr. wickedones view point.
The last time I filled a Rx at Walgreens I waited 1 hour for 30
pills an I place no blame on the pharmacist who was doing the best she could do under the circumstances.
This is why competition from the Supermarkets pharmacies are
are growing and for the next-step a kiosk would be more efficient
and cost effective in time management of a pharmacist which is left out of all the chain retailers presentations who's core business is providing medications..
Medication patient errors are growing and very expensive super bugs are emerging!! Now.
But the march onward into the 3 trillion dollar health services Industry is the direction..
As for balancing a Mutual funds portfolio..its function is to maximize a ROI..invest in CDO, subprime loans, and what ever wacky schemes come their way..and monitor this outcome.

Small block trades are indeed the work of HFT. in fact 70% of the US large Cap Trades are done this way.
With brokerage fee's incurred by the Retail trader it would be impossible to skim pennies off any of the S&P 500 listed stocks.
However, for the large Institutional Traders, John Meriwether, the king of arbitrage formally of Salomon's Bro's. proved that leverage with millions of trades can indeed be very profitable for these large Institutional traders as you choose to ignore.
Boogieman, nefarious, suggest that a stock is always trading at Fair market value, which is just not the case..
Crazy Eddie a electronic retailer back in the day sold empty boxes to its lenders as Inventory, Home Depot did a similar

Had you paid attention to the Cramer Infomercial last night, Wassin disclosed that Walgreens OTC medical products where now being outsourced to ABC, as well as the ownership and control of prescription medications, (Walgreens core business).
It's appearing they are moving into a buy on Scan type of inventory/sales arrangement.
This Triad of the WBAD supply chain.. includes negotiation, buying, warehousing, and a distribution agreement.
Which Walgreens only controls 50% of the negotiation part of this and perhaps a part in the financing of these borrowing/lending against assets.

High Speed Trading/HSP is controlling Wags trade/pricing as they skim off pennies in the price fluxuation.
Then there are the sales over 1,000+ shares of Walgreens stocks.
these are the outliers, which sets up a trading range as they ride the roller coaster picking up pennies..
Buyside vs Sell side of the Institutions have not pushed this above the 60+ mark and I believe are sitting out creating a higher price.
Now there is one Investment firm/owner who has a invested interest in Wag selling at a higher price..
And has no financial problem in buying 25,000+ shares.

Now, look at RAD the same way and you can see a whole different trading pattern.

The Walgreens stock split may be facing a little problem as the A/B debt will be added into the completed merger with Walgreens..
I don't know yet, as this will require additional research for me.. perhaps you know and would share this information as to Walgreens bond/Borrowing costs rating will it be impacted and what are these operational costs.
I'm thinking this a fluid situation depending on tracking revenue growth projections vs booked earnings coming in from AB of Europe, which I believe where down.. excluding the U.K. Tax adjustment.
Any thoughts on this.

I think CVS started out as a Dollar item type business, then moved into the Pharmacy/Retail drug store service, Wickedone would know..

You should be concerned, as you may have experienced the no-payout to common stockholders in a B/K proceeding and whom gets paid an who if left holding the empty bag.
This is not related to the recent events we are discussing in Walgreens Annual meeting or the proxy voting..
However a point I will make, is when Walgreens contracted with ABC for a 10 year wholesaler supplier contact, this should have required a stock holders vote, IMHO, as a major portion of Walgreens Retail supply chain operations will now be dissolved.
That being its Warehouse operations that contributes 100% of prescription drugs/supplies that are up streamed into Walgreens Co. revenue
Or.. should you prefer, compare this to the CVS arrangement with CAH for a 25 million dollar a year payment made to CVS from CAH for its 10 year Rx supply agreement.
An issue this BoD should be concerned with under Walgreens corporate charter.
Well, the BoD voting has yet to be recorded at the SEC web site.. So, the results will be interesting and perhaps a subject that will require further discussion or the subject of a legal fight..

Walgreens recently had a proxy vote on a BOD issue.
How is it that a voter who choses to have the majority of voters rule on an issue become the domain of the BOD's and not the companies owners/Stockholders?
It appears to me these votes should be recorded as abstained and therefore the majority of voters either for or against will prevail.

Back to the subject of investing in Walgreens, and the business plan that will grow this business, in competition with Wal-Mart CVS, RAD, and the Chain grocery stores for new customers.
Laboratories are funded to produce results, and the goal of retail is to increase its customer base as well as customers spending..
No business can provide everything to everyone!! A focused approach would have increased customer traffic not basket size with less customers/Rx patient.
Do you think it is by accident that Wal-Mart has moved it mini marts with a pharmacy into Walgreens back yard and offers lower prices.
Now, Walgreens will spend money on blood lab services and nurse run medical clinics, and after they get the blood results and pay 90 grand a year(nurse) + the MD supervisior with this fragmented approach.. that now has a pharmacist and nurse playing doctor.. can this group provide a continuity in medical network services by the information they received?
What is you thoughts on the downside in Walgreens selling price,
because I just might buy in.. for short term trades.
Honestly, I would have bought in if the stockholders had voted against the BoD and put in some folks that have thrived in the retail pharmacy business that has experience working within a lower Rx payment system..

Which has increased the quality of life and longevity,
Cannibalizing medical services in a community leaves the community more fragmented and does not reduce costs.

As Walgreens demographic numbers in the populations serviced within 3 miles of a store gives a peek into its Rx payor mix..
its Rx income is not from private insurance.. it is the public taxpayers money.
Now what was the Corporate tax rate GE paid after all the deductions..

Walgreens Business Plan.
That is exactly what I'm referencing, a growth business plan, where the folks in charge are accountable for growth both short term and long term.
Walgreens has been Selling off Assets and booking them into revenue growth through M&A's with long and short term loans, these are presented as revenue growth!, however what has been shown is that customer counts are down.
And now profit margins have been reduced, because it's targeted population are seeking value elsewhere and are willing to move on.
As they did in the Esrx impasse.
As one stock holder explained it, he has moved on from Walgreens pharmacy services and other purchases because his prescription cost are much higher for him at Walgreens...
Free cash flow has increased in the ABC deal, you as a stock holder, will never own more that a minority stake in ABC and your access to provide core Rx products are controlled by ABC not by the company you invested in.
And in 10 yrs the barriers to Rx wholesale entry will have only increased.
That is the Business Plans down side that Wade chose not to explain.

B/Y This is the second time you have used derogatory when I present facts or write about ethnic diversity with disposable income.
These 3 ethic groups are Walgreens targeted potential customers,
and product selection/Inventory must be based on A buildings square footage is what I'm referencing..
As you noted each group uses different products with set spending limits.
So taking the numbers Walgreens presented..
78% of Wag's potential customers are Hispanic, based on distance, who in aggregate earn less than the other 2 groups.
There foods choices, grooming supplies, medical spend, and time/price compression shopping are the issues... based on disposable income.
I'm not convinced you can use a shot-gun Inventory approach to hit the target of each groups diversity with Walgreens Sg. Foot print including the corner rental costs..

Each time I have visited a Walgreens store it looks the same.

So, what I heard at this meeting vs what I've seen.. is a disconnected Management team from my in store shopping experience..

will soon have a 3rd competitor in the Global war for distribution of Rx Drugs.
Celesio AG, a German drug wholesaler, also is the owner of Englands LLoyds Pharmacies, and will be a major competitor in this Global Rx war.
Celesio has one major advantage over A/B in the European Union. that being Germany pharmacy laws now restricting chain pharmacies.
There chain drug stores in Germany where created prior to the law change..
Saving synergy strategies for Retail Drugs stores have now shifted to the Drug Wholesaling Operationall business and away from the Chain Retail foot print, as each of these Drug wholesalers service independent pharmacy owners..
With the current M&A's anouncements and the former Alliance Boots/Walgreens Co 2 step merger is a must go forward Plan.
Yet, this Merger must be approved by Walgreens share-holders,
Who, now will have little Choice in accepting A/B debt with Buy-out financing for the second step of this merger..
CTW has filed for a addition to Walgreens by-laws..
And if you look at Rite Aid, this is only large Retail Drug Store that has not hooked up with one of these Wholesaler's yet!!!

Walgreens is facing the Wal-Marts Mini Marts that are being strategically placed near Walgreens Healthy and Happy corners filled with basic groceries and offer a nothing pharmacy experience other than Low food prices and perscriptions..
But it is Convienient for the time compressed family..
This is but one of the reasons I think Wags exec management team needs to go, when they spend valued assets and try to compete on Wal-Marts turf.
