The latest news is not a valid reason to drive this thing to where it is right now at .06-.07. What the heck is going on here? There are companies with no sales, mounds of debt, and hundreds of millions of shares outstanding that are in the same price range as MSLP right now. This is peculiar.
I don't know who said it, but a while ago there were posts being made that DCBR was purchasing its own product. I will admit that I never believed it.... until now. Please see the latest disclosure from November 22 Quarterly Report:

Our secret shopper program was initially conducted by the Company itself in 2009 using Company funds for repurchases. Accordingly, we reversed sales for those products that we purchased, reversed the cost of goods sold for those products that we purchased and recorded a marketing expense for the amount of money used to repurchase the products as well as the amount of money used to retool the products. Commencing 2010, we did not repurchase any products; however our Chief Executive Officer used approximately $35,000 of his own funds to repurchase products. The only cost incurred by the Company during 2010 in connection with this program was approximately $3,000 for retooling of products that was included in marketing expense, as these products were later used in our marketing events.

Goodwill has to be tested at least annually for impairment. And DPDW's goodwill is impaired, hence the write-down. Every publicly-traded company is required to go through this process at least annually. And the way the economy is these days, goodwill is being written down left and right across the globe. The fact that goodwill was written down means nothing whatsoever. Nothing fishy is going on, just proper application of GAAP.

On August 30, 2010, the Company was notified by the Commission staff in Denver, Colorado that it was conducting an investigation of the Company and in connection therewith, the Company was served with a subpoena to produce documents. The letter sent to the Company by the Commission does state that the “investigation and the subpoena do not mean that we have concluded that you or anyone else has broken the law. Also, the investigation does not mean that we have a negative opinion of any person, entity or security.” We believe that the investigation stems from a complaint filed by a disgruntled employee that we recently fired due to lack of performance and failure to pass criminal background check. Long time investor and reader. VERY infrequent poster. Perhaps I missed this discussion, but here it goes. Any probabilities on whether this Deep Down/Cumins thing culminates in a reverse split? If this thing reverses, what do people think we're looking at given the O/S? 1-5? 1-10? More?

It appears that you are trying to twist what I'm saying. Why? I don't know. Did I ever equate the S-1 with the 15c211? No. The fact is that the S-1 is more often than not the lead-in to a 15c211 filing, particularly with firms like DCBR that are trying to get uplisted. Did I say anything more than that? Nope, sure didn't.
A key piece of information from your post supports what I said -- that the purpose of the S-1 is to register the firm's securities with the SEC! A huge step! And a key input into Form 15c211 is a set of audited F/S, which the S-1 just happens to contain (among a lot of other useful information).
The S-1 enables DCBR to raise funds. True. However, while companies raise funds (after filing of S-1), they then (typically) are actively engaged with the transfer agent and market maker(s) to facilitate filing of Form 15c211. Once the 15c211 is filed, then DCBR will go through the comments stage on the road to being uplisted.
Don't let the textbook definition of Form S-1 confuse you. It is a very important piece of the uplisting puzzle. Now, does this mean that we should be getting a PR from DCBR very soon? I don't know but I sure hope so! The bottom line is that it would be very weird for DCBR to file the S-1 if it wasn't also hard at work on the 15c211.
A key step in getting an uplisting is to register the firm's securities with the SEC (through form S-1). Most, if not all, of what is required for an uplisting is already included in the S-1. Did you even look at the form to see what it contains? Everything is there. No one is confusing anything. You just need to do some homework before your LOLs. Yes, it's true; DCBR finally has audited F/S. I am having a hard time believing it as well.
Wow! Nice find with the S-1. Finally some audited numbers! Don't we also need a form 10 to get uplisted? Either way, the hard work is now done with the S-1. Never thought the company would get this far with this issue. An uplisting would be nice. how about an update, DCBR!
I don't know why you're getting so much pleasure out of what I posted. It is all IMO. You claim to have proof. By all means, please post your proof on this board so that we can all benefit. Do you have any proof? My gut instinct is that your answer to my question is "no". If not, please show some proof and I will be the first to admit that I was wrong.
Unlike many on this board, I really don't think these guys are scammers. Incompetent, naive, in over their head? Perhaps (at times).
For example, I have contacted them several times over the past couple of years asking about the audit. And I have received several similar responses. Specifically, the responses were along the lines of (not a direct quote, I'm paraphrasing), "... the stock price depends on the stock market's perception of how well we implement our business plan." This is fine, but they are leaving out one huge thing - the market needs information for the stock price to properly reflect the business plan! What is a key informational input to the markets? ACCOUNTING INFORMATION!!! What, do you think the markets are going to take your word for it through a PR? Come on guys, you have a fantastic product! Get the darn numbers out already!

Just a basic question. What "technical sign" is that?
In line with my question, I hope that you critics can back up some of the things you are saying about Dick Pearce (who, I must admit, has stepped in it several times over the last few years). A lot of harsh things are being said and I have yet to see any actual proof of his alleged wrongdoings. And my guess is that there isn't any real proof (and I'm not talking about missed deadlines and over optimistic PRs -- those aren't crimes).
No offense is meant by this post, because I don't know you (BSMeter) or any of Dick's critics. But you guys sure seem to have it out for him and I just can't figure out why. It just seems to be beyond the normal "he's not doing his job" criticisms -- it seems personal.

It was a 1 for 1000 reverse split (your example would be a 1 for 10 reverse split). If someone had less than 1000 shares, then (post-split) they would have less than one share.

I posted this a while back. I am going to repost it (given the recent A/S increase) because I think this may be relevant to our situation (assuming this isn't a full blown scam). See below:
All this talk about the A/S!!! Alright, I am going to provide some info (below) for us all to consider. It is an example of standard language put in proxy statements (like a Schedule 14A, which includes proposed amendements to a company's A/S) filed by companies with the SEC:
The increase in authorized shares is not being proposed as a means of preventing or dissuading a change in control or takeover of the Company. However, use of these shares for such a purpose is possible. Shares of authorized but unissued Common Stock, as well as shares of authorized but unissued serial preferred stock, for example, could be issued in an effort to dilute the stock ownership and voting power of persons seeking to obtain control of the Company or could be issued to purchasers who would support the Board of Directors in opposing a takeover proposal. In addition, the increase in authorized shares, if approved, may have the effect of discouraging a challenge for control or making it less likely that such a challenge, if attempted, would be successful.
Now it is possible that the opposite is happening with us. Perhaps the A/S is being increased so that the company can approve a TO without fear of any large shareholders (perhaps some previous owners of the shell or even previous GBDX executives) rejecting it? Or maybe the A/S is being increased to prevent any of the previous characters from messing things up?
ALL IMO AND FOOD FOR THOUGHT TO DIVERT ATTENTION AWAY FROM THE CURRENT MESS THAT IS GBDX.

Unfortunately, I agree with you that the most likely scenario (barring any evidence to the contrary) is that GBDX is being blatantly manipulated.
Keep in mind though (and someone correct me if I'm wrong), when we ran to .021, that was on no news whatsoever. So, who knows how long this run will last. A PR could certainly be a realistic possibility (fingers crossed), especially when you consider that we haven't had one since September 2007!!!!
This stock is crazy.

It is my impression that all CEOs are egomaniacs and many of them are greedy. Another way to look at it is that (unfortunately) guys like that are often the only ones that get the job done. Does that mean Dick will get the job done? I don't know but I am willing to stick around and find out.
I realize that. And as a CPA and former auditor, I too understand how audits work. My point related to the present time. I have been through the ups and downs with the company for over 2 years (like many others on this board). However, I was encouraged by the fact that Bykowsky's update was exactly in line with what Turner Stone told you. To me, that is a good sign. IMO, this is the first time that this company has had so many quality pieces (e.g., new product, CFO, established sales personnel, etc.) in place at the same time. The CFO was a huge addition in my opinion. The bottom line is that the audit was not very high on the priority list for a long time and now things have changed IMO Dick finally realized this IMO
Unlike many others on this board, I'm not nearly as bothered by the false starts and missteps we've had over the years (Dick could have operated a bit smoother at times - you won't get any argument from me on that). But this is a company in the development stage and I am willing to wait as long as it takes (if we succeed, great -- if not, that's life). And for people who think this is taking too long, they need to be a little more patient and realistic. These things often don't bloom over night or even in 2 or 3 years. IMO, we're on the right track this time. It just feels different IMO

That is exactly what Bykowsky (CFO) said in the investor newsletter that went out -- i.e., that Turner Stone is getting ready to commence fieldwork. Sounds like he was telling the truth about the current audit status. He also indicated that it has taken longer than expected. However, given that fieldwork is beginning, it is a GREAT sign. I think we're on our way IMO
My guess is that if we don't get some sort of update to justify this recent upward movement, we may very well be heading right back down. It is nice to see it approaching $1 though.

Been holding for a while and was pleasantly surprised to see today's PPS. But I can't seem to find any reason other than the Ascent deal. Is that what's driving this? Or has ICPR's time finally come?
And when you read that complaint it could certainly be the case with GBDX. But wouldn't the SEC have shut them down by now (that is what gives me a glimmer of hope here)? However, seeing 1st Global's name (the GBDX transfer agent) as part of the SEC action against CMKM is disturbing, to say the least. All I have to say is that this has been one crazy ride!
