Good to see they are getting much closer to getting all caught up, thanks for pointing that out in more detail Sputnik. Takes some time to get them done I was told by IR at Integral. So with that I did my own research asking elsewhere. I found that this is true, it takes a long time for just regular filings to be prepared. So with backlog they had I can see its going to take some time to become fully caught up. After what I learned the pace they are moving is actually pretty good.
Always looking around for new things about this company as it looks like its finally starting to get some significant traction with the product.
I have found some good posts on that web site in the past for this and other stocks. I do not know the person that wrote that blog, just was very interesting to me also.
At one point in the past BASF was very active with Integral. I never have heard much more on that.

PolyOne confused, NO.
Even if its an issue of confusion as to rebranding with the person you contacted, over all its still based on Electriplast. Electriplast is still the formula, thus Integral will receive proceeds from the sales.

Every so often a public company finds itself unable to file periodic reports for a protracted time. For example, a company may upgrade auditors and the new firm may advise of the need to re-audit prior years, which can take significant time. Until there is a reliable starting point for financial statements, new filings are in limbo. As time marches on, the older missed filings have less and less signficance to investors but would still entail the same amount of effort and expense to complete as any periodic report.
Over the years the SEC Corp Fin staff has developed ways of simplifying how a delinquent company may “catch up” in its filings. With a few calls to Corp Fin and the Office of the Chief Accountant, the staff would generally permit companies just to file the most recent Form 10-K and any subsequent Forms 10-Q. This approach facilitates getting to investors the most relevant, recent information. There remains some theoretical liability, as discussed below, but sometimes that is bearable for a company.
This week, the SEC staff has amended its Financial Reporting Manual to embody this approach. The manual now states that Corp Fin generally will not issue comments asking a delinquent registrant to file separately all of its delinquent filings if the registrant files a comprehensive annual report on Form 10-K that includes all material information that would have been included in those filings.
The manual also reminds delinquent companies that negative consequences, including legal liability, could arise from not filing all missed reports. The company may still have liability under the Exchange Act for failing to file all required reports, and Corp Fin’s general position does not foreclose the Enforcement staff from seeking enforcement action for the registrant’s filing delinquencies. In addition, until all missed reports have been filed, the company would not be “current” for purposes of Regulation S, Rule 144, or Form S-8 registration statements, and the registrant would not be eligible to use Form S-3 until it establishes a sufficient history of making timely filings.
Yes it means that PolyOne has trademarked their own name for Electriplast, and Integral agreed to it. Most any moderately intelligent person would recognize that. You do realize this is very common. That cheap store brand wine your drinking is rebranded also.

That can not be something that they can do overnight on the kitchen table (IMO). I am sure it all needs to be cleared with legal on each one they complete. If you ever had any kind of legal work done those lawyers are good at slowing things down to a crawl so they can have a lunch break for 3 hours everyday.
They actually have been progressing at a good pace to get caught up on the filings. Cheer it on that its not meeting your schedule for now if you like. What are you going to go when they get caught up?

This major stuff going on here. Polyone has invested a large amount of money and work into this. Integral is moving in a good direction now. They are getting the books back in order and we should start to see some good cash flow from the Polyone deal.

You still did not explain your take it to the bank statement that there will be no battery deal.

Yes I am still optimistic. IMO, If the leadership felt the company was not ever going to survive you would not see all the effort to get the filings current and some of the cost cutting moves they have made. Why would they put up that big effort if it was not going anywhere? I think they are getting ready for a big positive change in the income and/or another big deal.
I was not very emotional at all in the post. Was it that I used an upper case Q that got you thinking that? I do see of recent they have been getting the past filings done. Not many more and they will be current if they keep at the same pace they have been.
They have been pretty transparent when you look at how other OTC companies operate. Doug has been good at communicating with shareholders.
The recent catch up at getting the books current and conference calls has shown they are working hard to transition from the R&D mode to a revenue positive mode (The Switch).
Look at this closer and you can see once they have little or no debts with a low cash burn rate the switch will flip. This company will have a strong profit margin as its just receiving royalty payments with very low costs associated with its day to day operation.
In my opinion you will see this flip of the switch happen fast. The recent actions they are taking sure are pointing the company in this direction.

The cry that some deals did not work out and its some kind of evil thing is shallow. That is just how it is sometimes, not all deals work out the way they are planned everytime.
The European deal they had done was turned over to Polyone. Polyone is a very major player, when the revenues start rolling from the integration of electriplast into new and current product lines it will be a win for ITKG, IMO.
Sputnik from what I have seen so far they are catching up, the late filings are getting filed first keeping it in an orderly fashion. I can see it would create a big confusing mess if they did it any other way or to please you.

Keep in mind your looking at 16 month old data in this filing and the CEO talked about minimizing debt, not increasing debt in the recent conference call. Looks like they are getting the house in order bringing the filings up to date, along with a new CFO.

In the agreement with PolyOne and ITKG PolyOne has to pay royalties for all long fiber sales. PlastiComp produces Long fiber products. Instant and growing royalty income stream for ITKG just occurred today. Huge win for this little company.

Recently several of the PolyOne Executive team leaders came to our Tech Center in Canton, MI for a multi day meeting/training/strategy session. There was much discussion and training regarding shielding applications.
We were very impressed with their level of commitment and how quickly they responded. There was an excellent chemistry between PolyOne and our engineering team. These were members from Sales, Marketing and Technology groups all represented.

We are not able to answer all questions in this format, but we will attempt to answer all that we can as thoroughly as we are able. Below are several of the questions we have received since the announcement of the PolyOne license agreement.
(Q)-Where do I find specific details of the PolyOne/Integral license agreement?
The agreement can be found in our 8k filing dated 2.26.2018. Also, the royalty is not available for public view, it is typically something that a licensee wishes to remain private.
(Q)-Did Integral receive any upfront money as part of the license agreement?
Yes. All financial terms can be found in the agreement. The payment terms can be found in the agreement in Article 6.1 and Schedule 6.1
Article 6.1 reads as follows:
6.1 Upfront Fee. PolyOne shall pay to Integral, no later than ten (10) business days after full execution of this Agreement, an upfront fee as specified on Schedule 6.1 by wire transfer to a bank account to be designated in writing by Integral (“Upfront Fee”). The Upfront Fee is not refundable and is in addition to any Royalty Fees.
Schedule 6.1 reads as follows:
Schedule 6.1 “Upfront Fee” The Upfront Fee shall be One Million United States Dollars ($1,000,000 USD).
(Q)-Why did Integral license to PolyOne?
We have long sought a global partner capable of supporting and the expansion of our shielding business. This became more necessary after being awarded the two automotive programs last year. These programs and the potential expansion of those programs requires a tremendous amount of global infrastructure, resources and capacity. PolyOne has all those capabilities.
(Q)-How long until PolyOne is capable of supplying?
Immediately. One of the reasons for joining forces with PolyOne was because of their Long Fiber Technology(LFT) manufacturing capabilities. Prior to signing the agreement, the appropriate manufacturing, testing, etc. was completed.
(Q)-Did PolyOne license all of Integral’s IP?
No. The license was for shielding as defined in the agreement under Article 1.11.
Article 1.11 reads as follows:
1.11 “Field” means any application (a) intended for any market, and (b) in which the Licensed Material is used to provide shielding against electromagnetic interference (which includes but is not limited to radio frequency interference); which, for sake of clarity, excludes applications for bipolar plates for batteries.
(Q)-How many patents were included in the license?
10(ten)The patents that were licensed can be found in Schedule 1.23 of the agreement.
(Q)-What is not included?
All things that are not for shielding. For example, antennas, heated devices, fuses as well as our low conductive material used for electro static discharge(ESD)
(Q)-How is the royalty payment determined?
Details can be found in Article 6.2.1 and Article 1.20.
Article 6.2.1 reads as follows:
6.2.1 Royalty Percentage. PolyOne shall pay to Integral a percentage as set forth on Schedule 6.2 of the Net Sales of all Licensed Materials sold in the Field during the Term by PolyOne, any of PolyOne’s Affiliates, or any Other Sublicensees (collectively, the “Royalty Fees”).
Article 1.20 reads as follows:
1.20 “Net Sales” means (i) gross amount of invoiced sales less the sum of any (a) discounts actually applied in amounts customary in the trade which shall not exceed ten percent (10%) of the gross amount, (b) sales or use taxes directly resulting from the particular sales, (c) outbound transportation costs actually paid, and (d) amounts actually credited on returns, calculated in accordance with generally accepted accounting principles consistently applied in the United States based, or valued as if based on, bona fide arms’ length transactions and not on any bundled, loss-leading, or other blended or artificial selling or transfer price, or (ii) with respect to transactions or dispositions without consideration or with nominal consideration other than providing samples in the ordinary course of business, the average selling price at which products performing substantially similar functions, sold in similar quantities and similar locations, are then currently being offered for sale by other manufacturers.
(Q)-How does this effect our battery technology?
The agreement does not involve the battery technology.
Specifically stated in Article 1.11. Article 1.11 reads as follows:
1.11 “Field” means any application (a) intended for any market, and (b) in which the Licensed Material is used to provide shielding against electromagnetic interference (which includes but is not limited to radio frequency interference); which, for sake of clarity, excludes applications for bipolar plates for batteries.
(Q)-What happens to the recent automotive orders?
We will work in conjunction with PolyOne with these customers to support them and the expansion of the existing business. This process is already in process. This is addressed in Article 4.2. Article 4.2 reads:
4.2 Referral to PolyOne. Promptly after the Effective Date, Integral shall inform all Existing Purchasers that PolyOne is authorized by Integral to manufacture and supply Licensed Materials for use in the Field, and, during the Term, Integral shall refer solely and exclusively to PolyOne all orders, requests, or other inquiries from any Existing Purchasers concerning Licensed Materials for use in the Field (“Referred Business”). During the Term, PolyOne shall use commercially reasonable efforts to address the Referred Business.
(Q)-Is Integral ever going to file financials again?
Yes. It has certainly taken much longer than anticipated but we are working towards becoming current with our SEC filings.
(Q)-When is the next conference call?
We plan on scheduling a call at some point after the filing of our financials.
