I knew Cecil, and he is a slippery kind of guy.
He covers his tail very well;
it would be hard to pin anything on him.
At best, somebody else would be thrown under the bus.

255 Duncan is not really a functional office for Kallo.
It is the only business address available for Kallo's inner circle, and is little more than the law office for Samuel, the company lawyer.
He has a separate law practice, and is lending this office desk so that Kallo actually has an office for registration purposes. Nobody else can be tagged with the Kallo fraud if there are no other formal addresses.
Lloyd is the biggest invester, dollarwise, but he might have recovered it with all the shenanigans Cecil has pulled off.

In most small companies (such as Kallo)
management usually keep the chequebook under lock and key.
This WAS the case at Kallo.
I highly doubt 'junior accounting staff'; the company doesn't have enough money, sales, or complexity to justify more than one, possibly two, employees in accounting. It would be virtually impossible for this to happen.
Cecil was functionally acting as the central authority on all finances, but that would have changed during the time where they did have a CFO.
Generally, Teflon John does not allow things to stick to him.
And 'more important things'? rrrriiiiight. Sales maybe? ;)
And if the board has a majority of the shares, it becomes much easier to close off any 'investigation'. 'Investigation' is the word that outsiders will be looking at, and they know how to close doors at their convenience.

Yup.
No proof, but yup.
The things to keep in mind re: Kallo:
1) I haven't checked recently, but if I remember from a while back,
the f/s are not audited; feel free to correct me on that.
2) Kallo has no revenue. Nothing has *ever* been booked. Much has been promised, but NOTHING has been booked.
3) Cecil made sure to include a disclaimer (even when there was hope) to the effect of "although it's looking good, it is still very speculative". He made sure to cover his butt quite well. it is hard to hold anyone to a infomercial "we are in discussions with potentially 30 countries for our products" statements.
4) Even if something was to stick, it would be very easy to deal with it by blaming departed employees for speaking out of line.
5) Anything personal (or unusual) in 'prepaid expenses' will, at best, be simply reversed. Most Kallo investor decisions were made on the hope of revenue (i.e. greed), not on cost controls. Not difficult to argue that 'prepaid expenses' were not a material misleading statement.
The only valid argument I can envision sticking is regarding insider trading and poor BoD stewardship. They managed to award bonuses, pass self-serving equity transactions at the expense of minority shareholders, provided late filings consistently, and failed to disclose material information (i.e. when the possibility of a signed contract drops to zero).
I would love to see the SEC do an investigation, but I'm not holding my breath.
He once borrowed $5k which he was willing to forget.
I however managed to get that back.
He did manage to get me to invest $80k,
which I cannot fault anyone but myself.

Rajni Kasset [FE] is a good friend of former president Vince Leitao.
He was originally brought in for financing purposes.
Their origin is nebulous;
Cecil said that he owned them, and I never questioned it.
He HAS benefited from them in the past i.e. pre-Kallo.
The fact that nothing has materialized even in the smaller market segments that were targeted (a long time ago!) leads me to question their value.
Although they was part of his equity contribution, they haven't translated into money. They MIGHT be worth something to him if he goes back underground, selling small systems on a door-to-door basis. Hard to say.
But if they have been written off by Kallo, he picks them up again for a song. He has my original financial plan, and will likely have it updated by some other sucker, And likely try again thru another shell.
He will need financing, technical, project management, admin - I have no idea as to how he will do it, as he has burned a lot of bridges over the past.

I first put his financial plan together almost 10 years ago.
Sadly, many things have changed since then.
Prepaid expenses are a great way to get 'compensation' without it going thru payroll. Plus it can be for virtually anything i.e. prepaid car lease, insurance, etc. There could be ANYTHING in that amount. If your core officers make up the board, you can change the rules without anybody else's approval. Just simply do it.
I am very disappointed in not seeing thru the shenanigans a long time ago. I was looking thru rose coloured glasses, and likely, greed. The biggest difference was that I wouldn't have done anything at anybody else's expense; I am willing to take advantage of situations, but I don't take advantage of others.

You have to wonder on what public information FE Pharmacy made it's decision on.
A cynic might think that all common minority shareholders were being flushed out of the system by simply rotating management, and wiping out all debt, giving a clean start to the same startup folks.
Nobody is going to pop in millions into a company UNLESS they had reasonable assurance of a major return. If there has been developments on the sales side, should we not know about it?

If others benefit, it is likely incidental, and not planned.
I would love to be proven wrong, but I have my doubts.
My point was that ALL Exchange activities cost money;
Why spend that money unless there a cause moving forward?
There must be something in it for Rajnie, else why are they making an effort to be current? Is he to be the new CEO, Cecil the new second in command, and this is just a way of getting rid of the dilutive factor from all minority shareholders?
