I am always open for a healthy discussion on the pros and cons of a reverse stock split, espically in this case !
As for an expiration period...I would argue the point. The language in the proxy specifically said: "at any time before the 2009 Annual Meeting of Shareholders."
Was I the only shareholder not invited to the 2009 Shareholders Meeting ? Did they have a meeting in 2009 ?
So, not being an attorney but understanding the meaning of "at any time before the 2009 Annual Meeting of Shareholders" I don't believe that this meant "and or before the end of 2009".
So, back to the meeeting, was there a 2009 sharesholder meeting ?
Call me a cynic butttttttttttt.........I would argue that the architects of this document chose this language for a reason. If not, why would they not have said "at year end 2009" ? Was there a reason why they choose not to have a annual shareholders meeting in 2009 ? I don't know,but let's wait and see. If I'm wrong then I will be the 1st. to admit it. But if I am right ....well then I guess I was right.

Shareholders have already approved a 1 for 4, 1 for 10 or any combination in between and it will be implemented at managements discretion. This will not be the typical "Penny Stock Reverse Split Kiss Of Death". This will very healthy and will make this stock absolutely explode. Didn't get a chance to buy Google at $100. Didn't own Apple at $5.00. Didn't know about the Microsoft IPO.......

Any combination of reverse splits, at the current price, will make ESPH elligable for listing on the NASDAQ or the AMEX and that is exactly where Dennis wants this baby. So long to the BB MM's manipulation and say good by to the rocket scientist day traders (that was a joke). Once the stock is listed and traded you will see the daily volume absolutely explode. At this point.......it's institutional time !!!!!!!! and we all know what that means ! These boys are da playas !! Now, I may be dumber than a box of rocks and a couple of sandwiches shy of a picnic but I do know one thing. This little tiny patent protected stock will be launched into orbit. I also believe that a reverse split will actually decrease the volatility of the stock and help support the price.

I currently have options to buy x amount of shares at $1.00 and another x amount of shares at $1.25 They expire March 30, 2010. 30 days from today. I use X in place of share value for ovious reasons.
The letter offers me, in exchange for my x shares, the same amount of shares at a price of .60 with a two (2) year expiration. All I need to do is send them a check for x amount of dollars (6 figures).
Why would ESPH want me to give up my options at $1.00 & $1.25 respectively that expire at the end of the month in exchange for the same amount of option at .60 per share and extending the expiration for 2 years for cash ?
I bought these years and years ago when I subscribed to a private placement (bonds) and these were attached. And Yes, I have been in this baby for a really really long time. Any opinions would be appreciated.

Then when I realized why I origionaly bought the stock and how long it took me to get my basis down from $3.50 ps to .38 (yes, I'm one of those guys) I got a little worried and started to by back in. Well I guess I just lucked out and was able to buy back in before the spike yesterday.
Now here I sit, fully invested again....... and this is what I am going to do.....I am going to delete this message board from my favorites and not look at it again...ever ! Have fun trading in an out of this monster for chicken scratch guys. I am going to stuff these shares under my matress and forget about them 'till there trading north of $6.00. There will always be companies trying to capitalize on and ride the coat tails of companies that have the proven tech in a hot field making the news. Make no mistake, ESPH IS the dominant player in this field, end of story. This is a extremely huge market that has room for many players. Expect to hear more news about other companies claiming to have the most advanced water technology for the gas fields.

Short Interest
I have read some posts on Yahoo that mention shorts in ESPH. How and where can you short a penny stock ? I see zero short interest reported so ? What are these guys talking about ?

.71 x .715 ...just don't know if this thing has legs...........I absolutely love this stock, as everyone knows. This will go down in the record books as one of the best no-brainers in history. Well, I deviated from that old saying and sold 1/3 of the position at .66-.68. Now, I am having second thoughts...never fails. The volume is really strong and it keeps creeping up. Very nice signs. I guess if it pulls back I will reload on the 1/3. If not, I'm still a happy camper.

Know what I smell ? I smell a 1:5 or possibly a 1:10 reverse split comming our way. I think that is what Dennis was trying to tell us when he commented about moving up in exchanges (NASDAQ or NYSE/AMX) The only way that will happen, realistically, is if we are trading above $5.00 per share and there isn't enough pipeline revenues to drive us to that level in the next couple of quarters. Shareholders already approved two seperate reverse splits last year.
I also smell debt offerings in the air......anyone else smell the same thing?

What do you mean ...The game has changed, and the old ways of thinking regarding this security just don't apply anymore.
I was talking with a buddy of mine that works in the gas business doing some kind of flow projections / analysis. I don't know if he works with a major or is just an independent consultant but from what I understand he crunches the data given to him by the guys that find the gas and then he does his projections on what the operator can reasonably expect to extract from the site. He has seen the equipment operating in the field and pretty much confirms everything we have heard so far in respect to what this technology will really do for the industry. He said that ESPH is no secret in the fields / industy and that all of the major players know that this is the most advanced technology available for this particular application. He also mentioned something that really made me think. He said that the major producers were really not concerned as much about production costs and maximizing well efficency as much as they were at finding a pacifier to shove into the mouths of the tree hugger, environmentalist and politicians. They need more well sites and they need to clear the obsticles. I personally think that there are hugh indications of interest, if not, hugh orders with all of the controlling players and Dennis and the Boys are working at finding a solutuion to deliver. This just may be the mack daddy of all mother loads.

I appreciate all of the comments and opinions to bring me back inside of the window and off the ledge. Almost jumped. Although I still believe that trading my position off the charts and not listening to all of the pumpers would add the most return on my investment in the short term, I decided to stay the course and stick to my origional plan. Unfortunately, I can't participate on the weakness and accumulate on the downside anymore.....like I said "All in but the kitchen sink".

Sorry guys but I think I'm leaning towards trading my block on the charts instead of how great an idea this is. I guess I'm just tired of riding this thing up-n-down. Looks like the only people that are making any return are the guys playing the cycles. Well, as one of those "old fools" (not including KngmAz of course)and UltraStrip investor that initially bought in at $3.00 ps a very long time ago......I think I'm going to join the technicians instead of following the Buffett crowd. As this stock has continued to move down over the many years I have always bought additional shares to reduce my basis. Well thank god for the lows of April (in a good way) because I was able to reduce my basis down to a level where I am finally "in-da-money
Needless to say those efforts have developed into a very overweighted position, i.e., everything but the kitchen sink. I love this company and want to be a long-term holder of the equity but it's just getting too old. Watch, I do nothing and the stock moves down to support range of .36 or so, or I sell and news hits and I'm left behind. So I guess I'm trying to make a decision on staying the course or following the tech's. Any suggestions on a strategy to start selling alot of shares ? ( 0,000,000 range) Or maybe just someone to talk me down from the ledge....
Volume over the past couple of days could be linked to all of the excitement surrounding the XOM-XTO deal and the impact on the Natural Gas Industry. The acceleration of volume could also be from chit-chat and speculation in the field and on site. There are alot of eyes on this equipment and those eyes at ground zero have some very deep pockets. I would say, forget about pending news, that's nothing but stock pump speculation. No one outside the tight inner circle of "Dennis & Co" knows exactly what's moving and shaking. Dennis and his boys have this thing well mapped out and I have nothing but confidence in their ability to deliver maximum shareholder value and take this baby to the moon. Hope it happens real soon because the double-wide I am looking at upgrading to is on sale and if I buy before the end of the year they will even throw in a hot tub with built-in beer can holders and a little compartment for my dip !

The Office of Fossil Energy’s National Energy Technology Laboratory (NETL) has selected nine new projects targeting environmental tools and technology for shale gas and coalbed methane (CBM) production. NETL’s goals for these projects are to improve management of water resources, water usage and water disposal, and to support science that will aid the regulatory and permitting processes required for shale gas development.
A primary goal of Fossil Energy’s Oil and Natural Gas Program is to enhance the responsible development of domestic natural gas and oil resources that supply the country’s energy. A specific objective is to accelerate the development and demonstration of technologies that will aid our country’s independent producers in dealing with use and treatment of water related to natural gas and oil production.
Operators face new challenges as well as new opportunities in developing resources such as shale gas. The following recipients will help provide the new technologies, tools, strategies and knowledge toward reliable and environmentally responsible development of natural gas.
ALL Consulting, Tulsa, Okla.—The objective of this project is to develop a modelling system that will allow operators and regulators to plan all aspects of water management associated with shale gas development, including water supply, transport, storage, use, recycling and disposal. This system will be used in planning, managing, forecasting, permit tracking and compliance monitoring. (DOE share: $776,574; recipient share: $334,496; duration 36 months)
General Electrical Company, Niskayuna, N.Y.—This project will develop a low-cost, mobile process to treat the total dissolved solids in the flowback water from hydraulic fracturing operations. The researchers will develop both a flowback water pretreatment process and a membrane-based partial demineralization process that yields an effluent suitable for reuse as hydraulic fracturing water (frac water). (DOE share: $799,897; recipient share: $199,976; duration 18 months)
West Virginia University, Morgantown, W.Va.—The primary objective of this project is to develop and demonstrate a process for the frac water returns from Marcellus Shale wells. The process will include a pretreatment filter coupled with a combination of one or more treatment elements. (DOE share: $609,619; recipient share: $390,381; duration 32 months)
University of Arkansas, Fayetteville, Ark.—The ultimate goal of this project is to develop a water management decision-support system by modifying and integrating a state-of-the-art water resource simulation model with a modern enterprise geographic information system (GIS). This will provide a science-based tool that can be used to support development of energy resources in the Fayetteville Shale region of Arkansas. (DOE share: $636,467; recipient share: $179,517; duration 24 months)
Ground Water Protection Research Foundation, Oklahoma City, Okla.—This project will develop a new hydraulic fracturing module as an add-on to the well known Risk-Based Data Management System. The module will assist regulators and operators in enhancing protective measures for source water and streamlining the well-permitting process. (DOE share: $845,923; recipient share: $211,474; duration 24 months)
Geological Survey of Alabama, Tuscaloosa, Ala.—The primary objective of this research is to analyze and develop strategies for water management in the CBM reservoirs of the Black Warrior basin. The study will develop a large, high-quality database and GIS that will provide a basis for more efficient development of CBM and identification of beneficial uses of produced water. (DOE share: $725,647; recipient share: $314,316; duration 36 months)
Altela Inc., Albuquerque, N.M.—This project will demonstrate that the AltelaRain technology can be successfully deployed in a cost-effective manner to treat the produced and flowback water from Marcellus Shale, and that it can operate within state and federal regulatory requirements. (DOE share: $886,025; recipient share: $912,316; duration 18 months)
University of Pittsburgh, Pittsburgh, Pa.—This project will evaluate the potential for combining and treating two waste streams (flowback water and acid mine drainage) for reuse as a frac fluid, and will also develop novel viscosity modifiers for water high in total dissolved solids. (DOE share $794,225; recipient: $269,011; duration 36 months)
Texas Engineering Experiment Station, College Station, Tex.—This project will identify an efficient and cost-effective pretreatment methodology for use in processes employed to treat and reuse field-produced brine and fracture flowback waters. The project aims to develop and demonstrate a mobile, multifunctional technology specifically for pretreatment of brine. (DOE share: $844,216; recipient share: $450,000; duration 24 months)
The total proposed value for all selected projects is $10.2 million (DOE share: $6.9 million).

Well, I suspect the same. Chit chat has pinpointed a big order ready to be inked; just waiting on flow results from recently deployed equipment. I believe that there are multiple orders in the pipeline waiting on these results as well. I have heard from a friend of mine who's next door neighbor knows someone that has a relative who cuts grass at the home of some big shot gas guy in the area that told him that the equipment works flawlessly and as projected. This leads me to believe that the only issue Dennis and the boys will have to deal with is... do they find someone to partner with to completely fund and manufacture the units or just sell the division and move to another application. I would really like for them to move in the direction of the 1st. then the latter. Well, guess we will see. Anyone know where I can get somemore money to buy somemore shares!
