Looking to add, nice news today. Total debt (was) $120m, revenues ~$90m. Will be pretty much debt free, $115m market cap, 15m OS, 11m float traded today, nice SS. 52 highs + coming imo.

Shares of Asure Software Inc. (ASUR) rose more than 20% in early trading Tuesday after the company said it agreed to sell its workspace-management business for $120 million in cash.

The Austin, Texas, software company said it plans to use the proceeds to repay most of its debt, and said it will focus on its human capital management solutions.

Asure is selling the business to FM:Systems, a privately held company backed by private-equity firm Accel-KKR.

“This transaction bolsters Asure’s capital structure as we plan to pay down the majority of our debt. It also increases our mix of recurring revenue to over 90%. While we plan to focus on organic growth with the help of upsell and cross-sell initiatives, we will also be in a strong position to pursue accretive acquisitions. Furthermore, the transaction will be attractive from a tax perspective for our shareholders,” concluded Goepel.

If you hold 750+ shares, you will remain a shareholder, but you won't be able to trade your shares on the open market since the company will be deregistering. In essence, your stock will be worthless unless they pay dividends or you can find a buyer to privately purchase your shares.

At this point, it would be best for you to sell your shares, but keep 749 so that they get cashed out at $0.36.

Alright all, i have a question:

Why was the last quarter so bad? It was the worst quarter in a few year period, and the first losing quarter in the last 5 quarters.

I did read this:

"Outlook
The Company continues to fully integrate the iEmployee operations, develop its sales force to increase sales performance, and release new software updates. Management believes its software and services revenues will continue to increase. Gross margins from the segment are expected to improve during the next fiscal quarter. Management will continue to evaluate additional operational synergies from the iEmployee acquisition and further extend its market reach both domestically and in the international markets.

The Company did not have any intellectual property licensing revenues for the three months ended October 31, 2007. Management does not anticipate any additional licensing revenues from the patents which have generated such revenues in prior fiscal years. Although the Company continues to explore its patent portfolio for additional opportunities, management can give no assurance of future licensing revenues and believes any revenues to be generated from the Company's remaining patent portfolio may be less than those generated historically."

I am guessing the large revenues/income posted before were primarily from licensing revenues, which the company now does not ever expect to see again in the foreseeable future?

AUSTIN, TX--(MARKET WIRE)--Feb 8, 2008 -- Asure Software (NasdaqGM:ASUR - News) announced today that on February 4, 2008, the Company received a Nasdaq Staff Deficiency Letter indicating that its common stock is subject to potential delisting from The Nasdaq National Market. The Deficiency Letter was issued due to the bid price of the Company's common stock closing below the minimum $1.00 per share requirement for a period of 30 consecutive business days, and therefore the Company did not meet the requirement set forth in Nasdaq Marketplace Rule 4450(a)(5). The notice further provides that in accordance with Nasdaq Marketplace Rule 4450(e)(2), the Company will be provided 180 calendar days, or until August 4, 2008, to regain compliance. Asure Software, formerly Forgent Networks, Inc., incorporated in 1985, is a licensor of intellectual property, as well as a provider of scheduling and asset management software solutions. The Company has two main business segments: intellectual property licensing and scheduling, and asset management software and services. It has distribution partners in the United Kingdom, Switzerland and Australia. During the fiscal year ended July 31, 2006 (fiscal 2006), approximately 19.1% of the software and services revenues were generated from international customers. In October 2007, Asure Software completed the acquisition of iEmployee.

In August 2005, The Company introduced its Advanced Catering Management module, which helps multi-site enterprises to integrate customized catering requests into their meeting scheduling process, on a site-by-site basis. The Company completed development and released its German version of MRM 6.0 in September 2005. In January 2006, It released Version 6.5 of Meeting Room Manager (MRM), which featured an interactive liquid crystal display (LCD) solution module that enabled customers to view meeting room schedules and book rooms from touch-screen LCD panels that can be wall mounted outside each conference room or placed on a common area reception desk. In June 2006, the Company released Version 7.0 of MRM, which includes features to helps users to schedule MRM managed meeting rooms directly from Microsoft Outlook, and to synchronize their MRM user lists and user group rights with Microsoft Active Directory. Version 7.0 also contains other new features and enhancements requested by customers.

The company's intellectual property licensing business is derived from its Patent Licensing Program. It's software business includes software products and services from its NetSimplicity product line, which provides solutions to common office administration problems. NetSimplicity's product, MRM, automates the entire facility scheduling process, including reserving rooms, requesting equipment, ordering food, sending invitations and creating reports. The product enables customers to utilize the software within minutes of starting their deployment. The Company also markets Visual Asset Manager, a Web-based management tool that enables companies to track and manage their fixed, mobile and information technology assets across the entire organization.
