See, that was what I was getting at. Prior to this, and previous reverse splits, as a good job, well done, bonus, he gets, in this recent case, a percentage of the OS designated prior to the reverse while there is 1/2 billion outstanding, but, gets awarded the 26 million AFTER the RS.
Timing is everything
His common shares are affected by the RS if he owns them. They cannot be protected.
What I think you are referring to are the shares allocated for the employee incentive compensation plan…and that number is not affected by the split. But those have not yet been issued and when they are issued they would be at the new price basis but that doesn’t necessarily mean they would get the same number of shares out of the pool as they would have presplit.
All of Michery’s award targets are based on a % of the OS…so they too would be affected by the split since the OS was.
As a separate issue his doing that effectively eliminates his risk of dilution. For example they could have said you get 1,000,000 shares for achieving X. As the dilution occurs and before achieving X the value of the award goes down. But by doing it as a percentage of the OS he protects the value of that award from the dilution.
Good question, but I doubt it. If you follow the cycle, he usually gets issued his shares towards the bottom of the price fall off, and some time before announcing a SH meeting via 14A. Those shares are used to control the vote and aren't sold until after the RS. It's a continuous cycle. If you remember before the May '23 RS, he threatened to use that Series AA share worth 1.3B votes if it didn't go his way. Since then, they have adopted this scheme of controlling the vote instead.
Well that is just it, how can common shares of a single shareholder be immune? If Davie boyo sold some before the RS and I just happened to buy those specific shares, would my holdings be immune as well?

The SEC really only cares that the company is making the required disclosures to the market. In the depths of the filings all of the risk factors are disclosed. Dilution, need for financing, penny stock risk etc etc. nobody really seems to care or doesn’t take the time to do any serious research. Everything that has happened has been actually disclosed as a distinct possibility.
So unless there is some actual criminal activity (which is a very high bar to prove) nothing will happen to Michery.
When this fails, and it will he will simply slink away to his next endeavor.
The only thing that is disappointing is NASDAQ’s apparent reticence to deal with the reverse splits…although I will hold off complete judgement until the hearing. There is no reason under their own rules that Muln should stay listed.
We will see.

The SEC is the regulator, and it hasn't been involved in any of the reverse splits. Any blame to be cast here falls on the Nasdaq. Which is an SRO regulated by the SEC. But so far, the SEC hasn't had a word to say about all the junk companies listed on the the CM.
However, Nasdaq can delist MULN if it wants. We'll see what happens, and what effect that would have on Michery.
Not to worry, some chartists will show up soon enough to pump the "oversold" condition of the stock.
You can only sell your soul so many times before there are no longer buyers.

So when he looks into a camera, I see guilty. MULN may become a great EV manufacturer, but DM will be long gone. Then I’ll buy.
Hahaha...They can do all the videos they want. It truly boils down to the numbers and the numbers, to me, are actually lower than anything they may want to project. Looking at their latest reports, their Revenues are so low and their Payouts are so high, they may never reach a profitable year for quite some time. That's just my opinion.

Most likely and unfortunately...there is no way they are not aware IMO.
The only due diligence people need to do here is look up the fact that this stock does a reverse split every few months if not sooner religiously. Total garbage.
muln trust with people are near zero be very caution about any videos or pr this company put out and do your dd for most of these pr are not true . this company use there pr network to dilute shares which we believe the sec should conduct a investigation .
