DIRECTORS, EXECUTIVE OFFICERS, AND CORPORATE GOVERNANCE

Anthony Ambrose, Lead Independent Director, Executive Committee Member, has served for the past six years as a director, President and Chief Executive Officer of Data I/O, the leading global provider of advanced data and security programming solutions, and a Nasdaq listed company (DAIO). Prior to Data I/O, Mr. Ambrose was Owner and Principal of Cedar Mill Partners, LLC, a strategy consulting firm since 2011. From 2007 to 2011, he was Vice President and General Manager at RadiSys Corporation, a leading provider of embedded wireless infrastructure solutions, where he established the telecom platform business and grew it to over $125M in annual revenues. He was previously general manager and held several other progressively responsible positions at Intel Corporation, where he led development and marketing of standards-based communications platforms and grew the industry standard server business to over $1B in revenues. Mr. Ambrose has a Bachelor of Science degree in Engineering from Princeton University.

David Chasteen, Director, Chief Executive Officer, brings direct leadership experience in the information security, military and intelligence communities. He is currently the Chief Information Security Officer (CISO) for the San Francisco Police Department and the President of the San Francisco Veterans Affairs Commission. His background includes serving as a Captain with the Third Infantry Division of the United States Army, working as a Financial Advisor at Merrill Lynch and UBS, and as a Chief Technology Officer at L-3 MPRI. Additionally, he served on the Iraq and Afghanistan Veterans of America (IAVA) board of advisors before joining the National Clandestine Service and serving as the Executive Officer of the CIA’s Covert Action Staff. He has also worked as the Threat Intelligence Officer for the City and County of San Francisco. David earned a BS in Political Science at Ball State University’s Honors College.

Ryan Polk, Interim Chief Financial Officer, brings more than 25 years of experience in executive and financial roles at companies ranging from emerging growth to the Fortune 500. Mr. Polk has been the principal of Perissos Partners, an executive consulting firm, since June 2017. While at Perissos, Mr. Polk served in CFO roles at Generation Next and Cellpoint Corporation. From July 2011 to May 2017, Mr. Polk served in executive roles in the portfolio companies owned by Lacy Diversified, a family office based in Indianapolis, IN which actively managed investments in distribution, light manufacturing, and supply chain management with combined revenue approaching $2 billion. He also led the mergers and acquisition team for Lacy. From August 2008 to June 2011, Mr. Polk served as the Vice President for Corporate Financial Planning and Analysis for Brightpoint, a publicly traded, Fortune 500 mobile device logistics company, based in Indianapolis, IN prior to its sale to Ingram Micro. He began his career at Ernst & Young in the firm’s tax consulting group. Mr. Polk earned a Bachelor of Science in Accounting and Industrial Management from Purdue University – Krannert School of Management in 1990. Mr. Polk is also a certified public accountant (inactive). 

Tom Wilkinson, Chairman of the Board, brings a background in public accountancy and C-level executive experience for a Nasdaq listed company to Cipherloc. He owns and operates Wilkinson & Company, a financial and business consulting firm focused on emerging growth pre-IPO and public companies. Mr. Wilkinson previously served as the Chief Executive Officer of Xplore Technologies until the sale of the company to Zebra Technologies in 2018. Xplore was a NASDAQ listed public company and the sale resulted in a superior return to the investors. Prior to becoming the CEO, Mr. Wilkinson served as the company's Chief Financial Officer and led a successful operational turnaround driving the business to profitability. He is also an experienced audit partner at a public accountancy firm he founded and grew to seven offices and served as CFO of Amherst Holdings, a privately held corporation. Mr. Wilkinson currently serves on the board of Astrotech (ASTC) and is a CPA in the State of Texas.

Dr. Sammy Davis, Independent Director, Executive Committee Member, has over 20 years’ experience in operations, finance, budgeting, financial reporting, revenue cycle management, inventory, payroll, accounts receivable and payable, and information systems in the healthcare industry. He has held numerous managerial positions as the Chief Executive Officer and Administrator. Dr. Davis holds a Doctor of Public Health degree from the University of Texas.
