There is a 30 silent period surrounding an S-1 uplisting.
For the record his last public statement was February 19th.
He's not allowed to per SEC rules.

The line that stands out from today's PR...
"The Company operates a new, state of the art co-packing line and does all formulation in-house."
I think that is the key. And I'd bet that is why KGKG wants to buy this other company, not for their beverages but for their in house production and packing facility.
Why pay someone else to can your drinks when you can own the canning factory?
KGKG would be taking a risk as they would now be liable for maintenance on the machinery and would suffer lost production if the machines break. (Where as when you hire a vendor to do that for you they usually have back ups and insurance to make that not your problem) But the production cost per unit goes down when you can operate the machinery at cost.
So good risk for good reward.
And the manipulation comes right back. With the vermin tripping over themselves to undercut each other's asking prices.

I am just not familiar with the uplisting process.
From what I gather they filed their application to uplist with the OTC, which is what they previously said they were going to do in January.
But the approval process takes 4-6 weeks which is out of their control.
And then once the OTC has approved the uplist to the QB status, then they will file the S-1 making it official.
And as such this is not a delay from what they said in their previous PR about uplisting in January. This is just more details of the process.
Then when the application is approved and the S-1 is officially filed, the uplist actually occurs...within a day or 2?
Is that correct?
Also...for when ice trader reads this....I know it's a pump and dump dilution scam or whatever...sure. I'll agree to all of that if you just go away. Whatever makes you happy.

The PR says the chain has 550 stores in the Southeast.
Southeastern Grocer, which owns Winn Dixie, has exactly 550 stores in the Southeast.
It's not Publix. The details don't match up.

It's all an elaborate scam by Henry Ford from a century ago. His plan from the beginning was to build cars and factories, become a captain of industry, change the way products are products with assembly lines globally, and then at some point still in the future the company will pull the rug out from under the scam by paying shareholders millions.

Right. But they are part of a larger holding company Southeastern Grocers that has exactly 550 stores in the region (matching the PR) including Winn Dixie's and a few smaller store chains.
So I think it's Winn Dixie, Bi-Lo, and the other two I had never heard of before today.

It just matches what the PR says. Exactly 550 stores in the correct region. And if there is no other grocer chain in the Southeast that size (you said Publix was larger, so it's not them) then it must be this group.
This is a SECOND meeting. That's huge. That means the first meeting must have gone well enough to be invited back. Retailer do first meetings all the time. Most go nowhwere. They wouldn't spend time on a second meeting with KGKG unless they were seriously interested in moving forward.
If they can get into a grocer chain AND get good sales numbers then other grocer chains are easy. Everyone wants to carry the product that's already selling. It's getting into the first grocery chain that's hard.

What is the uplisting process?
I know KGKG has to submit their application to the OTC. That hasn't happened yet but apparently will happen soon.
Then from what I understand it takes a week to a month for that to be reviewed and approved.
Once the OTC approves the move to the OTCQB then what?
Does it happen at the start of the next trading day without much fanfare? Do they announce KGKG will move to the OTCQB as of a specific date 6 weeks out?
I have never watched a stock go through this process.

I believe profit taking happens at the end of a 2 day run like that. But people with 400,000 shares didn't just suddenly decide to put in an ASK price 6% below what the market price was 30 seconds earlier.
Anyone would would do that on purpose is insane.

Why would a grocery store care what KGKG's stock status in if they reliably delivered products that customers purchased?
(I'm not saying you're wrong because I don't know. I just have never heard of this and can't figure out why a retailer would care...other than because it means a more stable company that's less likely to suddenly stop shipping refill orders.)

I have no idea how complicated an uplisting application is and how much the OTC audits it to verify the details.

They knocked the price down to .039 today to load up so they could sell for a flip
Fine. They did that. It shot back up to .0434 with no shortage of buyers.
Then either they got greedy and decided to try and bring it down again right away, or they don't understand how math works. By my count the vermin still have about 2,000,000 shares from this morning.
And they are still dropping the ask. Shares sell for .0434 and one of these brainiacs decides they'd rather sell for .043
They sell at 043 and they decide they'd rather sell for .042
I'm pretty sure these people are the reasons they put instructions on shampoo bottles.
