...from persons wanting to return their purchases (assuming GLUC was the company). This month, an elderly lady shipped 6 bottles to us, for which she was charged $300. An elderly gentleman called us because of auto-ship charges on his CC. We called a contact number on his behalf...it was a call center and they hung-up on us.
Fake News. The real names of the young ladies...
...are Sarah Lee and Christina Chang. They appeared on Shark Tank in 2015 and legitimately received an investment from the Sharks for Glow Recipe. Since then, this picture of their appearance on Shark Tank has been photoshopped to push multiple fake products including: Rejuva Essence Wrinkle Pencil, Vividermix, Guardian Blood Balance and now, Stricton D. If you read the full text of the article, the claims become increasingly outlandish and comical (like a Saturday Night Live skit).

Website Updates & New Shopping Cart. Websites were down most of Friday with installation of new shopping cart, reconfiguration of menus, security updates (and usual glitches). The new shopping cart makes it much easier to add new products. The glucodown.com site (when complete) will match the offerings at the Amazon store (www.amazon.com/glucodown) with all the different variety packs. Also the company has acquired many new domains (tryglucodown.com and others) for use in upcoming media campaigns this summer (radio, Facebook).
April 9, 2018 GLUC closed at $0.0647. Today GLUC is trading near $4.00. Not accurate to say price is being driven down. What is accurate is wide daily-weekly gaps in bid/ask due to illiquidity create large share price swings up/down. This is because GLUC is still an unknown company to vast majority of investors. Total Liabilities 2018 = $559,995 vs...
Total Liabilities 2019 = $432,462, which is a 23% reduction due to the angel investors. It is not to GLUC's advantage to pay down more of this debt, at this time. Of the total $432,462 debt, $252,157 is a long term capital investment in GLUC by the CEO; a further $75,000 is a revolving line of credit on favorable terms to GLUC; $22,979 is an investment by a long term shareholder and $7,500 is related to debts for which GLUC does not have contact information for the holder(s). The remaining $74,826 is divided between accounts payable, accrued interest and accrued expenses, all of which fluctuate up/down, each quarter. For example, for the 4th quarter 2019, GLUC expects A/P and accrued expenses to be significantly lower.

At May 31, 2019 and post angel capital raise, there are 11,104,285 shares issued/outstanding. The CEO's Notes won't (can't) be converted and enter into the public trading market (as long as he is CEO). There is no toxic debt/financing in GLUC. The angel raise was 5/7.5 cents and the only non-related party convertible debt is @ 10 cents (exception is previously mentioned $10k 2013 Notes that CEO cannot find the holders of).
Angel Raise & Dilutive Debt Retirement
GLUC raised the equity capital at 5 & 7.5 cents. The investors have a minimum 2 year hold. Remaining current non-related party debt on the balance sheet is convertible at 10 cents. A couple of notes amounting to less than $10k do exist, however CEO has no contact with the note holders (notes can be paid out at any time if needed). Below is a link to more current financials. The next quarterly report due in August will show the improved balance sheet and more detail on the angel raise (which occurred after the end of Q1 so was included as a subsequent event).

Virtually all GLUC's capital goes to...
...manufacturing the product...Cost of Goods Sold...raw materials like the tea and fiber and supply chain expenses...not the G&A expenses. Hundreds of thousands have been invested over the last two years. At one time, GLUC had almost no profit margin. Every container sold was near break-even. Over the last two years GLUC has found efficiencies in its supply chain and its cost of production per unit has been lowered. But at the same time, quality of the product is much improved...most importantly the taste of the Peach, Lemon and Berry teas...which are all outstanding!
Look at G&A expenses. GLUC controls costs...
...better than any Co. on OTC Markets (Pink, OTCQB or QX)...period. What other pubco grows revenue and spends less YOY in general and administrative expenses to do it? In fact, what other pubco (or any company) operates with such a miniscule amount of capital for G&A? Think of the expenses a pubco has...attorneys, accountants, filings... then add in all G&A costs related to producing a product like GLUCODOWN®...attorneys for FDA/FTC compliance, product liability insurance and computer systems to sell to big retailers like Walmart, fees for product testing/registration, fees for warehousing and transportation...plus all the costs of marketing GLUCODOWN® like product graphic design and web design ...and then there is TV advertising...what other micro-cap does national TV advertising!!!
GLUC does all of this for $54,590? If it was $545,900...it would still be 100% reasonable.

Every shareholder needs to buy 1 container and do a 5-star product review (it's only $12.73, the iced tea is delicious and even if you are not diabetic, everyone benefits from more dietary fiber). Walmart renewed Peach (in-store) for 2019
Margins are definitely very tight but GLUC not only generates cash from operations but also bottom line net income...no small achievement for a development stage company. GLUC IR

REVENUES, etc.
A 9-month revenue snapshot doesn't provide the whole picture. Total sales for partial 2016 (GH not available for all of 2016 at Walmart) and 2017 are north of $400k. That's a great product introduction by any measure. For first generation GH product, sales and costs were front-loaded and product became profitable at end of cycle. But key for GLUC is not past revenue success. Its (1) to get the new diabetic iced tea product into Walmart and (2) to close another large national or regional retailer and (3) to keep introducing great-tasting new diabetic supplement beverages. The launch of the new product on Amazon since mid-February at $12.73 is no doubt a good margin for GLUC.

Stores, Taste, How much is too much!
Glucose Health® is available at Walmart in all 50 states. Roughly half (1850 stores) carry the product. GLUC is hopeful this number will grow to all Walmart stores. Glucose Health® is most effective consumed before a meal as it moderates rising blood sugar. Diabetics need to be aware of their blood sugar being too low if they drink more than once per day and take diabetes medication. For general population, drinking more than once per day is fine. The special soluble fiber in Glucose Health® is very helpful. Some folks might even lose a little weight with Glucose Health® because of the "blocking" of the absorption of lipids (fats) and even by the feeling of being fuller for longer (which cuts down on between meal snacks).
GLUC IR - Container Size
The final size is 9.5 oz (270 grams) with 60 servings. The websites will all have updated images soon. The reason for the 270 gram weight (vs. 384 grams) is the new products are dry blended and then "instantized" (agglomerated) whereas the old product was dry blended only. Instantizing makes the iced tea dissolve perfectly by increasing the particle size (which lowers the bulk density) which means the same size container with the same number of servings weighs less. The instantizing process also ensures consistent flavor and quality. Its is unusual for a small company to utilize this level of sophistication in its processing. Virtually all beverage powders from small/medium size beverage companies are dry blended only. Instantizing requires a high level of technical expertise and very specialized equipment and is usually found with national brand products only.
GLUC IR - New Flavors
The consensus was raspberry (alone) tasted very similar to, but not as good as, Mixed Berry. So GLUC went with Mixed Berry (has raspberry in it). All the flavors in Glucose Health® are 100% natural - no artificial flavors. Triple Berry is similar in taste to Mixed Berry which is at Walmart. All the websites (www.glucosehealth.com, etc.) will be updated by first week of March. GLUC's websites will also continue to redirect customers to retailer partners (vs. selling directly to consumer) and additionally, the Facebook page is updated regularly.
What if every share WAS issued today?
"...judging by the history of every microcap ever..." Maybe, but zero evidence of excessive dilution with this microcap. It will be 2 years this April, since GLUC issued a convertible note and GLUC has actually retired closed to $20,000 in convertible notes. If every theoretical share in the report was issued today...GLUC would still have less than 40 million shares. How many microcaps have less than 40 million shares?
GLUC CEO RESPONSE: Convertible Notes
1) First, the last Convertible Note issued by GLUC was April 1, 2016. Since that date, GLUC has utilized non-convertible (non-equity) straight interest Notes (largely to fund inventory). The reason is that, unlike most OTCPK/QB companies, GLUC has generated real cash flow to fund its operations.
2) There is currently $159,220 in principal outstanding on Convertible Notes issued April 1, 2016 and prior (excluding CEO related party Notes, as reported on most recent 10-Q Balance Sheet). 86% of this total…$138,249…stems from Convertible Notes issued by the old BISU in fiscal 2014 and prior years. However, regardless of when issued and whether by BISU or GLUC, the fact is EVERY Convertible Note issued (a) provided the investor in the Convertible Note only a small discount to the trading market when issued and (b) was unequivocally and categorically not "toxic" (financing). Here is the proof of both these two assertions:
a. Below are the unadjusted high/low stock prices for BISU from OTCMarkets.com for fiscal 2014.

b. The data above proves the Convertible Notes in question on this IHUB Board were priced at a (very) small discount to the High/Low stock prices traders were buying and selling BISU for in the market, when issued.
c. All Convertible Notes issued by BISU (or GLUC) have "fixed" conversion prices (vs. conversion prices "floating" on a percentage discount to the trading market - which is "toxic" financing because it provides the investor with downside protection in the form ever greater amounts stock issued on each conversion should trading prices decline - which generates a derivative liability on a Balance Sheet - which is every investor's warning sign of "toxic" financing). Because the Convertible Notes in question on this Board were issued with "fixed" conversion prices, the investor who invested the capital in return for these Convertible Notes was "at risk" of loss (perhaps total loss) if the business prospects and/or market liquidity for BISU deteriorated. Again, for emphasis - the investor in the Convertible Notes faced the same risks any regular market trader faced. In fact, its questionable this investor in these Convertible Notes received any benefit at all (let alone a "toxic" financing!) over regular traders for his capital injection to BISU because of (a) the small discount to prevailing market prices, (b) the legal fees, (c) the brokerage deposit fees, (d) the clearing fees, (e) the transfer agent fees, and (f) the 6/12-month holding period; (b) through (f) all associated with the restricted stock inherent in a Convertible Note investment.
3) As mentioned, since April 2016, GLUC has utilized interest-only financing...and this financing in two cases has been negotiated by GLUC on extraordinarily favorable terms. The proof of this assertion is as follows:
a. GLUC's financing arrangement with CITIBANK which provides 1-week payment on GLUC invoices at a discount rate (an interest rate based upon small LIBOR premium) comparable, or better, than New York Stock Exchange (NYSE) listed companies could negotiate.
b. GLUC's recently announced Revolving Line of Credit which provides non-convertible straight 10% interest financing for inventory.
4) Lastly, it is important for all shareholders and potential investors in GLUC to know it is a top priority for GLUC to reduce all liabilities, including Convertible Notes. And more importantly than good intentions, GLUC has made clear progress as proven by 10-Qs/10-Ks. Accounts Payable has declined substantially since current CEO took over. Various interest-only Notes have been paid in full and just under $20,000 in the Convertible Notes in question on this Board, has been retired.
Dilution, Financing, 100% Transparency
Roger Wilco is a fan of GLUC products which is much appreciated! However, GLUC IR respectfully disagrees with Roger Wilco on "toxic financing". Yes, every single share issued by GLUC is a dilutive share. But not a single share issued by GLUC is due to toxic financing. The accounting proof that GLUC has NO toxic financing is GLUC has no derivative liabilities on its balance sheet.
GLUC participates in the OTCMarkets sponsored electronic verified share count program which is an electronic data link between GLUC's stock transfer agent and OTCMarkets.com. Investors can view share count information updated monthly for GLUC. The GLUC shares which trade in the market is the "Held at DTC" total. There are 3,977,096 shares of GLUC "Held at DTC" as of December 31, 2017.
4 million shares in the public float is substantially less than most OTC companies. GLUC's volatile stock price is due to the small (but recently growing) number of investors who are even aware of the Company and trading the stock.
