The company is a little over 3 years old.
Everything was going through the founder's personal finances (that doesn't work for auditing purposes. It needed to be incorporated). This is not uncommon. That is why the acquisition took a couple of months to complete.
There are 2 full time employees and many part-time contractors.
Because it was being operated as a DBA. Mr. Puglisi was assigned the task of restructuring the company so it would be suitable as a public company.
We will be starting the process next week. We will be submitting a formal request to the T/A next week to issue the Preferred shares as common shares to V group. Once they are received by our T/A we can start the process of distributing the shares to V Group shareholders at date of record. It will be up to them to issue them. We will battle for them. It will not happen overnight but we will keep everyone informed.
We shall see. As soon as the mature date hits, we will submit a “notice of conversation” to have the preferred shares issued to V Group as common free trading shares. Once that happens we can have them issued to the V Group shareholders who owned shares as of the issue date of the preferred shares. It will be up to them to issue the shares. It will not happen overnight.
By the way, this is not the V Group board. If you have a question, you can always call me. If I can legally answer it, I will.
People buy and sell it all the time. The stock traded 50,000 shares the other day. A small amount (1,300) today.
If you bought the shares you can sell them. If you received them as part of the spin-off, you have to wait until the restriction is lifted.
That's because it doesn't become free trading until at least 6 months after the time of receipt. That has been articulated many many times in press releases etc. That's a FINRA regulation pertaining to spin offs and dividends from another company.
What exactly are you guys trying to ask. It trades in the US all the time.
There has been a breakdown in communication with LOFB.
They think we are supposed to initiate the issuance of shares from LOFB to VGroup shareholders. I have been trying to explain to them that they (LOFB) need to initiate the issuance. Only LOFB can initiate the release of shares of LOFB stock.
I have been emailing them everyday and calling ever day. I spoke to the TA yesterday as well. I’m going to have the TA speak with them directly. I’m hoping he can explain it to them.
That is all we are waiting for.
I should never have resigned from the board of LOFB before this was completed.
I know this has taken far too long. I know it has been painful for all involved. I appreciate the patience shown. I am confident that it will be resolved.

Some of what you posted is true. Our intention was to open our first Haircut store in Nashua NH. We had some permit issues. Once that was resolved, we had plumbing issues. I take total blame for that. I didn't do enough Due Diligence. I decided to scrap that location and I personally absorbed the loss. Boise is a much better fit for us.
I addressed this in the last Conference Call.
We did lose our San Diego distributor. They were far from our biggest distributor. We moved to Haralambos distributing in LA that is at least 5X bigger.

Congratulations to Leaf of Faith. Now that they are "Current Pink" we can start the process of working with DTCC on the share distribution to V Group shareholders.
Let me break down the process again.
DTCC now starts the process of determining who the share holders were on the date of record. They must determine how many shares they were holding at that time and in what brokerage they were in. From my conversations with DTCC, this process takes about 4-5 weeks.
Once that is determined, DTCC sends a notice to the Transfer Agent of LOFB. The Transfer Agent will contact the officers of LOFB and complete an Issuance Resolution. Once that has all been processed, the TA will start transferring shares to V Group holder's accounts. This may take 2-3 weeks.
At that point, I (Lawrence Twombly) will assign my shares back to LOFB to help keep the issued and outstanding in check.
The clock on the restriction will not start clicking until the shares actually are received in the shareholder's accounts.

I have said over and over: No press releases foe either VGID or FHBC until after LOFB is completely finished. It is nearing completion but it is not completed yet. Don't ask me when that will be, I don't know.

That is true. That is why we moved to a larger bottling facility. We needed a facility that could keep up with our growth. We did move on from Lenore. They couldn’t wait for product. We respect that. This is not uncommon in the beverage business. We gain distributors and lose some all the time. Or larger distributor in LA in now covering the outlets previously serviced by Lenore.
Yes. The production happened a bit earlier than scheduled. It actually happened last week. If you text me I can forward you some videos of the products being produced. I don't know how to upload video here. Perhaps you do.

I apriciate your concern. If you knew anything about these markets, you would know that VGID never had an IPO. We did a reverse merger into an already exsisting public entity. At that time we were doing about 150,000 in revenues. On paper the public entity was worth over 300,000,000. So of course the price went down. There is no way our little start up was worth that. By the way. We are up 400% from the low.
No we will not audit the financials of VGID. We can’t because we would have to audit the financials of the company that was in there before us. One of the reason for spin offs. We have gone over this multiple times.
I suggest you only invest in Big board stocks and stay away from Pink Sheets because you obviously have no idea what you are doing.

June just ended 2 weeks ago. We didn't want to release all the numbers until we were finished compiling them. We have done that and we will be releasing them.
We have hired help. You have no idea how the beverage business works. We deal with distributors. Distributors have many sales persons. Our job is to keep them happy.
We are on FINRA constantly. We are paying lawyers to constantly be on them. The more we harass them, the slower they get.
I have answered all these questions multiple times.
As for why I reponded to a single guy: I promised him I would get him product. He didn't get it for whatever reason. That was something I had some control over and it didn't go well. I feel a need to make it right. If you have a problem with that, Too bad!
