The part I was referring to as "risk-free" relates to the principal itself. Hypothetically, if I invest $10k of principal into the units post-IPO, I can either generally sell in the open market around the IPO price of $10, or choose to redeem my unit shares for my principal + any accrued interest. So, from that perspective, I believe initial principal you invest in the units are, for lack of a better term, risk-free.
Right, but....
You receive the warrants at the time the units start trading as shares and warrants, correct? Usually 50 days post-IPO.
So, if you sell your shares then (after getting your warrants) and get basically your principal back, the warrants are truly a free play at rolling the dice.
What you are talking about in terms of the warrants around acquisition time is very true. But generally those warrants will begin inching up prior to then, so if played correctly, you can make a little money. If not played well, then you lose house money.

General question about SPACs...
Generally speaking, 50-52 days after a new SPAC IPO generally the units split into shares and warrants. Once you get those warrants, you can theoretically sell the stock and get your principal all back and just play with the warrants correct? Granted, the warrants are probably dead money for a year or more until info regarding an acquisition or merger start to surface, but it would be house money so who cares. Some warrants will be worthless, some may hit pretty big.
What am I missing here?
Getting quite long RGDEF at these levels. Incredibly cheap. The big slide in price has been on relatively light volume so I am using it as an opportunity to big a sizable position. The company's numbers are organic growth is quite incredible. Sometimes it just takes time for the market to recognize it.
I haven't posted in a while and just wanted to make a few comments:
1. LFAP is still my largest holding, and I continue to add. Just today I added additional shares.
2. The PR from this past week was important for many reasons; the most important of being the continued direction the company moves to in order to be in-sync with Apple Healthkit.
3. The company continues to invest in its website and development. New website live in Q1 2015. Expenses continue to decrease.
4. Jack Tretton, a member of the Advisory Board, continues to be the wildcard here. The former CEO/President of Sony Playstation certainly is working behind the scenes working on some deals, or a strategic vision, for LFAP. Very excited that he is part of the team.
5. CEO owns 53% of the company; intentions should be well aligned with shareholders.
I am very optimistic for the company in 2015. I am not putting a price target on the shares, but the recipe is here for this to return 1000% + if events transpire as I feel they could.

Glad to see some folks chatting on this board. LFAP is a hidden secret in my opinion. I continue adding to my position and pretty soon may be one of the largest shareholders, second to the CEO who owns 53%.
My Largest Holding
I have been building to my position in LFAP over the past month as the share price as decreased, and I now own over a million shares and continue adding. I have a high conviction level on this one. Love that Jack Tretton is part of the team now (I spoke with him recently about it), and I also am very excited about the potential for a takeover at these levels. Very low float for a penny stock, CEO owns 53% of the shares, so interests are aligned. Really like the story with the focus on health related apps also.
No longer a development company, now a real revenue generating company. Net losses are decreasing and revs are increasing.
Very risky, but could be HUGE reward. I will keep adding here under .01, target remains at around .07 sometime in the next 12 months.
Look back at my posts-- that was my theory for buying this thing pre-split at .07 or so, expecting a move back to .12 pre-split. The wheels are in motion, but I am about to take profits.
This is why I have constantly said don't listen to the "noise". 12 cents, pre-split, here we come.
There are no current revenues.

By the way, I think we close around .067 today. Just my thoughts based on what I am seeing with Level II trading.
With a positive PR, this thing really moves.
Volume will be light, and we will continue to drift lower probably, until we get an update on financing. I expect news anytime on this.

I often compare PGRX to LNG... Way back when, LNG was a penny stock, had incredible assets but had to obtain financing to continually progress forward. They had about a billion dollars of debt at one point while they were developing their projects, with no revenues, and they continuously worked with creditors and the creditors worked with them on the payments. They wanted LNG to survive because they knew if it did it would bring them some serious return.
Sounds somewhat familiar?
LNG is now around $28/share.
We definitely need the volume, but I think it comes with positive developments on the financing side that I am expecting.
Same thoughts as have been shared previously. The future of this company hinges on financing negotiations; the assets of the company are worth a ton of money.
As I have always said, use these dips to buy more if you share my optimism and expectations that the company will reach financing agreement amendments with correct creditors.
I am well aware of how Level II works, but thanks for the explanation. If the market maker wanted to withdraw the shares, they wouldn't show up on Level II.
I do agree with you that games are played all the time.
I think we are getting close to blast off. If you look at Level II quotes, a ton of accumulation and some big bids coming through the past week, with little overhead resistence. A few more large bids at some higher prices are going to make this fly.
My gut tells me a positive PR in the coming days.
Not surprising to see some weak holders get out this morning.

Again, I am buying up shares.
People sell for all sorts of reasons. It is not like that amount of shares represents a ton of money.
Adding in the mid .06s now.
I am not denying anything- I have mentioned on here that this is a company with risk, but the risk-reward, in my mind, is far outweighed on the reward side. Again, read my prior comments to understand my theories as to why this company is embarking down a highly profitable road and why I feel the financing will come through.
Again, I am buying on the dips into the .06's, and expecting very nice returns in the near future.

It's low volume days like this that you really want to buy more, if you are not into your full position yet. We are a few large block trades away from this easily pushing toward .09. Very little overhead resistance.
As I have stated before, I think we get to .12/share in the coming 6 weeks. With a positive PR regarding financing, there is no telling where this would shoot to.

I am not sure what you guys are talking about. You are assuming this company is in bankruptcy...quite ridiculous! Common shareholders will get the return of that the stock provides.
Like I have said all along, nothing is new here. This is my largest holding by far and I am adding on each and every dip into the .065 level. I expect the company will be successful in all financing negotiations going forward and all project milestones going forward.
I am not flipping this name, I am investing in it just like some other smart folks that I know.

There is nothing new here. Again, it is a penny stock, there is plenty of risk! But there is plenty of reward if these guys get it done like I think they will.
Let the weak holders out; if you are long then buy the stock and hold it until milestones are met.

And don't forget, a $2 billion agreement is in place for Prospect to sell potash to the Chinese entity. There will be lenders that in on that action.
This stock is .07 cents...of course there are risks!
But, you have to look at the potential of such an investment. If you really think that this seasoned management team started this company without a financing roadmap and business plan are unfortunately misinformed. What about their plan has not played out accordingly?
Two things to watch going forward... Will they stay on scheduled as planned? Will the stock push toward .12 cents as I think it will in order to hit the financing objectives?
Again, I've successfully invested in many stocks for many years, and I am perhaps most excited about this one as I have been about any.
I will engage in any respectful conversations, but do not have the time to
entertain and discuss with typical penny board bashers.
First of all, remember this is an "investigation" not a lawsuit. These things happen all the time, only a very small percentage ever lead to a lawsuit.
Secondly, let them investigate...they will not find anything. The company has only proposed things for shareholder vote. If the shareholders agree and vote something to occur, then it's extremely difficult if not impossible to sue.
Third, I have been trading an investing in stocks of all sizes over my career. Quite frankly, this is one of the best opportunities I have ever been a part of. Needless to say, I continue to add on any weakness. Our day is coming.
