What about the upside down numbers ( the losses) in the filing - does that concern you ?

There’s no 12 million revenue. Low numbers but the debt is a problem. Should have bought NSAV. It’s going to skyrocket tomorrow morning with revenue of 204 million dollars for 3 months. Cryptocurrency is the future of your money.

Would it ever reach a share price of $330? Probably not but I think it could do very very well if it gets the name change, uplists, continues to acquire revenue generating MSPs with a consistent EPS eventually.

Grace Period
Securities enter a Grace Period when OTC Markets Group is no longer able to confirm that the issuer’s disclosure is current and publicly available as required under Rule 15c2-11. When a security enters a Grace Period, it can continue to be publicly quoted for 15 days. At the end of the 15-day Grace Period, if the required disclosure is not available, the security will move to the Expert Market for unsolicited quoting only, unless OTC Markets Group determines another exception under Rule 15c2-11 applies, such as the Large Company/ADTV exception.

Agreed. Unlike the big companies like Crowdstrike or Palo Alto who have big clients, Reachout is the only one that I know of catering to small and mid size businesses. His plan makes sense and he's one of the first to consolidate those offering such services in this space. I know this won't be a 3 figure stock but anything more than a few dollars pps would be just fine in my book over the next few years. Who knows what the future holds but I feel better about this one than I do any of the other ones I've invested and left in the past in the OTC.
Hopefully Rick doesn’t acquire outdated companies. I was in ATDS and I lost my money.
I'm less versed on the aspects of dilution and special financing although I did remember Rick saying that while he didn't want to do that, that 'everything' is on the table to get to the destination point and that he'd always try to do the best he can. I just know that unlike many OTC start ups, this is an operating company in the cybersecurity space and he's quietly acquiring other similar companies in order to consolidate and improve the economies of scale.
So they have a year to get it done without shorting it? It doesn’t say that MM’s can’t shorting it either. Just curious 👀
Five things that make this different from any other Trillium deal:
(i) Notes > 1 year to maturity
(ii) Notes with no early conversion before maturity
(iii) No other lenders
(iv) S-1 Equity Financing Agreement filed with “no shorting” provision
(v) No paid promo
Interesting. I'm not sure either. All I do know is that this is a company with revenue streams and they are in expansion mode. Several things afoot here over the next few years. That's why I'm here...and staying put.
Both convertible notes mature May 31, 2025.
Very unusual given every other convertible note Trillium has issued to every other company matures in 1 year or less.
They typically don't like holding any notes longer than a year so why make an exception here and why this specific date for both notes?

Yes, you have to know when to sell. I’m always a bag holder. I have lost a lot of money on OTC. The worst was ATDS. A cybersecurity stock and it was a startup company. Jason took advantage of his shareholders. Taking Toxic Notes to pay for companies that he has bought. The companies were outdated firms. He has 3 or 4 RS as of now. It’s not trading very good. Everyone knows him by now. They don’t want to lose their money.

First OTC I was ever in. Name and ticker change from FNHI. RS twice (maybe 3 times). Legit company. I was in and out for about 3 years (mostly in). Didn't make a penny (my own fault) but good lessons there. My main take away was that if I just hung on til NASDAQ (I sold before) I would've lost most of my money because of the RS. BUT it had a two or three good runs where those who played it right did very well.
Nothing comes to mind for only uplisting from OTC. But RS all work the same. The RS needs to put the share price above $4 as that's the NYSE and NASDAQ minimum listing requirement. So any RS will need to do at least that.

Would you have any examples of stocks trading below .10 that did a RS to uplist from OTC to Nasdaq?
1 for 1000 and it was recent. Chinese company, so unsure what's real, but the transfer agent VStock is sound. So who knows. Generally see 1-for-10 to 1-for-100 on most uplists that are trading above .10

What is the biggest RS you have ever seen for an OTC to Nasdaq uplist?
Yes, 1-for-40 and were trading at .16 while on OTC at uplist. That's how they had the uplist price of 6.75.
Did they have a RS in the process for listing on a exchange?
DTST had an identical Equity Financing Agreement with Trillium/Southridge/Hicks while on OTC.
DTST now trades on Nasdaq.

Their financing is an equity financing agreement with Trillium.
In a nutshell, it is an agreement for up to $3 million.
Trillium is not allowed to short the stock.
Trillium can not own more than 9.99% of the O/S for 24 months beginning on the effective date.
Trillium is not allowed to purchase more than $250K at any given time.
YCRM has control of when they purchase the shares.
