Because you cant buy many shares down below 50 cents. This is for larger investors. Any large buying will make this run hard IMHO. The problem for now is hat there is no buying.

Maybe they shoudl consider getting some depth rather than equity. One shareholder is giving them a loan, so maybe this could make more sense.
Certainly not helping the insiders selling their shares at $0.5. But maybe they will cancel the S1, that would really help us going back up quickly. Just a thought.

Well, I guess we are getting rid of weak and impatient shareholders. Will keep my shares looking for higher prices in the future. Not much of a downside from here IMHO.

S-1/A items/observations, VIV-CELL store opening......
1) Based on some of the numbers/info in the paragraphs below, I think Q2 will probably continue to be low. Some quick/rough back-of-the-envelope calculations is leading me to believe it will probably be somewhere above $300K........

Talk about their business to move share price higher and then place shares.
Nobody knows about this company and they are being silent so far, e.g. no press releases. They might place their shares first and then start talking about their business to move share price higher. Could make sense IMHO.

The 12M shares will be sold to some larger investors, not over the exchange. If they sell those shares to some larger invetors this will give the share price a boost. Since the float being traded over the stock exchange is rather small, the induced buying of shares can move the stock quickly. Ever looked at shares going public. They buy the shares prior to going public at a large discount to how they trade over the exchange, once traded.
Move quickly - YBGJ trades a couple of shares a day at best and now there are 12M for sale.

I understand. I also liked the shares better above $3, but hey these shares can move quickly. Lets hope they prove to be a good investment, time will tell. Dont see many shares being offered/sold in the market either...

Might be a low float but that is about to go up by 12M. shares.
Institutional investors. Try to buy 12 million shares at 26 cents, impossible. No real selling taking place, the number of floating shares is low that is why there is little to no trading. Current share price isnt reflecting much of anything. I would like to hear from management and prices should move. This might take a while but I do see a large potential here IMHO.

The best bidder is 26 cents.
Who is going to buy 17M at a half a dollar, especially when 12M are by selling shareholders.

Additionally, the selling stockho lders are offering an additional 12,251,100 shares of Class A common stock, par value 0.001 per share, at a fixed price of $0.50 per share . The selling stockholders include: (i) Focus Draw Group Limited (“Focus”), which is selling up to 4,728,000 shares of our Class A common stock held by Focus (the “Focus Shares”), (ii) Dragoncloud Technology Limited (“Dragoncloud”), which is selling up to 5,768,100 shares of our Class A common stock held by Dragoncloud (the “Dragoncloud Shares”), and (iii) Cheung Ho Shun (“Cheung”), who is selling up to 1,755,000 shares of our Class A common stock held by Cheung (the “Cheung Shares”). So we got an ammended S1 today, kind of hard to tell the difference.

A couple observations...Q1, S-1......
Q1: First quarter revenue ($462K) and gross margin (68%) were down from the fourth quarter. I would have preferred to see those numbers a little bit higher, but it doesn't overly concern me at the moment. I'm hoping to see some additional growth/acceleration more toward the Q3/Q4 timeframe. I'm not entirely sure if the products were just recently launched/introduced or if the company is just bringing more attention to them (I'm thinking the former) but, YBGJ-related social media accounts in China the last week or two seemed to be focused on two light-application products (skin/hair treatments).
S-1: It is kind of interesting to note how the intense selling pressure that was being exerted on the stock seemed to significantly decrease as soon as the S-1 was filed on May 6. There appears to be much less interest now in selling under that 50-cent price area. It will probably take at least a couple/few months for the S-1 to be declared effective. It will be interesting to see if YBGJ is arranging for institutional involvement in the proposed $2.5 financing and potential insider sales. I think is reasonable to assume will see increased volume in the stock and perhaps increased corporate activity later this year with the financing once the S-1 becomes effective.
I only had time to have a short glance at it, so far nothing unexpected as far as I can tell.
Never looked at their filings before.
