Hi, Trader. My background, in part, comes from real estate . I just read for the fiftieth time that post where it explicitly stated that an agreement has been EXECUTED but not yet CLOSED.

In the real estate world, this could spell total disaster. The transaction, not being closed legally could spell utter madness and vulnerability to the whole deal as another party could come in and change the structure of the desired deal completely and legally.

I don't know how a similar situation plays out in stock land but I can tell you it looks possibly legal as well and as stinky as 4-day old dead carp on a sunny dock.

So, if the deal does not officially, legally close, which maybe happens by way of some record of said deal being recorded publicly only chaos and confusion lingers in the aftermath.

Maybe after a certain number of days, the last RECORDED version on the structure takes precedence. Maybe. I speculate here.

I will admit my efforts to gain clarity on this matter have rendered dismal results.

Yes, he is. Should go back to around January of last year when he went on his little Twitter rant. Not a good look for any CEO, even on the OTC.

With respect to his business that he took with him, it appeared to be a decent little investment company, not nearly as big as exclaimed on the interwebs, but more of a business than most OTC stocks had going. He did a RS to wipe out the standing equity, and I'd thought it was 50-50 that he was going to do an S-1 or similar and sell some stock to raise money and grow, but he did nothing more than issue a few quarterlies and then left. Oh, well.

Nothing left to see here, the PPS isn't exactly friendly on the OTC anymore for anybody to do something with the shell.

What happened here? I was in the trade pre-split and made some returns. Now I just check in every couple months to see if they ever kept any of the promises management made last year. I see everyone resigned and WDBG no longer owned Woodbrook. So this is a shell company with very low share count and $100k in cash?

Why don’t these people ever go to jail or at least be prevented from owning stock or being employed by public companies? The shareholders were promised a split and NASDAQ uplisting over a year ago. That was promised and then never addressed again by the company. A few early buyers made a lot of money when this was sub-penny and then everyone got crushed shortly after.

I peek at this stock several times a day and that this form several times a day. Have been doing so since August. it feels from the gist of some of the posts that a lot of people are still doing a slow and bitter burn about the reverse split last January. Fair enough. Along the way it would appear the company has been doing well but nobody wants to buy it. And who can blame them it's difficult to understand what's going on.

Spock ... I get drunk before doing Mensa crossword puzzles just for the challenge and that's easier than figuring out what this company is doing.

Explain how this scheme played out and benefitted them and I may give you an “attaboy”. All I see is they lost out on the cost of the merger because shares weren’t issued by them at any time. What was the point of all this if they didn’t gain anything?
