February 20, 2013 — Axiologix Inc. (www.axiologix.net), (AXLX) an International Technology and Services Organization focused on delivering ‘Cloud’ Products and Services today announces that it has completed a Letter of Intent to acquire 100% of a leading California based provider of IP voice, data and managed services to small and medium enterprises (SMEs) across the United States. Details of the transaction are not being disclosed until completion of the necessary due diligence, which has commenced, and signing of definitive agreements. Subject to successful completion of the above and Axiologix closing the necessary funding, the transaction is expected to close within the next 120 days.

Completion of the acquisition would bring immediate additional annual revenues in excess of $5 million to the group and is EBITDA positive. When consolidated with other pending acquisitions in the VoIP market, the combined operating costs can be reduced due to shared common services and network cost reductions, therefore generating more positive income from the existing revenue streams when combined.

Dennis Mitrano, President of Telecom Operations at Axiologix, commented, "We are pleased to announce the advancement of our stated core growth strategy. This announcement stems from a number of ongoing discussions with similar providers and marks a significant milestone in the execution of our business plan. North America is "likely" to become a net exporter of energy by 2025, ExxonMobil said in December 2012 in its annual energy outlook.

Surging shale gas and other unconventional resources will help propel the changes, leading to US economic and manufacturing strength, as well as more trade with Asia and Europe.

Meanwhile overall energy demand will grow by 35% by 2040, ExxonMobil said.

The Irving, Texas-based company predicts more than half the unconventional natural gas growth will take place in North America, with the fuel expected to overtake coal as the world's No. 2 fuel by 2025. ExxonMobil predicts this will happen faster than it forsaw in 2011, when it saw the change taking place by 2030.

PHOT Chart......DOJI formed for today's candle.......right below MA(20)/middle Bollinger Band resistance.....

Doji's formed @ tops = a pullback.......since this doji was formed after PHOT bounced it is considered a top......the fact this top/Doji has formed @ MA(20) is significant......

once PHOT dropped below the Middle Bollinger band the trend changed from Bullish to Bearish....in order for PHOT to start a new uptrend it must CLOSE above MA(20).......

3 days in a row PHOT failed to close above Middle BB resistance......& on the 3rd day a doji formed.....

what does this all mean?.......that PHOT is set up for a pullback......the declining Vol. the last 3 days confirms this.......sellers have tired trying to break MA(20)......

1st support level is MA(50) @ 0.052 on a pullback......MACD had a bearish crossover last week & SAR flipped to a sell signal last week......both these indicators have signaled the downtrend......

if PHOT fails to close above MA(20) tomorrow I'd expect a pullback to MA(50) support......if PHOT breaks MA(20) resistance the next resistance level is MA(10) @ 0.078......

once PHOT clears MA's(10 & 20) a run to Upper BB resistance should follow......PHOT on judgement day radar......do or die tomorrow......$$$

The 60 min. chart shows what's really going on......checkout MA(10) @ 0.07+.......this is the resistance level that USRC must break & close above to head higher.......

for 3 days USRC has been bumping against MA(10) on the 1 hr. chart.......now MA(20)/Middle Bollinger Band @ 0.08 is catching up w/ MA(10)......

Look @ the Bollinger Bands on the 60 min. chart.......they are getting extremely tight.....this is called a Flex Point......

Look how wide the BB's were on the 22nd & 25th......now look how close they have become today.....this reflects the tight trading and shows USRC has found support.....

the 60 min. chart is showing USRC actually closed just above MA(10) for the last hr. of trading......very bullish finish.......shows USRC is ready to pop tomorrow.....

MACD had a Bullish crossover on Mon.....& TRIX is headed for a Bullish crossover tomorrow on the 60 min. chart........

this is the perfect example of why you want to use an intraday time frame when analyzing a stock......the daily chart is showing USRC needs another day to form the reversal pattern, but the 60 min. chart is showing in better detail that the bounce is already starting........

The day is young, so the pattern can change, but right now a Bearish reversal pattern is forming.....

Yesterday's candle was above the Upper Bollinger band.......the share is currently trading below the Upper BB @ 0.006......it is resistance......

1st level of support on a pullback is MA(10) @ 0.0037......as long as MCET stays above MA(20)/Middle Bollinger Band @ 0.0026 the uptrend should continue......

As you can see on this chart MA(10) has been support the entire month of Feb......if the Bearish pattern holds into EOD then MA(10) will be the reload target......

MCET must have lower Vol. today on the pullback than the previous two trading sessions......if there's an increase in Vol. on a down day today that would be a red flag........

New 52 week high was made yesterday.......the indicators were signaling overbought......this is a normal correction after a breakout above the Upper BB......

As long as MA(10) holds on the pullback everything should be OK & the 52 week high should get retested......if MA(10) support breaks on a pullback there will be significant downside risk......
