Admin Proceeding:

WNEA is severely delinquent in filing their Financials and corporate filing obligations to the SEC. On Feb. 20, 2015 the SEC suspended 8 stocks from the Delinquent SEC Filers list, and it is likely that more delinquent Filers will be suspended.
Since Jan 1st, 2010 the SEC has suspended over 1290 stocks for Financials delinquencies. All of those Suspended stocks had their stock registrations revoked.
Shareholders should contact the company and pressure the Mgmt to file their delinquent Financials because ALL shareholders would be wiped out IF the SEC suspends the stock.
WNEA is on the list of delinquent filers:

I can't believe how cheap this stock is. If this company is still in business, it's probably a heck of a buy here.
Is this company still in business? Website looks good but stock doesn't. Weird.
Hmmmmmmm? This stock seems......what's the word inactive. There are some days I see 0 volume. What's the deal? Is this just a shell with nothing of substanance or what?
I don't know about everyone else, but I'm ready for this stock to do something. GO Wind!!!!!
I have one word for you: Fukushima
Not sure Nuclear is the way to go.
Wind has no future, buy nuclear =)
j/k I think you are right that this one is ripe!!
This looks good I like the news but why the poor spread an no volume..too bad
Look at wndt.............
remember last week and its volume day up 4 cents- wait until next week,. \i have a feeling, as long as they have some news..they havnt had press in a long time,,,nothing for 2009, not even an update,.the wind sector is huge and they need to tap into it
strong-strong=strong-
oh this is a big play. my riend told me about this deal..they have boreal energies assets- wind is usually long term but this stock at .30 cents..you blow on this and it will grow. no one is waking up saying i want to buy wnea.ob however, as long as this company keep progressing forward- this thing will not stay at this low level
Rather large volume today for this stock and 4 cents up ahead of quarterly report...if it gets filed on time. But could mean this baby is up to something. Maybe those two new windmills are almost done. Aside from that, doesn't look like much until those development interests convert to equity next year.
o.k. what makes a strong company? assets and windpower
We sure love wind investments out here in Calfifornia- How many fans of WNEA do we have in this forum? I guess its low and I am buying in at a low price..so, there are many who bought in higher I am sure...However, through my due dilligence however so brief. I like this deal...not just because it is wind. Is this company moving in the right direction? I am hoping to see new life in this stock soon.
Hang in there. Wind and solare are long plays, but they the future on their side.
I'm recently starting to look into wind and solar stocks and happened upon this one as I am looking for US companies.
It appears that they lost the CEO a few months ago because his "salary... was too expensive." They also seem to be cash poor and looking for financing to complete projects (including dilution). I may hold off investing here, but will keep it in mind for the future.
I had a nice swing trade with JUHL, but think I'll start a long position with an ETF like FAN. Just about all the wind and solar companies are a BUY right now... If oil goes up to 70 like OPEC hopes, then this stuff will really take off when Obamas plans are set.
Hello, I just found this board this evening. I have owned a substantual amount of shares in this company for about 2 years. I look at WNEA as a long term investment. Over the next few years we should see a large increase in share price. As there ownership interset increases and the demand for renewable and green electric generation goes up, those of us that own shares at these prices will be rewarded.
I am not sure what all was involved with the drop in price over the last 6 months, but it now looks like the tide has turned.
Lloyd
the offer is still over the open, thats a good sign IMO
i feel the same way sometimes
I keep watching it tick and can't help but wonder why people put in market bids. Just puts money the MM's pocket. Makes me want to cry.
i agree the volume is moderately low but atleast all the selling is being done at the better part of the offer and not the bid IMO, shows some potential in moving foward IMO
Low volume and an insane spread on the bid/ask. I still have not talked to someone at the company to get a feel for the what's what. I plan on doing that and calling the TA see if anything is out of the ordinary. Also trying to follow the paper trail of the buyouts/mergers/yadayada that has taken place. I will hopefully be just full of info soon...
thank you, with the energy crisis we are in its only a matter of time for the volume to pick back up into the 100,000's, they have only had the new IR firm working for them a couple of months so in due time my friend, to get in now would help out your average when we get out of this bear market IMO
OK... I have quite a bit of stuff for the Ibox, I will try to get it to you later today. I am actually driving right now
used to be DTOX so im gonna try to inform them we are over here on this board now and to join us
with the right exposure this company could be a keeper IMO
Sweet... This one caught my attention but I have not put in a buy. I will continue the DD and see if I can figure it out. There is very little volume so it's not on the radar.
hey i got the board up and running as requested now lets get some activity...
up .03 this morning and heading upward with buying coming in the higher end of the spread, looking good IMO
i think there is still investors on the other dtox board that havent followed over to this one since the switch to wnea IMO
Recent news and PRs needing updates IMO
there is a lot of things that need to be updated IMO
hmmmm.... lets get this board up. There might just be company here somewhere.
Form 8-K for WIND ENERGY AMERICA INC.
25-Sep-2008
Completion of Acquisition or Disposition of Assets, Unregistered Sale of
Item 2.01 Supplement to Completion of Acquisition of Assets
On September 22, 2008 the registrant Wind Energy America Inc. (the "Company") and Boreal Energy Inc. ("Boreal") completed the exchange of the Navitas Energy Inc.("Navitas") equity interest previously owned by Boreal for wind energy assets previously owned by Navitas, and the Company concurrently released from escrow to Boreal 10,000,000 shares of unregistered common stock of the Company. This was all pursuant to the Asset Purchase Agreement (the "Agreement") between the Company and Boreal which was closed February 29, 2008 and which closing was reported by registrant in a Form 8-K filing dated February 29, 2008.
The Agreement provided that Boreal could substitute wind energy assets in exchange for its equity interest in Navitas provided the Company is satisfied with the valuation of such substituted assets. Pending resolution of this exchange, Ten Million common shares of the Company were issued into an escrow account to be delivered to Boreal only upon the Company being satisfied with the asset exchange. Since March, 2008, Boreal negotiated and processed an exchange of its Navitas equity interest for wind energy assets satisfactory to the Company, which has now been concluded. The Company has determined that the substituted assets from Boreal have a fair value of at least the $11 Million amount at which the Navitas equity interest was carried on the audited financial statements of Boreal.
The wind energy assets substituted for the Navitas equity interest, and now owned by the Company, are as follows:
i) Two 850kw rated Gamesa G-52 turbines and two 2mw (2,000kw) Gamesa G-80 turbines, and related wind energy generating and transmission infrastructure, which are located on wind farm projects in Minnesota and Iowa;
ii) The Midwest Center for Wind Energy facility and 160 acres on which it is situated in Lincoln County, Minnesota, which facility is a modern building of 14,200 square feet containing 8 lodging rooms, 4 offices, a large meeting area, a conference room, and a maintenance shop area; and
iii) The Viking Wind Energy project in Martin County, Minnesota, which when developed will contain a total wind turbine nameplate rating of up to 100 megawatts, including extensive completed wind studies, meteorological equipment, certain permits, wind capacity factor forecasts conducted by Navitas, and all interconnection documents and agreements related to the project.
Item 3.02 Unregistered Sale of Equity Securities
Effective September 22, 2008 the Company released from escrow to Boreal Energy Inc. the 10,000,000 shares of its common stock related to the exchange of substituted assets for the Navitas equity interest, which common shares are now outstanding and fully paid and nonassessable. No commissions were involved in this transaction and these Ten Million shares were sold and issued in reliance on the exemption from registration set forth in Section 4(2) of the Securities Act of 1933, as amended.
This is a shell off the OTCBB which is why it ain't pink.
They are selling shares for a living. They do not have and are not likely to get financing to build any wind farms.
