Vion Pharmaceuticals’ Second Amended Chapter 11 Plan of Liquidation became effective, and the Company emerged from Chapter 11 protection. The Plan, which the Court confirmed on April 6, 2010, “effects a transfer of all of the Debtor’s Assets and liabilities into the newly formed Vion Liquidating Trust created for the purposes, among others, of making distributions to the Holders of Allowed Claims, pursuing Causes of Action, and otherwise completing the liquidation of the Estate, all as more fully set forth in this Plan.” This pharmaceutical company filed for Chapter 11 protection on December 17, 2009, listing total pre-petition assets of $40 million.

Immediately prior to the confirmation of the Plan, Vion had 60,000,000 authorized shares of common stock, $0.01 par value per share, of which 8,054,519 were issued and outstanding as of April 5, 2010, and 5,000,000 authorized shares of preferred stock, none of which were issued or outstanding. As a result of the Plan becoming effective, all of Vion’s outstanding shares of common stock will be cancelled without consideration as of the Effective Date and have no value. No shares are being reserved for future issuance in respect of claims and interests filed or allowed under the Plan; provided, however, the Liquidating Trustee will receive and hold one share of the common stock for the purpose of maintaining Vion’s corporate existence pending dissolution. Therefore all of the existing equity interests, including common stock, of Vion are worthless, and there is no value to the conversion rights of Vion’s convertible debt.
Assets and Liabilities
In its most recent monthly operating report filed with the Court on March 22, 2010, Vion reported assets of $13,808,535 and liabilities of $66,563,236 as of February 28, 2010.
Item 3.03 Material Modification to the Rights of Security Holders
Pursuant to the Plan, all outstanding equity interests of Vion, including but not limited to all outstanding shares of common stock, options, warrants or contractual or other rights to acquire any equity interests, are cancelled and extinguished on the Effective Date.
In addition, on April 8, 2009, the Company filed a cease trading request with the Financial Industry Regulatory Authority. Accordingly, Vion’s common stock will cease trading and be removed from the OTC quotation systems list.
After filing this Current Report on Form 8-K, Vion will file a Form 15 with the Securities and Exchange Commission to deregister its common stock under Section 12(g) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”). Vion’s reporting obligations under the Exchange Act will consequently be terminated and suspended.

The shares are worth well north 0.10$ even as much as $1 and probably more, insiders still want to take VION private or exchange debt for equity which is more likely. In the first case we will be paid something but I am somehow sure we will see new injection of money and then $1 is cool no problem. I am holding indefinitely at this prices it's a steal.

Yes. It seems that it was just 'pumped' yesterday and 'dumped' this morning. Last year GVBP- 'biotech' stock was trading in multi-millions $ before the SEC halted it-classic pump and dump of 2009- $15-20m vol. traded above $1 in the morning before the crash and now it's $0.02.

From the last PR, imo, it seems that the company may be planning to restructure and that is why it's giving warning like this:

"Management informed investors that it had noticed continuing high trading volume in the Company's common stock after the Company's filing for bankruptcy and of its belief that there will be no value for the common stockholders in the Company's bankruptcy liquidation process, even under the most optimistic of scenarios. Stockholders of a company in Chapter 11 generally receive value only if all claims of the company's creditors are fully satisfied. In this case, Company management believes all such claims will not be fully satisfied, leading to its conclusion that Vion common stock will have no value."

They may continue R&D under the new 'restructured' organization/company, but then there won't be any value to VIONQ common stock/shares, imo. Another recent/similar example is the formation of FCSC -Fibrocell science from Isolagen which was under BK and had a pending FDA filing that time.

I have been in and out of this stock for years! In fact it was the very first stock I ever purchased. Be very careful here. The company has been run to the ground by crooked management and failed trails. Back in 2002ish there was a good chance this company was going to make it big....but phase III trail FAILED. I don't recall the drug (ARC maybe?). Pre-2000 this stock was in the $40's I believe.

I missed the run yesterday....kicking myself in the ass because I was about to buy around .08 but decided it wasn't even worth the gamble.

Again, be VERY CAREFUL here folks....Kessman is a freaking id10T.
