For those who have not read the "famous" 8k filed last November with regard to the buyout proposal , here is what they said :
"The Company or the Buyer may terminate the Purchase Agreement under certain specified circumstances , including if the financing has not been completed within 105 days."
105 "open" days corresponds to the maturity date which is March 31st
Seventh Modification Agreement
" Effective November 12,2008, the Company and the senior Lender entered into that certain Seventh Modification Agreement and Covenant Waiver , which among other things , extented the maturity date of the company's loan from the Senior Lender from November 28, 2008 to March 31,2009 " !!!!!
In the meantime , as we have all witnessed , a few executives have been leaving the Co. including Gordon Fong,CFO who signed all this on November 13,2008
Also, if you read carefully , there is that option to still sell the bank in case VNBC would file for BK 11 .

Everyone is leaving the ship as if it was planned...This CEo had a deceptive behavior talking about buyout etc..Thinking of it , We should have left at that moment.. So mad I cannot describe it .

what are the chances for bailout money ?
There have been banks closing every week , but somehow downey has managed to stay alive. The longer the bank stays in operation the better chance we have of being aqquired. Bank's in california have been especially vulnerable, but with vineyard having a very appealing market share in it's area, It's only a matter of time before a bigger fish comes along or they actually get some help out of the remaining bailout. We should start seeing some evidence of this in the coming weeks as thing's unravel at the whitehouse.
So far we are still in buisness, thats a good sign.(JMHO)

Regulators close 3 more U.S. banks

WASHINGTON (Reuters) - Regulators closed banks on Friday in Georgia and California, bringing the total of U.S. bank failures to nine this year.
The Federal Deposit Insurance Corp said County Bank of Merced, California, was closed by the California Department of Financial Institutions, and the FDIC was appointed as a receiver.
County Bank, which operated 39 offices, had $1.7 billion in assets and $1.3 billion in deposits, according to regulators. Westamerica Bank of San Rafael, California, will assume all of the deposits of the failed bank.
The FDIC said in a release the cost to the Deposit Insurance Fund would be $135 million.
The FDIC also said it became a receiver of Culver City, California-based Alliance Bank and entered into an agreement with California Bank & Trust, a subsidiary of Zions Bancorp , to assume all the deposits.
Alliance Bank was closed by the California Department of Financial Institutions. The bank had $1.14 billion in assets and $951 million in deposits. The cost to the Deposit Insurance Fund will be $206 million, the FDIC estimated.
Regulators said on Friday a third firm, FirstBank Financial Services, had failed.
All deposits of the McDonough, Georgia, bank will be assumed by Regions Bank of Birmingham, Alabama, said the FDIC, which took receivership of FirstBank.
Regulators said FirstBank Financial Services had assets of about $337 million and $279 million in deposits at the end of 2008. The estimated cost to the Deposit Insurance Fund will be $111 million.
In 2008, 25 banks were seized by officials, up from only three in 2007.

("Vineyard") and other subsidiaries, reported today that Institutional Shareholder Services ("ISS"), the nation's leading independent proxy voting advisory and corporate governance service, has recommended that Company shareholders vote AGAINST changes to the Company's bylaws that are being proposed by a stock broker, Jon Salmanson, and the Company's former Chief Executive Officer ("CEO"), Norman Morales.
