7:13 this morning there were 3 trades at 0.028 for 30k, 10k, and 202,264 shares. Check Level 2 to confirm.
Currently, there is a bid from GTSM at 0.025 for 222,264. This is not a coincidence and strongly suggests a 10.2% short/cover scalp. It hasn't happened YET, but folks should start to understand these markers (signals) the MMs send each other to direct the flow of trading action up or down.
So, just watch tomorrow to see if that 0.025 gets filled. Maybe I'm full of S.....or maybe I've explained the same thing for the last time. Folks are apparently getting sick of my offers to assist. And now that I explained it in writing on a public board, GTSM might just pull that bid. But there will be more examples if you just watch Level 2.
UNQL trades up and down, up and down. I personally don't buy and hold long OR short and hold long. I move in and out quickly, just like the MMs, and I believe just like Cojoboy, because I actually read and understand his posts. We both keep trying to explain the simple situation, but get bashed repeatedly. But I keep making profits and I believe he does also. Are you? We keep telling everyone how UNQL trades.

If UNQL beats $250m revenues for the busy Q2, I personally think that would be fantastic. Honestly don't know why I get accused of bashing the company. They should make some good profit next Q. It's just Q 3 and 4 that have let them down YOY. But I'm a monster for talking about it.

I'm not trading today, so I will provide a little lesson on UNQL Level 2 action, as it is happening today. Remember how I keep saying Up and Down, Up and Down.
Yesterday, there was a lot of action in the "sell" column. Lesson #1 is to understand that column could also equally be named the "short cover" column. Level 2 does not identify which was actually a sell transaction on the bid v. what may very well have been a short cover transaction. Same with the "buy" column. That could equally represent a "short" transaction. Remember, investors want to buy low and sell high. On the flip side, short traders want to "buy" (short) high and "sell" (cover) low. Both are perfectly legal and viable trading strategies. The same person can "invest" and "short" during the same day, many times if they want.
So, let's look at Level 2 today. Lesson #2 is called The Uptick Rule. In order to complete a short "buy" a broker needs to wait for the preceding transaction to be higher than the "short" price. No one can short a stock that is going down. It's rather unfair, because on the flip side, anyone can buy on the way up. But a short transaction requires a price above the short transaction as the last trade. That's The Uptick Rule.
On Level 2 today, there are a series of trades at 0.0279, 0.028, and also 0.027. They are posted in groups at a time. That is because someone (likely, in my opinion) placed a large quantity order with their broker to "short" at that particular price. The broker can't complete that large order all at once, so it gets spread out over a series of trades. But notice very clearly as part of this free trading lesson, that the transaction right before is just a smidge above the target short price. Sometimes it's a small transaction like 100 shares to get the price higher than the short target price and satisfy The Uptick Rule.
Now, I readily admit I cannot "prove" to anyone who wants to argue that any particular trade is a buy, sell, short, or short cover. Level 2 doesn't tell is specifically. That's why we have to use knowledge and experience to decipher what's really going on. There is no rule for covers, so if the price drops to wherever the short player wants to take profits, it's a series of simple transactions for the broker.
Recap: when you observe a series of grouped trades at the same price that occur just below the previous transaction higher price, that could very well be evidence of a large short order getting filled over time. This is not 100% foolproof so it takes experience, discipline, and sometimes intuition. Trading patterns also develop over time for certain tickers. With UNQL the pattern has been Up, Down, Up, Down. Wild swings for no reason. Smart traders are buying low and selling high. Smart traders are also shorting high and covering low. That's the game. Profit is Profit.
Anyone is welcome to buy and hold UNQL long. History shows it dropped 97% from 38 cents to a penny. It's certainly on an uptrend now and I personally do not deny that. Good for UNQL! There is a game within the game though and today appears to be some heavy short action. But what do I know.....

Still enough here for me to take a risk while keeping an eye on any moving pieces. At the same time taking a profit as necessary.
I sold my large position on the Run up to .38...now it just smaller fast trades..get in ,get out ..make 30-40%..if lucky.rinse&repeat..over & over...almost like clockwork... Lots of us had high hopes 2 years ago..Same analysis.. But true statements....

History doesn't mean it'll repeat itself. As long as you take advantage of the run and take profit. You're good. The last run was based on spec with massive dilution.
As long as dilution isn't happening, it'll move up given the financial. Lots of clean up is still needed but financially a better company than most pink. At this price, a gamble worth taken. Plus got my money already.
What about you? Why are you still here if you're disappointed? Shouldn't you have sell out by now and go on to another play? Why is he still here posting the same old analysis over and over?

But I wasn't in at that time or any of those time, so don't care. All I know is I got at the low, made money and company is showing profit in q1 when rates are down. The hirings are doing their job by reducing expenses and generating more profit on less revenue. So future prospects look better now than before as long as there is no dilution.

Explain how those 3 last quarter weren't just Kroger, plus not big enough to be PRd unidentified customer #2, and not big enough to be identified #3?

This is the concentration statement from the company for the entire fiscal year just ended in May:
"Concentrations
Revenue by three customers as a percentage of the Company’s total revenue was 48% for the year ended May 31, 2022, with customer A at 35%, customer B at 7% and Customer C 6%. These three customers represented approximately 21% of all accounts receivable as of May 31, 2022 and no single customer represented more than 10% of total accounts receivable.
Two customers accounted for 44% of total revenue for the year ended May 31, 2021 with customer A at 25%, customer B at 19%. No customer represented more than 10% of non-factored accounts receivable as of May 31, 2021."
Hmmmmmmm, their 3 big customers were almost half the total business last year. Now, in Q1 this year the new "big 3" account for half that!! Uh-oh...no wonder revenues keep dropping. And you're happy about this???? Wow

A quick Unique Logistics history lesson for bun and his followers. It's all on the website and the original merger agreement from 2020.
Unique is a Hong Kong company that started in 1983. They expanded in China over the years, then India and Vietnam. Opened a London office and starting in 2008, some established logistics companies in the US. Boston, Atlanta, and then New York. Everything was operated under the umbrella of Unique Logistics Hong Kong. A private corporation. All of the global offices are also privately owned subsidiaries under ULHK.
Until the 3 private US offices in 2019 consolidated to form one private US subsidiary. Then, in May 2020 that consolidated private company entered into a purchase agreement with Hong Kong to break free and go public on the OTC via a reverse merger with an existing public company called Innocap. The total purchase price paid by the US company to HK was about $10 million. The US owners paid some money upfront and took out several loans for the rest. It's important to understand those 3 US offices, consolidated into 1 US entity were worth $10m in 2020. Not a billion dollars. $10m, that's it....the purchase price.
There were 6 owners of the new consolidated US company - Sunandan Ray, Great Eagle Freight, Front Four Management, Lucosky Brookman, Southridge LLC, and David Briones. Those 6 owned 100% of private US Unique Logistics. Still following?
Next, that private US company went public via reverse merger with Innocap in October 2020. The 6 owners received a total of 1 million preferred shares of the new public UNQL (convertible at the rate of 1 preferred for 6,547 common shares... CRIMINAL) right when it went public in October 2020. Many of the existing shares of the old Innocap were retired, with just 133 million shares outstanding owned by public shareholders. Their INNO shares became UNQL shares. That's it. 133m shares owned by the public.
Upon merger, Ray immediately converted a very small portion of his preferred shares into 197m common shares of UNQL. Then the company gifted 30m shares to a "consultant." Then the company gifted another 35m shares to a "consultant" again. The company took $4m in toxic loans from Trillium and 3a Capital in exchange for convertible shares of UNQL.
From April 2021 through May 2022, Trillium and 3a diluted UNQL by converting over 300m more common shares, selling them on the open market to profit hugely on their $4m loans. In August 2021, Ray converted more from his huge preferred shares stack to get 125m more common shares. He currently owns 322m common shares of UNQL.
In December 2021, the company "exchanged" the $4m loans to keep that money without paying it back to Trillium and 3a. In return, the company gave Trillium and 3a new preferred shares equal to 25% of UNQL (12.5% each.) Still following?
The company started with Innocap's 133m shares and then diluted the hell out of those early public shareholders by increasing the Outstanding Shares to the 800m today. Disgusting, but nowhere close to being over. Those 6 owners (plus Trillium and 3a now) own preferred shares convertible into over 9 BILLION more common shares. They own those shares and only cash out with real money if the company is sold or they convert/dilute more. Still following?
Unique Logistics Hong Kong is still private. They own all the global subsidiaries in China, India, etc. They have their own website. When the 3 US offices broke away in May 2020, they had an option to purchase percentages of all the global offices from HK. The deadline was extended from May 2021 several times and now the deadline is EOY 2022. This month. This "merger" has been on the table for 2.5 years. As of today, the total purchase price for more than 50% of global operations is $22 million. Let that sink in. All those other offices are worth about $35 million total. Not a billion dollars, not several billion dollars. $35m total. That's the value. Don't listen to lies on the internet. Just read the purchase agreement. $22m for a bit more than half of the global company. The US offices (UNQL) are so much smaller and sold for $10m just 2 years ago. They lost $1m in 2019, made $1.7m in 2020, and lost $1m again last year. Not a billion dollar company. Got it?
So, in order to close the deal this month, UNQL has to pay Hong Kong $21m upfront. That money was supposed to come from a $40m capital raise by selling new shares. That plan is dead. There is no current prospectus to sell $40m of new shares. The merger deal is dead in the water. But, I suspect the company will kick the can down the road and announce another extension soon. Or maybe UNQL just authorizes and gives billions of new shares to Hong Kong as "payment" for that $21m purchase price? Who knows, only 31 days left.
Sorry bun, UNQL is NOT a global company with offices around the world. It's only the US offices today. They still need to....ya know....pay for those other offices. $22 million.....not a billion.....Jeeez the stuff that gets posted on Twitter is cray cray!!

Sorry to drop more knowledge and facts about UNQL, but the Fiscal Year ended May 31, 2022. That 10K Annual Report filed 3 months later in August was for that entire year that just ended on May 31, 2022.....you know.....wait for it....the same date those contracts ended. So, yes, those revenues would absolutely be included in that 10K as the company's top 3 customers. They were. Notice the past tense. Were accounted for already. That fiscal year is over, just like those 3 contracts. There is zero credible reason why the company would NOT announce renewals with new PRs. They announced the spring renewal of that CarParts contract, yes? See, they know how to do it. They could use some good PR. Like the Kroger contract. That was good news. That's another 1-year contract that is halfway done now. We shall see how the big Q2 holiday season revenues are mid-January. That quarter just ended today. I'm not bashing the company. The numbers will be revealed in 6 weeks. Just don't be so mad about those other 3 contracts being over. A little concerning that the company dropped the selling and promoting expenses by a million bucks last quarter, but the upcoming Q2 report will shed some light. Do you think they will beat that record $400m Q2 from last year? Would be great for the SP if they did. 6 weeks to go.

You are the ONLY person using the word cancelled. I never said cancelled. I can read. The PRs said the dates the contracts ENDED. You can read, yes? The contracts ended in May 2022. The PR says nothing about renewal. The PR only has an end date for the "1-year contracts." It's in black and white. Simple English. The contracts ended. Don't be mad. Show us anything from the company or any reputable source stating the contracts were renewed and I will tell the world you are right and I'm wrong. Show us.

He admits the HP, Autozone and CarParts contracts were 1-year contracts that ENDED in May 2022 (6 months ago) but somehow, some way, in fantasy land he still says UNQL has those contracts today. Wow! In my world and understanding of English and contracts, an end date means the END of a contract. It is flat out lying to say the contract renewed, or there was a new contract, when he posted the actual END dates were 6 months ago. Zero credibility!
And the screenshot of financials??? That's from a 3rd party site like OTC Markets or Marketwatch. It's just wrong. Fake News! The ACTUAL financial report from the company is the 10K filed with the SEC. Here it is. Read the Operating Statement. "Gross" Income doesn't mean jack buddy. And the gross income from operations is actually $16.5m on the verified statement filed with the SEC. The BOTTOM LINE is Net Income. You know, after you pay all those pesky business expenses with real money, the amount you earn at the end of the year is called Net Income. Read the Operating Statement!!! It's a million dollar NET LOSS last year. Those parentheses mean LOSS. $3.5m Net Income was then wiped out by the very real $4.5m deemed dividend. There was a Net Loss of $1m available to shareholders. Stop LYING:

Ok, so no proof of the contracts being CANCELLED…None, except “ I Think”. My contract at work has been up for 2yrs…just carries on under same terms unless CANCELLED..I guess we have always had 3 bigger contracts than HP, CARPARTS, and AUTOZONE talked about in the Annual referencing 23% of Rev as of AUG31. long after you “think” they were CANCELLED….. But NO proof….. Oh, but what you post IS proof of cancellation in a court if law….

Read post 27034. I've posted it before also. Showed it clearly in black and white. So.....back to you....show us the PRs from UNQL proving the contracts with HP, Autozone and CarParts were ever extended. Every single one had a definite END date. When a contract is for a year, and ends on a date certain, the contract is OVER in the real world of business and contracts where words actually matter. So.....show us the new contracts. We'll wait.
