Company is worth $60 - $80 with this deal , numbers of oustanding shares are 12 million with a cash on hand now of 170 million and 20 mill per year easily reaches that target

Dude--I did not say the news on the Intel lawsuit wasn't from last year.
I am saying that the Intel lawsuit being settled would be a major deal for the company. Other major companies, like NEC and Fujitsu, have already licensed the technology from TMTA.
And Advanced Micro Devices being a major shareholder makes me even more interested. The chart, IMO, needs to see a bid of $5.40 on higher volume.

Transmeta Surges on Intel Suit

Transmeta's (TMTA - commentary - Cramer's Take) recent incarnation as an intellectual-property firm paid off for its shareholders Thursday, after the company said it's picking a fight with chip goliath Intel (INTC - commentary - Cramer's Take).
Transmeta announced late Wednesday that it has sued Intel for infringing 10 of its patents. The complaint alleges that a variety of Intel microprocessors, including its new Core 2 products, violate Transmeta patents covering computer architecture and power-efficiency technologies.
The complaint, filed in Delaware District Court, seeks an injunction against Intel's continued sales of the chips, as well as monetary damages.
Shares of Transmeta were surging more than 15% to $1.29 on volume of more than 13 million shares; average daily volume is 1.27 million shares.
"Intel has acknowledged that Transmeta has been an innovative spur to some of Intel's own development efforts, roadmap decisions and new-product successes. At the same time, Intel has practiced multiple Transmeta inventions in its major product lines," John O'Hara Horsley, the company's general counsel, said in a statement.
"After endeavoring to negotiate with Intel for fair compensation for the continued use of our intellectual property, we have concluded that we must turn to the judicial system to be fairly compensated for our inventions," said Horsely.
According to the complaint, Intel's Pentium III, Pentium 4, Pentium M and Core 2 processors all infringe on the company's patents.
AMD Now Owns Biggest Chunk of Transmeta

Advanced Micro Devices' (AMD - Cramer's Take - Stockpickr - Rating) recent investment in troubled Transmeta (TMTA - Cramer's Take - Stockpickr - Rating) has made it the company's largest stakeholder.
According to a filing with the Securities and Exchange Commission on Friday, AMD received 1 million shares of Transmeta Series B preferred stock in exchange for the $7.5 million "strategic investment" it made in the company last week.
The preferred shares are convertible to 14.3 million shares of Transmeta common stock, which would represent a 6.7% stake in the company. That would give AMD a bigger stake in Transmeta than any other institutional or individual shareholder.
According to LionShares Web site, the single largest individual shareholder is Transmeta co-founder and former CEO David Ditzel, who has a 5.4% stake. Barclays Global Investors 3.4% position makes it the largest institutional shareholder prior to AMD's investment.
Transmeta recently transformed itself into a provider of intellectual property, after failing to succeed as a stand-alone maker of low-power microprocessors. Since the start of the year, the company has laid off roughly two-thirds of its employees, leaving a 65-person workforce. In May, Transmeta reported a loss of $18.7 million in its fiscal first quarter.
The company is also at risk of having its shares delisted form the Nasdaq exchange due to its failure to meet the minimum $1 bid price listing requirement.
AMD said it was investing in the chipmaker to support its technology development work and to leverage its innovative energy-efficient technologies to the benefit of AMD's customers.

TMTA also need to be in compliance for 10 consecutive business days, so they have until the end of the month to get to $1 and then hold it until September 17.

Everything in the share holders meeting was approved. It doesn't mean they are going to do a R/S, but they now have the authorization to file when they see fit. If they are going to do it to keep the price over a buck, then they don't need a 1 to 40 r/s.

Some driven by greed
Beijing often capitalizes on what might be called espionage entrepreneurs: engineers or executives who exploit their positions in U.S. companies to pilfer corporate data they know will be welcomed in a China that is eager to catch up with the West. "In the vast majority of cases, it's the almighty dollar," says Mulvenon. "It's just pure greed."
Next month in San Jose, Calif., two men who pleaded guilty in December to two counts each of economic espionage for stealing trade secrets from Sun Microsystems (SUNW) and semiconductor maker Transmeta (TMTA) are scheduled to be sentenced in U.S. District Court. They each face up to 30 years in jail.
Fei Ye and Ming Zhong, former co-workers at Transmeta, based in Santa Clara, Calif., admitted to stealing secrets to produce computer chips for a firm they had established in Hangzhou, about 100 miles southwest of Shanghai. Theirs were the first convictions under the 1996 Economic Espionage Act, which made the theft of trade secrets a federal crime.
Their new company, called Supervision, expected funding from the Hangzhou municipal government and the provincial government of Zhejiang province, renowned as China's capitalist heartland. The men were working with a professor at Zhejiang University who planned to help them secure additional funding from a national technology research program, according to their plea agreements.
Supervision would "raise China's ability to develop superintegrated circuit design and form a powerful capability to compete with worldwide leaders' core development technology and products in the field of integrated circuit design," according to a corporate charter found at Ye's home.
Documents discovered after the men were arrested at San Francisco International Airport on Nov. 23, 2001, demonstrate that the Supervision project was highly regarded by Chinese officials. "The project will be extremely useful to the development of China's integrated circuit industry," said a Chinese panel of experts, which recommended that "every level of government offer their support toward the implementation of this project."
Kyle Waldinger, the assistant U.S. Attorney handling the case, declined to comment, as did attorneys for the two men. Much of the case record remains under court-ordered seal. Several paragraphs in the men's plea agreements, which have been made public, were blacked out for security reasons.
Unlike the Transmeta example, the Mak case illustrates the difficulties the government has had prosecuting alleged Chinese spies. In 1999, for example, Wen Ho Lee, a Los Alamos National Laboratory scientist, was arrested and accused of stealing nuclear warhead design secrets for China. After he was held in solitary confinement for 278 days, the government agreed to drop 58 of the 59 counts in the indictment. Lee pleaded guilty to one felony count of mishandling classified data and was released after the judge in the case apologized, saying of government officials, "They have embarrassed our entire nation and each of us who is a citizen of it."
The road to Mak's conviction also was anything but smooth. The government initially claimed he had purloined "classified" documents, then conceded the material was not classified, but rather was "sensitive" and barred from export. Likewise, though an FBI affidavit described the Maks as "foreign intelligence operatives," they were never charged with espionage.
"It doesn't appear to me he was guilty of the sensational charges they leaked initially. They ended up with (a conviction for being) a foreign agent. It's a far cry from espionage," says retired FBI agent I.C. Smith, a defense witness and veteran of several high-profile investigations of alleged Chinese spies.
The night of his arrest, Mak told agents at the FBI's Westwood office in a videotaped interrogation that he had given the disks to his brother to use in buying technical books for him in Hong Kong.
Two days later, under questioning by agents from the Naval Criminal Investigative Service (NCIS) at the Santa Ana Jail, Mak suddenly admitted to passing information to China since 1983, including on "power distribution technology" for the Navy's Aegis destroyers, according to prosecutors.
The NCIS agents, however, did not make an audio or video record of that interrogation, and Mak later denied that he had confessed.

This is my take on whats goin on. The Company is trying to decoy shorting into the stock by announcing the R/S vote on the proxy.
This will keep the selling pressure going by longs and shorts so that the big boys who are buying can get the shares cheap. I still think the shares go over $1.00 on major news soon and stay over 1.00 so the NASD listing is no longer an issue.
Insiders own 11% of the outstanding..No way the R/S will be approved with shareholders
One theory is potential buyers will place their buy orders at the bottom of a gap, and in time the market will gravitate towards those open orders. It also means buys are thin all the way down. Kind of self-fulfilling actually.
Last Friday on the AMD news, TMTA opened much higher than it's close on Thursday resulting in a gap up. That gap in pps gets filled once the price comes back down into the missing area. It happens all the time and is healthy for the stock.
What consitutes the "filling the gap" activities? I haven't read up on the company much lately so I don't know what's up. If anyone could fill me in it would be appreciated.

Part of the "tumble" was filling the gap. The fact remains that even with the sell off over the last few days, TMTA is still up 136% over the last month. No one likes talk of reverse splits or dilution and that is causing traders to sell and book profits. They are not out of cash yet and will likely be issuing the stock after we attain a higher pps. Plus they will not be issuing the stock all at once.
TMTA was overbought in the big run up over the last month but now the technicals are getting back in line. We may see more selling this week, but probably it will settle and move sideways for a bit. There has been some institutional and MM selling, but nothing to indicate it's going to crash back down to the 30-40 cent range.
"The Company's cash, cash equivalents and short term investments at March 31, 2007 totaled $25.8 million. The Company continues to be debt free."
They lost nearly $20 million this past quarter.
how long are they going to survive?
AMD made a huge investment in them and I just see the stock tumbling over the last 2 days. How low will it go, and when it gets there, will it even come back up?
I've hear that they'll be back to the 30-40 cent range in no time.
The nature of this stock it up and down if you can time it, its a good trader maybe now it will begin to be again, I owned this one for a long time and made great profits loading and holding , been some out of the dd on it this time, but it will probably be a good trader from the looks or load and wait the nice run, maybe.

What’s AMD doing investing in Transmeta? Given its focus on cost-savings of late, AMD could be thinking that spending $7.5 million with Transmeta, now, could possibly help save many millions in research and development in the future.
Here’s why: Transmeta may be best known for making low-power chips. But more recently it has specialized in helping other chipmakers reduce the power of their processors. Thus Transmeta has, in its LongRun, a processor power-saving technology that could be of use to AMD as AMD pushes the envelope on reducing the power consumption of its processors. Indeed, AMD has said that it is evaluating LongRun. AMD has not yet licensed either technology. However, utilizing LongRun could potentially help AMD cut the power consumption of its PC and server chips. This would certainly help AMD from both a competitive point of view versus Intel and also allow AMD to highlight low power in its marketing.
What AMD did was invest $7.5 million in return for Transmeta preferred stock. For AMD, $7.5 million is a relatively small sum. But for Transmeta, whose revenue was $2.1 million in the first quarter of 2007, it’s a good bit of funding. It seems pretty clear that AMD wants to help keep the fellow semiconductor company. Will they eventually work more closely together? It seems likely as AMD and Transmeta have had a long-standing relationship. Back in 2001, Transmeta licensed HyperTransport as well as AMD’s x86-64 technology from AMD. During 2006, AMD announced plans to resell Transmeta’s Efficion processors as part of FlexGo, Microsoft’s pay-as-you-go computing platform for emerging markets.

IMHO, I think the Company is a sneak and that they put that R/S issue on the proxy just to scare away longs and bring in more shorts to sell to some BIG BOYS so they can buy cheap! Thats my take on all the how to do here....

Made TMTA as a recommendation on my forum today..
I have traded this issue a few times going back a couple of years.Did very well and now may present itself as another buying opportunity.
I like it and have a position on my current average at .85..I consider this a current buy under .90.
One issue that was mentioned is the delisting from Naz as announced on March 21, 2007...
"Transmeta is not in compliance with the Nasdaq Stock Market’s requirements for continued listing because, for the previous 30 consecutive business days, the bid price of Transmeta’s common stock had closed below the minimum $1.00 per share requirement for continued inclusion under Nasdaq Marketplace Rule 4450(a)(5) (the “Minimum Bid Price Rule”). Nasdaq stated in its letter that in accordance with the Nasdaq Marketplace Rules, Transmeta will be provided 180 calendar days, or until September 17, 2007, to regain compliance with the Minimum Bid Price Rule. This notification has no effect on the listing of the Company's common stock at this time. "
Since this came out we have had a couple of very positive announcements.The company announced NEC Electronics’ recently announced M2 Mobile Phone Chip uses Transmeta’s LongRun2 technologies.See PR.July 5,2007
Then on July 6th AMD has invested $7.5 million in Transmeta in exchange for Transmeta preferred stock.
The above is a huge stake and has in my opinion a very large backer and not to mention a potential takeover acquisition,but that is my opinion..

Now the company has debt and refer to the company's filings for more information..Now there has been talk of a R/S to remain..Certainly you can't keep this out of worse case scenario,but in the near-term, I see this at least moving upwards and to Sept 17 for higher gains in the mid 1.10 to 1.65 range just on the current events..It is an exciting company from a traders point and a short squeeze will certainly help it along.
