Doesn't look like we got a filing, apparently, things are in limbo until further notice. I belive that John wants to see this through, so will find a way to move it forward, eventually, with or without Jacques.
I held one shell for a couple of years, TTXI, that just popped out of nowhere to the .50 cent level. I don't know what happened, RM of somesort, but things eventually happen, here too, hopefully.

TGHI will make the next filing. The reason why the NASD is holding this up is in regards to arounf 5M shares that were issued to a Merrill Lynch related group a year or so ago. They want an accounting of those shares, and supposedly, those who recieved the shares (a deal Jacques made I guess) are not totally cooperating. John is still trying to work the stock back to the OTCBB, but he's encountered this resistance... Jacques needs to get behind it, or get out of the way. He's got shares though, so someone has to buy him out... anyway, we wait.

I think it could work out for the better if Jacques leaves, there is the matter of getting his shares off of the table, and perhaps that is what is happening. I think the shares in question have to do with that promo company that was in MO I believe, I talked with them once on the phone, they promised a lot, but just dumped. Anyway, hopefully mint is accumulating!

HEY MYDDDOTCOM....
this stock has had a string of bad luck. The lastest one dealing with the share count is just another "pick" at TGHI by NASDAQ. I find it very odd that just as this is getting ready to re-list the NASD comes up with another "red flag". To my knowledge this problem with the stock count had never been "red flagged" before. Even when a number of filings had occured. I've spoken to John lately and e-mailed Mint. Mint told that a lawyer has been working on counting up those shares. However he couldn't give a time frame. John also gave
me the same information. We have been keeping up on the filings so if and when this does become resolved we should be a go. I also believe you may be correct about Jacques being out of the picture. IMHO while Jacques was a good deal maker I believe some of John's anger with not relisting may have finally manifested themselves with Jacques not being there because of the problems he caused. At present I'm not sure where this all leaves us. On one hand we still appear close or the cusp of re-listing and on the other hand not.
I'll have to say I feel tempted to load up while the price is
this low knowing where the company is going and all. But I need something a little more concrete these days to get the urge to buy again. I've been here for a mighty long time. And
while I have made some money I still own a large % of my shares. Hopefully we will see some movement soon and 1st quarter 2002 will bring some good news.

And it will be interesting to see what happens in 2002, as obviously, in the latest filings, the money was hinged on getting onto the OTCBB in 2001, and already had an extension. So, we'll see where it stands with the next filing.

It has been going on for one hell of a long time, from ~.02 to ~.30 three times now in the past year in a half with the false starts. I think 9/11 had some doings with the latest. About Jacques, have you talked with him? I think he may be out the door, or on the way. He is probably the problem, as that suit against him didn't come to a complete close.

They ran into big problems with the SEC and their shares O/S, and I think are still trying to get that all sorted out, maybe they are waiting till the new year? John might give you some info, try his number up above. A block of 40k hit the bid of .022 this morning, not a great sign, probably tax loss selling...

So we are, trending sideways in the .20's, with a few q's more from the sec, that will make for a couple more weeks prior to a relisting. bidside of the l2 is weak at times, mm's would love to bring it back down strongly. hopefully they are working out a large short postition, that will make the stock sail even higher with buying pressure.

I looked briefly at the chart, resistance was at .15, now the downward trend has been broken, and the stock seems poised to sail high if the wind catches on, and the breeze does seem heavy incoming... no one wants to sell in this type of environment, for fear of losing out on aditional profits-- this makes good for raising the bar even further.
Technically, it needs to trend sideways here for a week or two, maybe even dip, shake some shares out, before it goes into the .30's/.40's... no real resistance until a buck, probably way stations along the way at .50 and .75, but this came down quick, and it could move up just as quick, to above $1.

3) A Natural gas exploration venture is going to be acquired, and their timeshares about to proceed.
4) All legal issues have been settled.


Number of shares of common stock outstanding as of June 10, 2001: 23,493,442

NOTE 4 - NOTE RECEIVABLE

During the year ended December 31, 2000, the Company sold its 40% interest in Thermal-Systems Worldwide, Inc. to an unrelated party in exchange for a $2,000,000 promissory note. The note does not bear interest and matures on November 15, 2001. The principal balance is due in one lump sum payment at maturity. The unrelated party does not presently have an established credit history or the liquid assets to convert the promissory note. Accordingly, the Company has reserved the entire amount as uncollectible pending maturity. A default provision in the note states that should the debtor default on their payment obligations, the entire interest in Thermal-Systems Worldwide, Inc. will be returned to the Company.

The subscriptions receivable at March 31, 2001 consists of 5,000,000 shares of common stock subscribed by five unrelated investors at $.20 per share. The subscription payments are due six months after the Company re-achieves active trading status on the Over-the-Counter Bulletin Board (OTC BB). The Company anticipates collecting payment in full during the year 2001, however, there can be no assurance that the Company will gain its active trading status on the OTC BB and that the subscriptions will be collected.


Current Development Activities



Energy

The Company is exploring business activities within the energy production markets. Specifically, the Company is researching opportunities with generating electricity and domestic natural gas exploration. The domestic need for fossil fuels and alternative energy sources has surged in recent years providing strong business opportunities for new business enterprises. The Company plans to position itself to develop its business plan and grow within such markets. Management has been considering acquiring new technology that has been made available to produce electricity. Third parties have invested over $35 million thus far to establish the viability of such technology. In addition to the generation of electricity, the Company has been given an investment opportunity with a Company that is presently working in the natural gas exploration field. Negotiations are currently underway to secure well positions that will produce a revenue stream for the Company.

Vacation Properties

The Company also has plans to develop, build and market time-share (vacation ownership interest, VOI) communities. Management is currently considering sites that could be developed using the VOI concept that is strongly rebounding after several years of disappointing growth. Various new partnerships and sole ownership opportunities are being explored domestically, in Canada and in the Caribbean.


Item 1. Legal Proceedings

The Company was named in a case filed in the United States District Court for the Southern District of Florida with the Securities and Exchange Commission.... The case was closed on June 7, 2001 with no material effects to the corporation.

FILINGS SUBMITTED LAST WEEK....
Seems our long awaited filings have made there way to the SEC. The filings were accompanied by the Lawyers Consent.
This was out biggest stumbling block from previous filings. Heres what we are looking at. We could be relisted as early as the middle of this week. The company is currently a shell with a few million in the bank, no debt and a low float. Which will over time get lower as the retirement of shares continues. The retirement has already begun but not many have been retred as of yet. Both J & J have been putting the final touchs on the new "direction" for the company. Both of them have been very tight lipped as to the new direction and have not let me know. Nor do my contacts know. John did tell me to call him sometime later this week to get an update. However John did seem to feel that longs would be very happy by the news.

All of this and we are not even relisted yet and there has been no PRs. Only time can tell what relisting will mean to TGHi's stock price, but my guess is we will see over .50 after three days of being relisted.

Yeah I found this last year about September. I asked John and Jacques about this on a number of occassions. And while Globus put out these PRs some of them were believed to be false by the SEC. I'm not sure how this all came about as being false. In doing my DD I found that TGHI at one time or another owned all said properties. All except for one that is. Appearently one of the properties that Globus made a press release about they said TGHI was in a "binding agreement" to acquire said property.I'm not sure if Globus jumped the gun but at the last minute TGHI got out bid and lost it. I did not see a press release to that effect. If thats what they called false and misleading I'm not sure. Binding agreement to purchase to me does not mean a definative sale into ownership (sign sealed and deliveried). If you look at that litigation release it states that the SEC does not seek relief (meaning it does not intend to fine) Trans-Global. From what appears to be a lack of facts against them. This is in JULY of last year!!! And add to this a court hearing where the courts also said the SEC has nothing. I'm lost at where the SEC has further problems with this?!?!?!?!

Jacques left me a message that he will be out of town tomorrow, and will call me back on Friday to touch base. Hopefully, I will get some good news.

My take on the Legal Proceedings. This was something I thought had come to a conclusion long ago. From what I was told TGHI was not being held accountable for the PR that Globus sent out. And if you remember a number of companies were metioned in the PR. Not just Trans-Global. I'm curious as to why some of the others have been exonerated and not TGHI. I was told long ago both by John and Jacques that TGHI had no involvement and that the case had been settled. Appearently it has not been resolved. I've had a chance to read that "ITEM 1" over a number of times. It looks to me like the SEC still thinks theres something to warrent further investigation or to pursue the levying of fines. Even though TGHI settled with the SEC thru the courts and the courts saying the SEC has nothing no fine is needed. The SEC filed a motion to have that withdrawn. I thought this was a long dead point. Looks like I'll have to see what Johns take on this is.

Thats the most "Es" I've seen in a lonnnnnnng. So far JJ I've only been able to confirm what you've already said about the filing. John is going to check with the company that filed the 10-QSB to see what the problem is. I work with filings everyday and I've seen some really weird things happen but this is a first. As far as the MM paperwork we again appear to have a NASD delay. The paperwork has been there for a while. Why its not clearing I have no idea. I'm going to try to make some calls myself to see what I can find out. Also from what I hear there are more deals in the works. Lets hope
we see the light of day soon!!!
