Tough to get any size here, float is locked up and ready. Sitting at under 300 k market cap.
Came down from cents on nothing, multi cents coming here with patience imo.
Just took a small position in this TRDQ.
Took even less to move it around today, market makers have moved up, only 3 to .01.

Agree, we must remember that low floats are much more apt to have wild swings. But when they run, you don't want to be on the sidelines.
Anyone looking at level 2 knows where this is going with consistent volume, we had a taste yesterday with that 100% move intraday.

Finally, it was a long journey for us to arrive but I knew we would.
Ahhhh the search for the PERFECT pink sheet, let me know how that goes for ya. The fact that they are pink makes them imperfect and inexpensive. But you know that.
In the pink sheet world I believe one of the more important areas of dd is to assess how an officer has utilized shares while operating his/her company. After all, this all important factor is a major point when future shareholders decide whether to buy shares. You yourself highlight this very point which led us into a debate of sorts. The officers past actions show that TRDQ has been very stingy with shares and the o/s count has remained unchanged for months which may be verified via thier open transfer agent. In my opinion, it is always better to examine ACTIONS and not words. TRDQ actions justify investment imo.
Also, in due diligence I take some comfort when I find that a company has a working website and phone numbers. TRDQ does. In addition, when I find a company that is not extolling thier virtues in daily press releases that are no more than fluff, there is usually hidden value. Especially when I discover that they are mentioned contractually in a press release from another company with a market capitalization 10 times that of thier own. TRDQ passes with flying colors.
In addition, I respect a company that has alliances and operating agreements with Fortune 500 companies and simply features these on thier website without the usual fanfare.
As far as your ASSUMPTIONS about cash positions, I wouldn't know. However, the BEST EVIDENCE available is FACT. They have not sold shares recently to pay thier bills, nor can I find any record of toxic financing arrangements that spell danger we are so used to seeing in the pinks and bb's.
I will let your past posts which are public record speak for themselves in considering your statement that you initially were going to buy shares. All others that read your posts may make thier own examinations and act accordingly in forming thier own opinions about your intent.
When I find an operating company that is not pumping every week, does not have a history of dilution and is selling for shell prices, I'm a buyer.

at this juncture, i don't even know what your point is, because what started this entire banter was the issue of whether or not the company can issue new shares while they are not in good standing with their state of incorporation (nv). when i actually posted that statement, it was a comment made on the "positive" side of owning this. ironically, if you turn out to be correct, it would become a negative imo to own this, because they only have 141 mil outstanding, but they have 500 mill authorized, which would mean they could still issue and sell up to 360 million more shares. so, really, your defensive banter of legalism on this board tonight, if nothing else, made the case for NOT owning this. i was initially making the point that it would be a play on the basis of the share structure being stable and not able to be increased right now. BUT...if what you say is true, and they are in business and doing updating and conducting business, then i will ASSUME that since they have no cash, they will also be needing to increase the os and sell shares to raise capital, as well as, possibly increasing the AUTHORIZED when they "simply" file the "2" documents that are required to reinstate their business in nevada again. i will take your word for it mr. legal mind and say "thanks" for the "info" and "business law crash course", but no thanks to trdq...not a buy anymore to me.

I deal with statements of fact and law every day with active experience, you offer opinion and preface even that with a weak "as far as I know".

P.S. By the way, any "permanent" revocation is in name only and can be solved by simply adding a new word to the name and refiling. Some firms go that way as it is less expensive than going the other option of petitioning the Secy of State for a hearing. Nice try gonzie :) Do your homework and get back to me.
and since they are "very much in business", then you'd better let them know that if they let their "revoked" status go unfixed into 2010, it will become a "permanently revoked" status and they will not be able to undue that under their existing business entity.
delinquency with the sec and delinquency with the state entity that legitimizes your corporate status are two different things. apples and oranges. my point is that this company's status is not just delinquent it is "revoked", meaning their status as a corporation has been rescinded. that means, technically, they are not a legal entity. sec registration cannot even take place if you are not a "legally incorporated" and "active" company. so, put the horse before the cart when you are trying to draw a nexus between the two levels of status for a company.

I don't know what you are "finding" but feel free to research whatever you wish. I looked at your posting history for a moment and you seem very familiar with pink sheet stocks.
That being the case, you surely know that many pinks are delinquent in both SEC and State filings. Companies are allowed to issue stock while being delinquent with the SEC (since you are citing SEC regs) but not allowed if they are delinquent in State filings? That makes no sense, and it is certainly not the case as you should know if you are as experienced as you purport to be.
Kindly update me when you have completed your "research".
well, if state filings were so easy to fix, why has the company not updated their docs with a quick 2 page fix and a check? does not make sense, unless they are not in business anymore. and, i will have to research the issue with the SEC, because from what i am finding, it is not lawful for a company to issue stock and sell it on the open market if they are not legit in their incorporating state.

Nope, I am referring to publically held AND private corporations. You see, people make a big deal out of being delinquent in State filings. It really not, that is why its a two page form and a check... then your done !!
At best (and this is a stretch) it could be argued that the officers/directors are not under the corporate "veil" during the delinquent period. This would be the only danger while operating without being current. Even in this instance case law is still behind the officers/directors in Nevada, that is why so many companies incorporate in NV. Even the big companies are starting to move there.

I am very familiar with Delaware, it used to be the most popular State in which to be incorporated, until Nevada revised thier statutes and made it easy and less expensive to operate from there.
The SEC has nothing to do with it, the SEC enforces securities laws that are FEDERAL in jurisdiction and even then only in a civil capacity. A corporation is allowed to issue shares in accordance and within the laws of the State in which it is domiciled, delinquent or not. It is confusing and may appear nonsensical, but that's the way it is.
If a company has certain authorized shares that have been duly voted upon by the shareholders/directors, the transfer agent is authorized to to issue said shares regardless of a corporations current filing status with a particular State.
Your argument makes sense, but it's not the law.

what you are saying may apply to "private" corporations, but not to public ones as far as i know.
oh really? well, in delaware, it don't work that way. and, i have spoken with many ta's that rep nevada companies that have told me that shares cannot be issued if a company's status is revoked, because they are no longer a legal entity. in fact, i think you better check SEC law. this is a public company, and i believe SEC law requires the company to be a legal entity within it's incorporating state in order to issue shares of a public stock.

Before I address your concerns please know my employer, a law firm, represents about 500 corporate clients including at least 100 who have chosen their domicile as Nevada. I am quite informed about the NRS (Nevada Revised Statutes) and other matters as they pertain to corporate law.
Let me address each of your points individually to avoid confusion. My rebuttals are in bold.
Here are your statement(s):

Incorrect, being revoked or late in filing in any domicile (including Nevada) has no bearing on share issuances. Thier corporate charter is revoked in Nevada as they have not filed an updated list of officers and paid the appropriate fee. The transfer agent for a corporation acts INDEPENDENTLY of State filings and relies solely on representations and warranties from the officers and directors of said corporation. When share structure changes are made, officers assert under oath that the proper and legal changes have been made in accordance with an official directors meeting and are within the bylaws of the Corporation.

Incorrect, the officers/directors are authorized to issue up to the authorized share number whether or not the Corporation itself is current with thier State filings. One has nothing to do with the other. The issuance of shares is the duty of the transfer agent and in no way requires any State authorization or authentication, again refer to representations/warranties by officers/directors.
Many Corporations (about 15% of all NV corps) are delinquent in Nevada, its a simple matter of filing and updated officer/director list and a check.
