Barrons Blog: Cree, More Takeover Speculation;
AmTech’s Bullish Huang Says GE Acquisition Would Make Sense
Posted by Eric Savitz
http://blogs.barrons.com/techtraderdaily/2007/09/04/cree-more-takeover-speculation-amtechs-bullish-h...
...Takeover chatter continues to drive up shares of Cree Research (CREE). By far the biggest bull on the stock, American Technology Research analyst Andrew Huang, weighs in on the rumors today, and finds they make sense. (Not too surprising.)
“Recent rumors that Cree could get acquired make sense to us given that Cree is the last publicly traded pure-play in the market,” he wrote in a note this morning. (Pure play LED play, I assume he means, by the way.) He says an acquisition by rumored suitor General Electric (GE) “would make strategic sense.” But he also sees other potential bidders, including “component vendors,” such as Rohm or Matushita Semiconductor; South Korean OEMs, such as Samsung or LG, and lighting fixture makers, such as Cooper Lighting or Schneider Electric.
He adds that “with Cree’s LED fundamentals improving, we think it is only a matter of time before consensus estimates start heading materially higher.”
Cree, which rose $2.30 on Friday, is up another 42 cents today at $27.02. That, by the way, is less than half of Huang’s $55 price target, which suggests either that the stock is absurdly cheap, or Huang is absurdly bullish. (Or maybe some combination.) Take your choice....

AmTech Launches With Buy Rating; Betting on “The LED Revolution,” He Sees The Stock Doubling
Posted by Eric Savitz
http://blogs.barrons.com/techtraderdaily/2007/06/01/cree-amtech-launches-with-buy-rating-betting-on-...
...Andrew Huang, an analyst at American Technology Research, this morning launched coverage of Cree Inc. (CREE) with a Buy rating and an ambitious $50 price target.
Huang is making a big concept bet here: he sees Cree as a bet that LED-based lighting (LED stands for light emitting diode) “is the best available” lighting technology in the market today with respect to efficiency, cost, useful life and the environment. “Similar to the trends in solar and ethanol stocks, we believe the LED lighting market will emerge as the next ‘clean energy’ investment trend,” he wrote in a research note today. “We believe this story is a long-term, fundamental, secular growth story, with technology that it the proverbial ‘game changer.’”
Huang thinks there will be legislation at the federal level this year “to limit the use of incandescent bulbs and eventually to eliminate the use of incandescent bulbs.” Adds Huang: “Once the legislation gains more publicity, investor attention will inevitably focus on ways to monetize this secular growth trend.” Like Cree.
Huang points out in his piece that the stock is not well-liked on the Street; of 12 analysts who follow it, just four rate it Buy or Strong Buy. He also notes that there is a substantial short position in the stock. Today, though, Huang has give the stock a big boost....

Bloomberg: rumor/chatter of acquisition of Cree by GE
--- pair of analysts said deal with GE was unlikely
Cree shares up on reports of possible sale
Friday August 31, 5:15 pm ET
http://biz.yahoo.com/bizj/070831/1515054.html?.v=4
Shares of Durham lighting company Cree closed up 10 percent in trading Friday on a Bloomberg News story that said the company could be bought by General Electric.
Cree didn't immediately return a call seeking comment. ( CREE - News & quote http://finance.yahoo.com/q?s=cree&d=t )
Bloomberg reported that traders said they'd been hearing "chatter" about a possible acquisition of Cree by GE, the world's second largest company by market capitalization.
Analysts told Triangle Business Journal in January that they thought such a move was possible, and the company recently revised its executive incentive plans - sometimes, though by no means always, a way to get a company's ship in order before a sale. ( http://triangle.bizjournals.com/triangle/stories/2007/01/15/story2.html )
But Bloomberg also reported that a pair of analysts told it that a deal with GE was unlikely.
"This rumor comes up again every couple of quarters," Raymond James & Associates analyst Hans Mosesmann told Bloomberg. "It's not going to happen."
Mosesmann said a GE deal with Japan's Nichia, with which GE already has a relationship, makes more sense.
Further, since the start of the year, Cree's stock has jumped nearly 56 percent, making a takeover at this point a somewhat surprising proposition given the hefty expense it would be. Though Cree carries relatively little debt, its market capitalization is a shade under $2.3 billion.
Cree makes light-emitting diodes, or LEDs - a type of lighting product that it currently sells to companies who use the chips to create colored lights in a variety of consumer devices, such as cell phones.
Faced with increased competition in that sector, however, the company is making a heavy investment in its line of household lighting products, which it's betting will grow in popularity as a long-lasting, environmentally friendly way to light offices and residences. Earlier this month, the company announced a major expansion of a plant in China that manufactures those products. ( http://triangle.bizjournals.com/triangle/stories/2007/08/20/daily26.html )
Shares of Cree closed up $2.30 to $26.60 after peaking earlier in the day at $27.13. The company employs just under 2,600 worldwide and about 1,300 in the Triangle.

TNH a C/W recommendation(?) in TMF's "Color to the Numbers: The Best High Yield Stocks"
By Dave Mock August 30, 2007
http://www.fool.com/investing/international/2007/08/30/color-to-the-numbers-the-best-high-yield-stoc...
Under the table in the article is :
..."Before we dig into some of these companies, investors should note the two highest yielding stocks on the list. The screen returned a whopping yield of 13.6% for Terra Nitrogen and 12.0% for Fremont General.
This is a little misleading, however, and shows one of the flaws of screens that is worth pointing out. Since Yahoo!'s screen and many other financial sites take the latest dividend paid by a company and then annualize it, investors may incorrectly assume that this yield represents regular dividends paid in the past year or one that can be counted on in the future.
Not so, Fool.
After more than a decade of regular quarterly dividends, Fremont General hasn't paid a dividend since January. And Terra Nitrogen's cash distribution varies depending on company earnings and expenditures. With everything from gas prices to weather affecting its bottom line, investors should not count on a $3 dividend every quarter. With this color added to these numbers, investors should weigh these high yields appropriately against the other companies that have been paying, and even increasing, dividends on a regular basis."...

Amir Sohrabi in section, "Call the Code Warriors"
As you seek to master VOIP, be sure to spend some time evaluating your software partners.
The reason is fairly simple:
Without applications that crave bandwidth, network integrators are a useless bunch.
Amir Sohrabi knows that fact well. As executive VP for strategic alliances at Managed Solutions Planning Xperts (MSPX), Sohrabi is inking partnerships with niche application developers, which promise to drive demand for MSPX's network solutions.
Smart move. The applications market has held up fairly well during the economic slowdown. Year-over-year sales of IBM's DB2 database, for instance, have grown roughly 20 percent in recent quarters, according to IBM's Perna. That success can be traced to strong sales of DB2-based apps from PeopleSoft and Siebel Systems.
"Application developers don't want to get their hands dirty with networking stuff," says MSPX's Sohrabi. "That's where we come in. When a developer wins a contract for an application, we're on board to provide the network plumbing. The trick is identifying the right developers with which to partner."
Located in Vienna, Va., MSPX works closely with niche vertical-market software developers. But MSPX's alliance strategy doesn't end there. The company also has close relationships with Compaq Computer (for servers and storage systems), Enterasys (network switches, wireless LANs and security), InfoLibria (content management) and 3ware (storage over IP).
Going forward, MSPX hopes to create a virtual sales team that spans each of its vendor partners. For instance, MSPX sees natural synergies between 3ware and Enterasys, because 3ware customers need Gigabit Ethernet pipes for their storage networks.
"Ideally, we can aggregate all three sales forces to go after new business," says Sohrabi.
In this market, nobody wins alone."...

(Reporting by Ritsuko Ando)
http://biz.yahoo.com/rb/070823/micrsoft_limelight.html?.v=2
....NEW YORK (Reuters) - Limelight Networks Inc (LLNW) and Microsoft Corp (MSFT) said on Thursday that they had entered into a technology agreement in which the Web content delivery company will help improve the reliability of the software maker's online services, such as video, music and games. Limelight will provide media streaming and content delivery services to Microsoft under a multiyear deal. The two companies also agreed to cross-license their technologies. Financial terms of the deal were not disclosed. Limelight competes with Akamai Technologies Inc (AKAM) to help companies deliver graphics, video and music to online users more reliably by finding less congested routes over the Internet. Its customers include DreamWorks, Facebook, and News Corp's MySpace.

The Single Best Stock to Buy Now
ChangeWave Friend,
As you know, I think the wave of selling that hit the stock market is way overdone.
I won’t go into all the reasons here – I think I’ve already given you a lot of ammo in my writing at ChangeWave Investing. And if you load up on today’s best buys as noted on our website, you’re going to clean up.
But if you have a little more risk capital, a sense of adventure and a craving for 5-to-10-bagger profits, take a look at the microcap world.
Microcaps tend to be your most volatile holdings. When the market as a whole takes a hit, microcaps get hit harder.
But I don’t mind – that’s when I just buy more of the best little stocks to leverage my overall profits even higher in the end. As to you, now you’ve got a second chance to take your own position in them at bargain basement prices.
That’s why I just asked my co-editor at ChangeWave MicroCap Investor to give me his take on the single best microcap to buy now – I wanted to double-check my own inclination.
And you know what? We’re both on the same page.
First read what Josh emailed back to me. Then take a look at the write-up I did on this opportunity just a couple of weeks ago – and please note that the stock is selling at about 40% less right now.
It’s a STEAL because I expect it to trade up to where it was before the markets took a tumble – and go much higher before we close this position!
Here’s what Josh had to say (the company’s name is blacked out – if you want to play, give MicroCap Investor a risk-free trial by clicking on any of these links).
Toby,
I gotta go with xxxxxx.
The stock has pulled back more than 50% from its April highs but our expectations for big catalysts have only increased. xxxxxx is within striking distance of closing two or three major sales/deals with major players in IT other industries -- any one of which will boost the shares 50% to 100% very quickly.
The recent weakness in xxxxxx shares is due, in part, to the lack of press releases during the past few weeks. And no one should mistake some silence for inactivity at the company.
xxxxxx has a healthy pipeline and has, we believe, up to 10 prospective, major contracts in the works. Each contract represents annualized sales in the range of $5 million to $25 million -- and possibly more. Of these, we figure that no less than half will come to fruition by the end of Q1 2008.
Realistically, xxxxxx needs only two or three of these contracts to give it the credibility boost it needs and deserves. Once this happens -- and we're looking at anywhere from two to six months out -- then we've got ourselves a Rocket with a share price that will climb into orbit.
When we do the math -- weighing xxxxxx market value ($80 million) against its remarkably low revenue breakeven ($2.5 million per quarter) and the strong likelihood that it will rapidly ramp up to $100 million-plus sales (annualized basis) by late 2008 (Q3) -- it's a no-brainer that anyone who is not positioned in xxxxxx should seize the opportunity to buy shares at the current low price.
If you need anything else, just let me know.
Regards,
OCLS: Oculus Innovative Sciences IPO Analysis, Six Month Review
Posted by PharmaTracker on Aug 13th, 2007 with stocks: OCLS
Note: Some information in this piece was taken from a report on Oculus published by Urchin Capital.
http://smallcap.seekingalpha.com/article/44263
Includes tidbits in the section:
..."Before diving further into the product and the data supporting Microcyn/Dermacyn to figure out if it could possibly be sold for $70-$100 per bottle, there are many details in the S-1 that suggest something amiss with this company."...
Later in the blog entry PharmaTracker writes:
..."look into the “technology” behind Microcyn. So what is this stuff, anyhow?"...
Included in the blog is a table :
..."summarizes the concentrations of these components in a variety of common liquids, not to mention in products nearly identical to Microcyn, many of which are also on the market already:"...
Hypochlorous acid can be synthesized by one of the 3 methods:
...hydrolysis of chlorine gas (eq 1), electrolysis of salt solution (eqs 2a and 2b), and acidification of hypochlorite (eq 3)....
blog includes
...Novabay uses the third method, which basically amounts to adding bleach to saline solution and then lowering the pH with hydrochloric acid, whereas Oculus and Puricore use the second method (electrolysis)....
ends with:
...It is noteworthy that the Oculus clinical trials to date appear to adhere to almost none of the regulatory standards articulated by the FDA in its guidance document. Again, this is not really a surprise given that the company has admitted as much in its S-1. It does emphasize, however, that there are meaningful risks associated with Oculus undertaking a registration-quality phase III clinical trial of their topical antiseptic solution....

BANGALORE, July 23 (Reuters) - Israel's IncrediMail Ltd. (MAIL.O: Quote, Profile, Research), which develops software to customize e-mails, said it was in talks with some Internet companies that have shown interest in the firm. "We have been approached by several... and we are talking to a few," Jeff Holzmann, executive vice president of IncrediMail, told Reuters by phone. Earlier Monday, financial blog SeekingAlpha.com published an article, which speculated that IncrediMail could be a potential acquisition target for the popular social networking site, Facebook Inc. Holzmann, however, declined to comment on whether the company had received a formal bid from Facebook. "We are potentially looking for an acquisition, and we are not ruling out being acquired, but we have no news to report at this time," he said. The company, which offers users the ability to design highly personalized e-mail presentations through multimedia content, has more than 10 million active users to date, Holzmann said. Shares of Tel-Aviv based IncrediMail were up more than 3 percent in late electronic trade, after closing at $9.40 on the Nasdaq earlier in the day.

NAVIllaier pick next GOOGLE do know name????
IF ONLY you’d bought Google, right? Not at $500 a share but at $100, where it started trading, just 3 years ago this week.
BUT YOU DIDN’T. And Google went on to change the Internet completely, making some lucky investors multi-millionaires in the process.
I WASN’T ONE OF THEM. Sure, I bought Google, but later, when the stock hit $400. And while my subscribers and I are content with our 25% gains, I’ll admit, we would have RELISHED the 400% profit that got away.
I WON’T LET THAT HAPPEN AGAIN! For the last 2 years my analysts have been stalking every continent, every market, in search of the NEXT Google. And I believe that now we have found it.
We found it, curiously, not in China but in Israel.
AND BEST OFALL, it still trades at around $7.
How We Connect
GOOGLE changed how we connect to the Web.
YOUTUBE made that connection visual. (An idea worth $1.65 billion to Google, as I’m sure you’ll recall.)
FACEBOOK changed the way we connect TO EACH OTHER via the Web. It was the next logical progression. Obvious, in retrospect.
Facebook’s Mark Zuckerberg, high-tech’s new 23-year-old prince, just turned down a $1 billion offer from Yahoo. Rightly so: Facebook’s growth rate is 3% PER WEEK. When the company does go public, it’ll be the biggest deal since Google in 2004.
BUT YOU MAY HAVE TO WAIT YEARS for Facebook’s IPO and who knows if you’ll get a bargain.
IN THE MEANTIME Facebook just made its first acquisition. And that’s where our undiscovered instant messaging service in Israel comes in, as you’ll see.

Putting Some Emoticon
Into It
I want you to understand why Facebook is already so successful because it reveals how the NEXT logical step can be so profitable.
Facebook essentially started as a college yearbook. Because very few freshmen know one another (remember?) this was a simple, electronic piece of social infrastructure. Almost overnight, it became the main highway of social life on campus.
It shuttled messages, it kept your friends close, it kept you in the loop and allowed you to get more out of your connections then you ever thought possible.
THIRTY-FIVE MILLION users later, this is no college frat house. I dare you: open a Facebook account this afternoon, if you haven’t already. You’ll reconnect with hundreds of friends you simply lost track of over the years. It’s addictive, though, so please finish reading THIS URGENT MESSAGE FIRST!

Zuckerberg just made his first acquisition, as I mentioned, and it is very revealing. Parakey is a tiny start-up founded by Firefox creator Blake Ross. What’s Parakey? A platform that turns the Web into a place where you keep your “stuff,” meet your friends, and stay in touch with the world on your terms.
SO HERE WE ARE, adding information-management BACK to social networking through the acquisition of Parakey. That trumps Google, right there.
THE NEXT STEP is to make this personal virtual coffee shop a manageable part of 35 million people’s lives. And that’s where our $7 stock, based in Israel comes in.
This tiny company sells emoticons, among other things like sound effects, animations, even “nudges” that shake the whole screen.
Stop! What’s an emoticon? Here’s one: This is the first electronic smiley face used widely in Instant Messaging, and it dates from 1982. Here’s a more recent one: :-0 This one is the milk mustache emoticon being used by The Milk Marketing Board. Ah—yes, the possibilities are limitless! Imagine an emoticon THAT IS PERSONAL TO YOU. That would be a considerable revenue-driver, I think you’d agree.
Even better, this company ensures that no salesmen, eavesdroppers or other unsavory types enter your personal virtual coffee shop. Without this security, the Facebook lifestyle doesn’t work.
Now let’s look at the numbers.
By The Numbers
Our tiny Tel-Aviv company trades on the Nasdaq at around $7 today, down from $10 after the recent sub-prime panic, but up from $4 about a year ago.
Revenues have soared from $7.4 million in 2005 to $11 million this year but earnings are only just beginning to show up. The business model is now advertising-driven as well as subscription-based. Ad revenue is growing 7-fold over last year.
There’s a big year ahead: our company is in the thick of the China Olympics, selling its anti-spam and personalization technology in Chinese language versions.
From $7 to $14—a snap.

Starts off:
....You're definitely a late bloomer with VOYT. My data goes back to May of 2000. In six years and eight months of holding VOYT you're up $241. with an initial investment of $3000. That puts the growth at 8%. But, look what you do in December up 338% in 6 months. I would say that is seasonal. You have support long term but right now it is in an After the Gold Rush mode and growth is not expected. The short term daily you are not supported and it looks very weak for you, even worst looking at it intraday. No support in sight. You're at least a day or two from something positive showing up. Wait for the lead indicators to give you a heads up. Luck to you....
(OT)virus warning: re postcard & greeting cards

June 2007: Snopes virus warning re postcard from relative

You Have Received a Greeting Card From . . . a Spammer --- Online greeting cards are latest spam scam
By SAM DIAZ AND ALEJANDRO LAZO, The Washington Post
http://www.washingtonpost.com/wp-dyn/content/article/2007/07/20/AR2007072002116.html?hpid=sec-tech
Internet spammers launched a widespread attack on e-mail inboxes this month. But instead of trying to lure users into opening a corrupted attachment, they're concealing a computer virus in a link to an online greeting card.
Postini, an e-mail security company, said it has seen about 275 million such messages since July 2.
On average, the company sees about 700,000 virus-laden e-mails per day around the world. This past week, there were as many as 35 million in a single day because of the spike in e-card spam, said Adam Swidler, a senior vice president of Postini.
Last week, the FBI warned consumers about greeting-card spam.
"It is just the latest trick for attackers to get users to install malicious software on their machines," said Zulfikar Ramzan, senior principal researcher for Symantec, an anti-virus company.
In most cases, the subject line informs recipients that they've received a greeting card or a postcard from a "friend," "family member," "worshipper," "school-mate" or "neighbour." When the e-mail is opened, there's a link to a Web site that uploads viruses to the recipient's computer.
Users of infected computers have few choices beyond buying and installing software to scan and clean their hard drives. Those who receive a purported greeting-card e-mail but don't recognize the sender are instructed to simply delete the e-mail.
American Greetings is reminding customers that they don't have to click on a link; they can retrieve legitimate greeting cards by going to the company's site.

....Financial Accounting Standards Board Statement No. 133, Accounting for Derivative Instruments and Hedging Activities, (FAS 133) establishes accounting and reporting standards for derivative instruments, including certain derivative instruments embedded in other contracts, (collectively referred to as embedded derivatives) and for hedging activities.
The following summarizes the key concepts of FAS 133.
Affect on the balance sheet:
An entity must recognize all derivatives as either assets or liabilities in the statement of financial position and measure those instruments at fair value.
Affect on the income statement:
The affect on the income statement is dependent on the designation of the derivative. A derivative is considered undesignated unless certain conditions are met. A derivative may be specifically designated as:...

2007: How the Fair Value Option Will Simplify Accounting for Some Hedging Transactions
(article includes an example)
http://www.nysscpa.org/cpajournal/2007/507/essentials/p32.htm
starts off:
...MAY 2007 - FASB recently issued SFAS159, The Fair Value Option for Financial Assets and Financial Liabilities, which will allow a one-time election to report certain financial instruments at fair value. An entity may irrevocably elect fair value as the initial and subsequent measurement attribute for certain financial assets and financial liabilities, with changes in fair value included in current earnings. The election of the “fair value option” may be applied instrument by instrument, but only to entire instruments and not to portions of instruments. Although the fair value option will not eliminate the complexities associated with accounting for derivatives, it will simplify the accounting related to fair value hedges of financial instruments....
includes:
...All derivatives must be marked to fair value, with the unrealized gain or loss included in current earnings. Special accounting is allowed if a derivative qualifies and is designated as one of the following:
Fair value hedge,
Cash flow hedge, or
Hedge of a net investment in a foreign operation
....The fair value option affects only fair value hedges of financial instruments. Special hedge accounting rules are still required to address the following:
Fair value hedges of nonfinancial instruments (e.g., commodities),
Cash flow hedges, or
Hedge of a net investment in a foreign operation.
.....The general accounting for a fair value hedge is that both the change in fair value of the derivative and the change in fair value of the hedged item attributable to the risk being hedged are included in earnings...
