Spartan Chassis Executes Agreement With Lion Bus Inc. for Type C School Bus Chassis
Spartan Chassis, Inc., a subsidiary of Spartan Motors, Inc. (Nasdaq:SPAR), has executed a supply agreement with bus manufacturer Lion Bus Inc. of Saint-Jerome, Canada. Under the agreement, Spartan Chassis will supply conventional front-engine diesel chassis for use on Type C school buses in the United States and Canada.
Spartan Motors Vice President Dave Snitgen stated, "The top 25 school districts alone covered 397 million route miles in 2010, and 55 percent of the nation's school districts were faced with lower operating budgets. Clearly, there is significant demand for both durability and lower cost of operation. Chassis will be manufactured at the Spartan Chassis facility in Charlotte, Mich., then shipped to the Lion Bus plant near Montreal for body installation and completion. The buses will be sold directly to dealers, school districts, and school bus contractors in the U.S. and Canada.
Spartan Motors, Inc. (NASDAQ: SPAR) today announced operating results for the first quarter of 2011. Revenues were $95.1 million, down 19.1 percent compared to the same quarter of the prior year, which drove a net loss of $0.9 million, or $0.03 per diluted share, compared to breakeven results for the same period in 2010. Highlights for the quarter include increased order intake and progress on key strategic initiatives.
Compared to the same quarter of 2010, the first quarter's revenue and gross margin reflect a product mix shift from emergency response products, recreational vehicle chassis and aftermarket parts and assemblies (APA) to service and delivery vehicles. Results also reflect the impact of a softening emergency response market, partially offset by improvements in the service and delivery market. Order intake climbed with a 42.7 percent sequential improvement over the fourth quarter of 2010, driven by service and delivery vehicle and emergency response chassis orders. This improvement is reflected in the consolidated backlog of $166.1 million, up 23.5 percent from year end.
Management remained focused on all four pillars of its operational plan during the quarter. The four-part operational plan comprised of offering compelling products, growing profitable market share, achieving and maintaining a strong balance sheet and effectively managing the Company's cost structure, is intended to ensure long-term profitable growth and alignment with shareholder interests.
First quarter 2011 results:
* Net sales of $95.1 million (down 19.1 percent from Q1 2010)
* Gross margin of 13.6 percent of sales (down from 14.3 percent in Q1 2010)
* Operating expenses of $14.3 million (down $1.9 million from $16.2 million in Q1 2010)

Profitable Growth Opportunities and Compelling Products
* At the March Fire Department Instructors Conference (FDIC) - the largest fire rescue training conference in the world - Spartan Chassis formally introduced its newest cab and chassis, the "Spartan Force". This recent product addition offers custom features, such as improved performance, spacious cab and lifetime frame warranty, all at an aggressive market-penetrating price.
* The assembly of the N-Series gas cab and chassis, in partnership with Isuzu Commercial Truck of America, illustrates another seized opportunity and demonstrates Spartan's ability to leverage its chassis expertise. This product will ramp-up during 2011.
* A Secondary Power System (SPS), introduced at FDIC for the emergency response market by Spartan Chassis, delivers significant improvements in fuel consumption, exhaust emissions and noise pollution, while enhancing main engine service life and maintenance needs.
* Execution of a multi-year supply agreement with Navistar Engine Group expanded the offering of clean diesel engine technology to include an advanced exhaust gas recirculation (EGR) option on a Spartan Chassis' Gladiator. Spartan Chassis already offers a selective catalyst reduction (SCR) engine technology that meets the EPA's 2010 engine emission standards.
* The Reach™, a commercial van offering up to 35 percent better fuel economy, debuted at the 2011 National Truck Equipment Association's "The Work Truck Show" in March. * Crimson Fire significantly expanded its product portfolio with the addition of the Classic Series. Delays in finalizing the 2011 federal budget resulting in continued stopgap measures created additional headwinds for government funded programs. Accordingly, defense and government markets are expected to remain soft in 2011, negatively impacting Spartan's emergency response and APA businesses. While there are growth initiatives in these markets, the Company does not expect them to fully offset the downward pressure from the overall market conditions.
"We are not satisfied with our revenue and earnings performance, and will continue our efforts to grow the top line, while further tightening our cost structure. These actions are necessary to align our operations with market shifts and our changing product mix," said Joe Nowicki, Chief Financial Officer.
"However, we are pleased with our improved financial strength, driven by our continued company-wide focus on working capital. We improved our inventory days outstanding by 17 days over the prior year and improved our cash balance by more than $10 million, even after setting aside over $4 million in cash for the acquisition of Classic Fire. During the quarter, almost $12 million in cash was generated from operations, reflecting a 13-day improvement in our cash conversion cycle over the same quarter of 2010," added Nowicki.
Managing Costs and Strengthening the Balance Sheet
* Consolidated net sales for the quarter were $95.1 million, down 19.1 percent from the same quarter last year reflecting overall market declines in the emergency response, recreational vehicle and military segments.
* Gross margin fell to 13.6 percent in the first quarter, from 14.3 percent for the same period in 2010. Margin compression was driven by the shift in product mix, including a larger portion of service and delivery vehicles.
* Operating expense improved by $1.9 million or 11.6 percent year over year, to $14.3 million. This improvement was driven by continued cost containment efforts and a lower R&D spend versus 2010, despite increased marketing expenses in 2011 due to the timing of major trade shows.
* As a percent of revenues, operating expense increased to 15.0 percent, from 13.8 percent in the same quarter of 2010, due to the decreased revenue level.
* The effective tax rate was reduced to 33 percent in the first quarter of 2011 compared to 35 percent in the prior year, as the Company was able to take advantage of recently extended R&D income tax credits.
* Net loss during the quarter of $0.9 million, or $0.03 per diluted share, compared to approximately breakeven results in the same quarter of 2010.
* The cash conversion cycle improved by 13 days quarter over quarter, excluding the Company's Road Rescue discontinued operations. Improvements were driven by aggressive working capital management, and more targeted inventory reduction efforts.
* A robust $11.8 million in cash generation from operations funded the acquisition of Classic Fire without the need for additional borrowing. This is an increase of $2.6 million compared to the $9.2 million of cash generated in the first three months of 2010, driven by aggressive cost and balance sheet management.
* Consolidated backlog expanded 23.5 percent to $166.1 million as of March 31, 2011, up from $134.5 million at year end 2010, driven by new orders for service and delivery vehicles and fire truck chassis. Compared to the same quarter of 2010, the backlog is down as a result of accelerated orders previously received and filled in advance of the EPA's 2010 engine emission change.

The Spartan Force™
The FDIC tradeshow marks the launch of the Spartan Force, the newest emergency response cab and chassis in the Spartan lineup, which can be configured as either a rescue or pumper and offers advancements in performance, safety and service. The Spartan Force is pre-configured, pre-engineered, and aggressively priced for departments facing aging apparatus fleets and constrained budgets. Powered by a 380 HP Cummins ISC 8.3L VG turbo diesel engine, the Spartan Force offers a spacious cab, flat floor and a 10-inch raised roof with four doors and seating for six, as well as a lifetime frame and cross member warranty.
Secondary Power System
The SPS is offered on the Gladiator and delivered an estimated 51% fuel consumption improvement in testing conducted with the Dallas Fire Department. In addition to cost savings, the SPS technology reduces exhaust emissions and noise pollution- a great safety feature for Fire Fighters working on scene. The SPS allows for the use of all onboard electrical and HVAC loads with the Main Power Unit (MPU) turned off. It is powered by a 35 - 44 HP engine and delivers consistent voltage and frequency at output levels of 8.5 or 16kW. The SPS dramatically reduces the MPU idle time which in turn enhances its service life and reduces maintenance needs and costs.

Spartan Chassis recently announced a multi-year supply agreement with the Navistar Engine Group allowing for the expansion of clean diesel engine offerings on its signature emergency response cab and chassis; the Gladiator.
The EPA 2010-compliant MaxxForce 13 Big Bore engine features Navistar's advanced in-cylinder emissions technology which minimizes the requirements for after treatment components, fluids and weight, and improves space available for critical body applications such as equipment storage.

William F. Foster, co-founder, Vice President and member of the Board of Directors at Spartan Motors, Inc. (Nasdaq:SPAR), recently received a special award for his 30 years of commitment to Emergency Vehicle Technician (EVT) training and education at the Fire Department Safety Officers Association's 23rd Annual Apparatus Symposium.
Foster and Spartan Motors have long supported the FDSOA Apparatus Symposium, as well as the development of the EVT certification programs and the professionalism of the fire-apparatus industry.

Spartan Motors Chassis, Inc., a subsidiary of Spartan Motors, Inc. (Nasdaq: SPAR), has been awarded a subcontract order from defense contractor BAE Systems to support the production of 32 Armored Utility Vehicles under the Mine Resistant Ambush Protected (MRAP) program.
Under the terms of the subcontract, the Michigan-based custom chassis manufacturer will supply and integrate key chassis components for the United States Special Operations Command ("USSOCOM") MRAP vehicles for delivery beginning in March 2011 and continuing through July 2011. Additionally, Spartan will support suspension upgrades
for enhanced mobility of more than 200 MRAP variants previously produced by BAE Systems.

Spartan Motors Chassis, Inc., a subsidiary of Spartan Motors, Inc. (Nasdaq: SPAR), has been awarded multiple subcontract orders in excess of $27 million from defense contractor BAE Systems, to support the production of advanced tactical vehicles under the Medium Mine Protected Vehicle (MMPV) program.

Under the terms of the MMPV subcontract, the Michigan-based custom chassis manufacturer will supply to BAE Systems, powertrain kits and components to support the production of the vehicles at Letterkenny Army Depot located in Pennsylvania. This subcontract is to begin in June 2010 and be completed by the end of the first quarter 2011.

Isuzu N-Series Gasoline Trucks to Be Assembled by Spartan Motors
Isuzu Commercial Truck of America, Inc., distributor of America’s best-selling low-cab-forward trucks, announced today at the American Truck Dealers 2010 Convention
& Expo here in Orlando, FL, that Spartan Motors, Inc., a leading manufacturer of specialty chassis and vehicles, has been selected to assemble gasoline-powered Isuzu N-Series trucks.
Spartan will assemble all gasoline-engine models of the Isuzu N-Series chassis to Isuzu’s specifications at one of its assembly facilities, beginning in the second quarter 2011. The powertrain
will employ a General Motors 6.0-liter V8 gasoline engine and Hydra-Matic 6-speed transmission.
Gasoline-powered N-Series trucks had been assembled by GM at its plant in Janesville, Wisconsin, until the plant ceased operations in 2009. Last month, Isuzu Commercial Truck of America announced that an agreement had been reached with GM for the supply of transmissions and gasoline engines used for gas-powered Isuzu NPR and NPR-HD trucks in both single and Crewcab models, and that these vehicles would be reintroduced for the 2012 model year. The company also announced that it would soon be announcing the new assembler of the popular gas-engine low-cab-forward trucks.

Beijing Fire Department Order Largest Ever From China for Spartan Motors

Spartan Motors Chassis, Inc., a subsidiary of Spartan Motors, Inc. (NASDAQ:SPAR), today announced a new order for 22 Metro Star(TM) Pumper chassis for the Beijing Fire Department. The order is the largest ever from China since the company first began doing business there in 2002. Under the terms of the contract, Spartan will provide the chassis to Itasca, Illinois-based W.S. Darley & Co. Darley will add the body and pump systems to fulfill the order. The vehicles are scheduled for second/third-quarter delivery.

The Metro Star Pumper Chassis will be customized to meet the unique needs of the Beijing Fire Department and to conform to Chinese standards. Each vehicle will include the model's trademark spacious cab design, featuring a flat floor, various seating configurations and raised roof. The design provides up to 10 crew members with extended leg and headroom, improved visibility and additional space for storage. The Metro Star Pumper also features the industry's tallest and widest cab doors, and the widest steps and the lowest step heights providing enhanced safety when entering and exiting the cab.
W.S. Darley & Co. will be installing a heavy duty CAFS (Compressed Air Foam System) on the Spartan Chassis. This unique system, designed to meet the specific needs of the Beijing Fire Department, features special pumps with the ability to pump water and foam to the top floors of buildings that are more than 300 meters tall.

Two new 75 ft/23 M Aerial Ladder Fire Trucks featuring a Spartan Gladiator MFD 5" Raised Roof Custom Cab and Chassis from Spartan Motors Chassis, Inc., a subsidiary of Spartan Motors, Inc. (NASDAQ:SPAR), have been delivered to the Whistler Fire Rescue Service in Whistler B.C. Canada to upgrade their apparatus fleet as they prepare to host the 2010 Winter Olympics and Paralympics Games. The apparatus were ordered through a competitive RFP process from Safetek Emergency Vehicles Ltd., the Canadian dealer for Smeal Fire Apparatus Co.

These custom Single Axle Heavy Duty Aerials were built to meet the performance and safety parameters of the purchaser as well as the latest NFPA and ULC Standards. The chassis features a new low profile design with a four wheel drive configuration to allow for safer driving in snow conditions encountered in the area. The cab features a 5" raised roof to provide more interior headroom for personnel as well as three forward facing crew seats.
The apparatus package features Smeal's Uni-Body Marine Grade construction with an "EZ Load" Dual Hose Bed to provide maximum body compartmentation. A Hale QMAX 2250 GPM Pump is included along with a Foam Pro 2002 Single Tank System, 400 G Water and 30 G Foam Cell with an Aerial Bypass Feature to allow for foam discharge through the Aerial Waterway. Three Speedlay hose beds in the Pump Module with a Driver's side Roll-Up Door for the Pump Panel protect the vehicle from winter road conditions.
The Smeal ULC "listed" aerial device is rated at 500 lb. tip load while flowing 1250 GPM 90 degrees side-to-side as well as a +30 degree vertical sweep and features a gated outlet at the ladder tip for standpipe use. In addition, the aerial features a Turntable actuated Positional Waterway control for safety and ease of changing from Rescue to Water tower mode. A variety of additional advancements and features further enhance operational capability.
