Thank you for your inquiry. Per the Stockholder Notice, your shares of common stock in TelVue Corporation have been converted into an equivalent percentage of Class B Membership Interest in TVC, LLC. TVC, LLC is a limited liability company that was formed as a wholly-owned subsidiary of TelVue Corporation, and to which TelVue Corporation contributed its assets & liabilities prior to the dissolution of the now legacy TelVue Corporation. TVC, LLC subsequently sold substantially all of its assets and liabilities for a $1.5MM Note and Contingent three-year Earn Out. TVC, LLC no longer operates the historic business, and exists solely to receive payments on the Note and contingent Earn Out from the acquiring company. TVC, LLC will make distribution payments to members (you are a member) based first on the priority between classes. As stated in the Stockholder Notice, any possible distributions to Class B Members will only begin after all of the payments received by TVC, LLC less expenses has exceeded the unpaid Capital Contribution and Preferred Return due to the Class A Member. The Capital Contribution and Preferred Return due to the Class A Member currently is approximately $6MM. After the aggregate preference owed to the Class A Member is fully satisfied, any additional distributions made by TVC, LLC would be made on a pro rata basis based on percentage interest of all of the Class A and Class B Members, taken together.
This Class A Member preference is effectively a carry-over from the Series A preferred stock liquidation preference plus aggregate accrued dividends of TelVue Corporation, which was senior to and came before any payments in liquidation that could be made to the holders of the common stock of TelVue Corporation based on TelVue’s debt conversion transaction that was finalized in 2012. That transaction was described in TelVue Corporation’s proxy materials distributed to all stockholders in 2012.

It was all but dissolved when they went dark.
TEVE being sold, then dissolved? Letters received today very confusing. Now own shares of newly formed TVC, LLC a new wholly owned llc.
"Each holder of Common Stock received one Class B Unit in TVC in redemption of each share of Common stock held by such holder (the "Redemption").
As a result of these transactions, the Corporation has been dissolved and you now own your pro rata portion of the issued and outstanding Class B Membership Interests of TVC."
Only first letter, second letter says all assets of TVC will then be sold to Telvue Acquisition Corporation where "the Class B Members of TVC are not entitled to receive any distributions from TVC.

Everyone!! And some more than others. It's sad to look back at these posts and all you can do is shake your head and say, I told you so.
Unfortunately the lies and deception aka documenting just moved to other stocks. I would hope for future arrests and jail time. That being said, this stock sucks, always has, and probably always will.
And almost coming up on another anniversary of the arrest. Such a sad story of lies and deception.

2017 annual shareholders meeting notice. Has anyone received notice of this years shareholders meeting? I believe that usually a letter goes out in May for a meeting in June, but it is now the second half of July. I have asked the company, but not received any answers.
It's also useful to read the financials. Stay clear, period.

Perhaps you can explain how this legalistic mumbo-jumbo applies to their announcement of an enhancement to the audio technology on one of their upper end products.

I note with interest that Telvue has released yet another upgraded Hypercaster. This one, V6.0 is filled with technical advancements, including CALM audio.
Care to revisit that thought? Seems everything stopped here, the documentation, the fraud, all at once. And Non Retail was a load of crap? I have another theory!!
They pushed the mark too far. No one left to fool into DCA'ing more shares of this garbage.

What do you really think happened here?? A serious question. For several years this stock was touted as going to the moon, amazing growth potential, then the unfortunate incident and it dries up faster than any other otc stock.
What's even more surprising is that this is an actual business, not some fly by night pump and dump.

I'm not sure but can someone tell me what the price is now PRESPLIT??? Must be a real deal now as was touted for years. Guess Lenfest will never get his 70 dollars per share now.
Where's the documenter? I'm sure there is some secret imbedded signal that explains what just happened.

Jesse co-founded Princeton Server Group (PSG) in 2003 as President & Chief Executive Officer with the vision of lowering the cost and simplifying digital video appliances and systems by leveraging the rapid advances in the PC industry.
