Base or anybody...
So I have 500 warrants, am up 75% on those but would like to convert them to common shares (I think). How does one do that? Is it once the Ticker changes I can exercise the warrants? Do I call the broker?
What if the common price and warrant price are $11.50 difference. Wouldn't that be a wash?
I feel like a dubba for asking after I already bought them, should of researched before buying I guess. Stupid FOMO on my part.
Thanks
OK thank you for Your response
correct, and then 30 days after merge you can execute and buy commons at 11.50/share until expiration of the warrants
so just add your warrant purchase price to 11.50 and that would be your common share price if executed later.
some people play warrants for the fact they tend to give bigger returns than buying commons if buy low/sell high (they tend to have a higher % gain to keep up with commons) but in this case I am buying and holding to execute long term. I'm getting a $10 discount basically from any current purchase.
So I assume that is the symbol SBe+ Going for 16 but if you add the 10 that’s how you came up with that price?
What symbol are you using I have never bought warrants before? I see a symbol SBE+ Going for 16
WARRANTS PURCHASED RIGHT NOW ON THE BID ARE EFFECTIVELY 27.50 RIGHT NOW (executed)!!!
If commons remain near where they are now after business combination is completed, that is minimum 10$/share gain on an executed warrant!!! I have a truck and boat loaded, this is a long term play for me!
Trade just like stock... look up SBE+
Never bought warrants before do you get them through your broker or somewhere else?
Base, I tend to agree with you, I too have been buying the warrants !
39 million shares outstanding now... read the prospectus?
directly from the filing:
"
Q: What equity stake will our current stockholders and the holders of our Founder Shares hold in New ChargePoint following the consummation of the Business Combination?
A: We anticipate that, upon the Closing, the ownership of New ChargePoint will be as follows:
• the Historical Rollover Stockholders will own 217,478,394 shares of our Class A Common Stock, or approximately 78.2% of our outstanding Class A Common Stock;
• the public stockholders will own 31,411,763 shares of our Class A Common Stock, or approximately 11.2% of our outstanding Class A Common Stock;
• the New PIPE Investors will own 22,500,000 shares of our Class A Common Stock, or approximately 8.1% of our outstanding Class A Common Stock; and
• the initial stockholders will own 6,868,235 shares of our Class A Common Stock, or approximately 2.5% of our outstanding Class A Common Stock (which, for the avoidance of doubt, does not include shares of Class A Common Stock that will be issued to certain initial stockholders in connection with the PIPE Financing, which shares are reflected in the preceding bullet).
The number of shares and the interests set forth above (a) assume (i) that no public stockholders elect to have their public shares redeemed, (ii) a Closing Date of January 27, 2021, (iii) that there are no other issuances of equity interests of Switchback or ChargePoint and (iv) that there are no exercises of ChargePoint Options or ChargePoint Warrants and (b) do not take into account (i) Switchback Warrants that will remain outstanding following the Business Combination and may be exercised at a later date or (ii) the Earnout Shares. As a result of the Business Combination, the economic and voting interests of our public stockholders will decrease. If we assume the maximum redemptions scenario described under the section entitled “Unaudited Pro Forma Condensed Combined
"
I am confused What are you taking about 1.1 of current shares and Share Increase. I missed seeing any "new shares" being issued.
Need some help explain. Historical rollover stock is given to whom? I know that we get 1:1 of our current shares... but what happens to share price with this share increase? Its looking a bit confusing and unclear. I haven't been in one like this before where share structure is changing quite a bit.
I can't get over the incredible discount there is on the warrants still... I hope I'm not wrong for continuing to load warrants- I think they will treat me well.
I live in a rural town in Ohio and I have stumbled across 3 charging stations in the area and they are all chargepoint!!!!
contact your broker they have to issue your diections
Been in 2 SPACs
At the merger date the ticker and name changes that’s it.
Warrants can be called at any time. Some call early as they need the cash, others will wait and warrants can then trade at a “bargain” but can always be called so you need $$.
Personally I have been happy just playing the stock.
This may be the last good SPAC, a lot now hitting the market, wonder what 2021 will bring..
Hello, First of all wishing everyone a Happy New Year !
Secondly I am wondering why the message board has dried up, I would think because of the huge pending merger the board would be busy ?
Also the 2 companies have been quiet, do we actually have a merger date, January 15, or 22 ?
If the merger does take place, do our shares in SBE become the same number of shares in Charge Point (New Company), what happens to the warrants when their called in, is the conversion 11.50 of the new company price.
So I own 400 SBE+ warrants. How does/is this going to play out?
Is there anything I have to do? Obviously I want to convert them to SBE shares but not sure how that works? Any advise appreciated.
SBE Up Up Up from DEC 4th. Yep $46 and more to come. Thanks for saying I know how to pick them! Much appreciated! Go SBE. Go Longs! The new team for the next 4 years likes GREEN. Follow the Money. Thanks Again!!! Enjoy!!
Well Done SBE!! Thanks for the Merry Christmas SBE and Investors!
Such a great Christmas week!! My entire portfolio is up 50% since Friday!! I want to see SBE @ 75 by merger! I highly doubt it LOL
SBE (CHARGEPOINT), OPEN, & NBAC - With Mark Hake from InvestorPlace
(Please excuse the shaky camera)
We chat with Mark Hake, a C.F.A. who has written tons of articles for InvestorPlace.com, about the SPAC SBE and its merging partner ChargePoint. We also get him to weigh in on some other SPACs he thinks are worth watching.

Going to need a lot of charging stations!

SBE is an excellent investment especially now before it goes up into the 100's. Why? Because Biden has strong ties with China. In 2008 Biden spent a week in China with then VP XI and later XI spent a week in the USA. Yesterday Biden announced 4 choices for department heads. All 4 are heavy GREEN. Like him or not this all means HUGE gains for SBE. I will simply follow the money. If it changes then my investments will change.
Just today some phony-looking lawsuit against GIK...by Lifshitz Law Firm, P.C....no joke....but do they ever materialize?
I can’t find that date searching.. $SBE
Where do you see that the merger will be January 15th 2021?
New Date is Jan 15th, 2021... Too Cheap Here. Can't believe Peeps buying BLNK hand-over-fist... SBE should be at $75 right now.. I think Chargepoint / Switchback Mgmt & MMs holding it down so that "F&F' of Chargepoint can load up here on the Cheap... They are going to get 76M Shares 'gifted' to them 'right away' on the Merger going through, so why would they not let it go through???
Christmas bonus coming. Chart looking good. Big spike cometh
Are u thinking ChargePoint is pushed back or dead deal? If so why would it close green? Hopefully just a matter of time until the EV Christmas Bonus kicks in!
Nope. They only refund if SPAC dissolves, not if the merger fails. It'll crash and they can decide to look and extend deadline (and be like a non target SPAC, but with questionable management) OR dissolve.
I think its now sitting on dead money. Why did they delay the merger?
Could be Charg Point is pulling out. If so SBE has to refund all the shares at $10. I would think
at this point Charge Point is asking for something better than what they have or even they may
have had a better offer from a 3rd party. Warrants at these price could get slamed JMO
SBE: Overvalued or Impatience?
Over the past few days, SBE has decreased significantly in value. I have seen posts saying it's overvalued, the percentage of ownership is too low, and that the merger move date of (possibly) one month out (maybe Jan 15 - no confirmation).
What's your opinion? Obviously there will be a difference in opinion on whether you are a trader or long term investor.
I’ve already said I think the shares will drop to the $20’s again, but what do y’all think the shares and warrants will drop to? Just wanting to see your point of view
Registering doesn't mean immediate delusion. It just makes the shares available. And since the SPAC doesn't own all of the company, it might have something to do with owner shares.
Regardless, doing this before merger would be STUPID.
Looks like its time to sell this one. Great run SBE... will look to invest late next year after or close to the new merger date (my guess some time around this time next year). Now I know why it was kept so quiet. Because it wasn't going to happen this year....
Based on what I read of the document filed on 10/19/2020 as well as the most recent filing, it looks like this SBE stock is about to be diluted. Currently, they have 31.4 million shares outstanding. This document says they are going to register 245,000,000 shares and increase their authorized shares from 221,000,000 to 1,010,000,000. Unless I am missing something, this could cause the share price to tank. What are your thoughts?
SBE is doing everything the upfront and legal way. Shareholders of SBE and Chargepoint get to vote. Merger will happen. SBE has been in my portfolio for a couple months and will be for the long haul. Looking for news in Jan as to what the USA plans to do for EV's. China said only EV's manufactured by 2035 and London has said by 2030. USA will follow just waiting for Jan. Clearly it has been stated fossil fuels will not be supported over the next 4 years. It has already been said no more fracking on Govt land. Charging stations are already ramping up Nationwide. Go SBE!
OMG ITS PUSHED OFF UNTIL ? IN 2021 WHY
What part are you trying to point out?
No merger, no news of merger. Still don't know why they are keeping it a secret. You'll be in the 20's by days end
yes following what happened with hyln and ride when merger happened did merger occur I haven't see symbol cchange still trading under old SBE SBE/ws
My guess is back to the $20s after the merger, then up to $50-60 by end of February. $100 is a bit hopeful right now. Maybe by EOY next year. I’m bullish but also I want to be realistic.
$35? Crazy. Should be $100 after merger done
Stock price dropped hard, but warrant prices went up. People are taking profits and others are realizing how discounted the warrants have been
When's the merger, and why is it such a secret. This should be plastered all over, I think that why this is so flat.
