Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 require issuers of securities registered pursuant to Section 12 of the Exchange Act to file with the Commission current and accurate information in periodic reports, even if the registration is voluntary under Section 12(g). Specifically, Rule 13a-1 requires issuers registered under Section 12 to file annual reports, and Rule 13a-13 requires domestic issuers to file quarterly reports. 17 C.F.R. §§ 240.13a-1, -13.
As a result of the foregoing, Respondents failed to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13. Considering these delinquencies, it is necessary and appropriate for the protection of investors to revoke the registration of each class of registered securities of Respondents.

Unfortunate at the events that have transpired here. I believe there was never a plan with swme shell after these events. Like we all were led to believe. If there was, the company would have done all they could to get current with filings before the revocation. I was duped, and it will be the last time. Do not trust random people pm'ing you with "inside" info, even if that person is me. A lot of people looking to mislead people to make a buck. I think the term is "wolves in sheep clothing. Hopefully everyone has a Merry Christmas and GOD BLESS.
The SEC can do nothing to protect those already vested. Their concern is to save the money of future investors.
SEC IMO doesn't protect anyone. I have been burnt more by them and never once did they help me. They stop trading to help future investors while the current investors take it up the ars!
