Chapter 15 is one of the most unique bankruptcy chapters, although Chapter 9 is likely a close second. Chapter 15 was only recently added to the Bankruptcy Code in 2005 with the passage of the Bankruptcy Abuse Prevention and Consumer Protection Act. Chapter 15 allows proceedings for a foreign debtor or other related parties to access U.S. Bankruptcy Courts.

Chapter 15 is essentially the United States' adoption of the United Nations Commission on International Trade Law ("UNCITRAL") which addresses international bankruptcy issues.

Objectives

You may wonder, what is the purpose of allowing foreign nationals access to the U.S. Bankruptcy system? The bankruptcy laws provide for the following objectives of Chapter 15:

(1) to promote cooperation between the United States courts and parties of interest and the courts and other competent authorities of foreign countries involved in cross-border insolvency cases;
(2) to establish greater legal certainty for trade and investment;
(3) to provide for the fair and efficient administration of cross-border insolvencies that protects the interests of all creditors and other interested entities, including the debtor;
(4) to afford protection and maximization of the value of the debtor's assets; and (5) to facilitate the rescue of financially troubled businesses, thereby protecting investment and preserving employment. (See 11 U.S.C. § 1501)

Nature of Proceeding

A Chapter 15 proceeding is generally not the main bankruptcy proceeding relating to the foreign individual or entity. The Chapter 15 proceeding is usually, therefore, "ancillary" or secondary. The main proceeding will usually take place on the home country of the foreigner.

Filing of the Case

A Chapter 15 case must be filed in the United States Bankruptcy Court by a foreign representative requesting the recognition of a foreign proceeding. The petition must prove that the foreign proceeding exists.

After the filing, the Bankruptcy Court will designate the foreign proceeding as either "foreign main proceeding" or "foreign non-main proceeding," with the difference being that in a non-main proceeding, the debtor does not have its main interests in that country. Upon the recognition of a foreign main proceeding, the automatic stay goes into effect in the United States to protect the assets of the foreign debtor that are within the United States.

Once the foreign representative initiates the Chapter 15 case, it can seek further relief from the bankruptcy court, including the filing of a full bankruptcy petition (such as under Chapter

Chinese solar cell makers bid for Suntech's main unit

Suntech Power (STP) +11.7% premarket after two Chinese solar power manufacturers tender bids for the main unit of the troubled company, FT reports, as officials attempt to cobble together a bankruptcy settlement.

One bid came from Hong Kong-listed Shunfeng Photovoltaic, which is offering an equity stake in STP’s bankrupt Wuxi unit and a proposal to restructure the group’s near-$2B in debt; the other reportedly came from from a consortium comprising GCL-Poly Energy and the investment arm of STP’s home city Wuxi.

Any deal will be closely watched by STP's international creditors, since it likely will determine whether any money can be reclaimed.

At any rate lots of eyes on this now because of the latest tax break and steady gain she's made and chart pattern. What: Shares of Suntech Power (NYSE: STP ) and LDK Solar (NYSE: LDK ) have jumped 19% and 26% respectively, after investors learned of a tax break.

So what: China's Ministry of Finance announced it will give manufacturers of solar products a 50% refund on value-added taxes to help the industry. This would lower the cost to manufacture a solar module and should help with anemic margins for manufacturers.

Now what: The Chinese solar industry as a whole is up today with Suntech and LDK leading the way, a curious move by these stocks. Both companies have defaulted on debt payments and are going to have to restructure operations. Shareholders won't likely be left with much in a restructuring considering the billions in debt both companies have, which means I wouldn't buy the move of either today.

I know I am right. The company is restructuring and it will be able to pay back it's creditors over an extended period of time. Suntech is will to big to go completely belly up. IMHO within the next few years I see the price settling down at 7-10$ per share once they prove they are improving and are ready to get back in the game. This is completely achievable if one remembers that they once had a share price of over 80$ per share!!!!

Good Morning,

At the start of the month, we outlined how September's marketing and sales efforts would focus on supporting and meeting with prospective customers for our CIGS manufacturing technology, and that we would be responding to solar power system development quote requests for commercial and utility scale projects.

So far, September has been busy in a very good way. Progress filling our solar power system development sales pipeline is picking up steam very nicely with three projects totaling nearly 750 kW (about ¾ of a megawatt) for commercial and industrial projects now in the proposal stage - exciting stuff.

There are more projects pending that we have been asked to bid on as they become ready for the engineering, systems procurement, and the construction phase. Additionally, in an effort to try to develop as much sales opportunity as possible, we are not just waiting on projects to come our way, but have also begun reaching out to land owners we know to offer free solar development feasibility assessments of properties they hold.

On the CIGS manufacturing equipment side of operations, we have an on-site meeting with an African based client scheduled for this week, and last Thursday we delivered to a Caribbean based client an extensive package of specifications and financial benefit outlines they requested to allow them to better qualify for government support in their region.

Overall, our expansion into solar project construction and development has started with strong momentum and we are excited about the opportunity to grow sales and operations through these new efforts. With USA solar installation up over 30% in the first quarter and increasing another 15% in the second quarter, our focus is to use the increase in awareness of solar's affordability to load the sales pipeline with commercial, industrial, and utility scale projects.
