Sunrise Continues to Manage Communities for Remaining 18 - 27 Year Terms
MCLEAN, Va., April 16, 2012 /PRNewswire/ -- Sunrise Senior Living, Inc. (NYSE: SRZ - News) announced today that on April 16, 2012, the subsidiaries of joint ventures between the Company and an institutional investor have entered into a binding purchase and sale agreement to sell 16 communities to Ventas, Inc., for a purchase price of $362 million. Sunrise will receive approximately $28 million for its 20-percent ownership interest in this portfolio. As part of this transaction, Sunrise will remain the manager of these 16 communities under the preexisting terms relating to management fees and contract length, which now range from 18 to 27 years.
Sunrise CEO Mark Ordan commented: "This is another positive event for Sunrise as it demonstrates the value of our purpose-built assets, provides us with additional capital, and reaffirms our positive and growing relationship with Ventas."
The transaction is expected to close in the second quarter of 2012. However, there can be no assurance that the transaction will close or as to the timing of any closing.
Ventas to Acquire 16 Private Pay Seniors Living Communities

Ventas, Inc. (NYSE: VTR) (“Ventas” or the “Company”) announced today that it has reached a definitive agreement to acquire a 100 percent interest in 16 private pay seniors living communities from affiliates of Sunrise Senior Living, Inc. (NYSE: SRZ) (“Sunrise”) and its institutional joint venture partner for $362 million.
“With the acquisition of these exceedingly high-quality seniors living communities, we continue our enterprise growth while also expanding our private pay revenue source,” Ventas Chairman and Chief Executive Officer Debra A. Cafaro said. “We are especially pleased to expand our relationship with Sunrise, the global leader in seniors living.”
The transaction is expected to be immediately accretive to normalized funds from operations (FFO) per share and will be funded through borrowings under the Company’s revolving credit facility. All of the properties will be acquired unencumbered. The transaction is expected to close in the second quarter of 2012. However, there can be no assurance that the transaction will close or as to the timing of any closing.
The acquired assets were developed by Sunrise, have a median age of four years and contain 1,274 units.

Hey, Slo, that's a good question. The market seems to like six as an support area but I think the share price is being pounded by the Europe situation and lack of conviction that the economy is really getting better.
Sunrise is not rated well, as you know, and the share price is reflecting the shorts and a flight to better rated stocks.
Meanwhile, it remains a 2%-3% daily trading vehicle.

JonyJL, SRZ to me still is on an uptrend. The stock got hit like this last month. IMO the shorts (not bears) are driving the price down.
The question is when, in the face of an overall declining market, will it resume the uptrend past eight.
The company is solid and is making substantial progress in its comeback. Sunrise operates at the high end of senior care, with little to no dependency on government subsidies. And, it's acquiring properties.
