(AERP) today announced the resignations of Bryan Hunsaker as chief executive officer and director and Robert McMichael as director of the company, effective June 5, 2009. The Commission today announced that the U.S. District Court for the District of Nevada has entered final judgments against John R. Dumble, Kevin D. Romney, Shane H. Traveller, and Alvin Dahl, four defendants in the Commission's pending civil action against Compass Capital Group, Inc. and two other defendants. The four settling defendants agreed, without admitting or denying the allegations of the Commission's complaint, to the entry of injunctions and certain bars, and to the imposition of civil penalties.
The Commission's complaint charged that as the former CEO of 21st Century Technologies, Inc., Dumble violated antifraud, reporting, and certification provisions of the securities laws arising out of material misstatements and omissions in 21st Century's filings with the Commission. The Commission's complaint charged that Romney, also a former CEO of 21st Century and a member of the company's Board, violated antifraud, registration, and certification provisions of the securities laws arising out of his approval and certification of certain Commission filings and his participation in an unlawful public offering by 21st Century. The Commission's complaint charged that Traveller, a former member of 21st Century's Board, violated antifraud provisions of the securities laws and aided and abetted reporting and recordkeeping violations by 21st Century arising out of material misstatements and omissions in 21st Century's filings with the Commission. The Commission's complaint charged that, as 21st Century's former CFO, Dahl violated certification provisions of the securities laws, and aided and abetted reporting and recordkeeping violations by 21st Century related the preparation and certification of the company's Commission filings.
In settling the Commission's charges, Dumble consented to the entry of a final judgment that permanently enjoins him from violating antifraud and certification provisions, Section 10(b) of the Exchange Act and Rules 10b-5 and 13a-14 thereunder, and from aiding and abetting reporting violations of Section 13(a) of the Exchange Act and Rules 12b-20, 13a-11, and 13a-13 thereunder; and permanently bars him from acting as an officer or director of a public company and from participating in an offering of penny stock. Dumble was ordered to pay a civil penalty of $5,000.
Romney consented to the entry of a final judgment that permanently enjoins him from violating registration, antifraud, and certification provisions, Sections 5(a), 5(c) and 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rules 10b-5 and 13a-14 thereunder; and bars him for a period of five years from acting as an officer or director of a public company and from participating in an offering of penny stock. Romney was ordered to pay a civil penalty of $40,000.
Traveller consented to the entry of a final judgment that permanently enjoins him from violating antifraud and reporting provisions of the securities laws, Section 17(a) of the Securities Act and Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5 and 13b2-1 thereunder, and from aiding and abetting violations reporting and recordkeeping provisions of Sections 13(a) and 13(b)(2)(A) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder; and bars him for a period of five years from acting as an officer or director of a public company and from participating in an offering of penny stock. Traveller was ordered to pay a civil penalty of $50,000.
Dahl consented to the entry of a final judgment that permanently enjoins him from violating the certification provisions of Exchange Act Rule 13a-14; and from aiding and abetting violations of reporting and recordkeeping provisions of Section 13(a) of the Exchange Act and Rules 12b-20, 13a-1, and 13a-13 thereunder; and bars him for a period of five years from participating in an offering of penny stock. Dahl was ordered to pay a civil penalty of $5,000.
In connection with the settlements, the Commission also instituted settled administrative proceedings pursuant to Rule 102(e) of the Commission's Rules of Practice against Traveller and Dahl, who are certified public accountants, whereby Traveller consented to a five-year suspension from practice before the Commission and Dahl consented to a one-year suspension from practice before the Commission.
The Commission's litigation against the remaining defendants, Compass Capital Group, Mark Lefkowitz, and John Hopf, is ongoing.

Krause Kalfayan Benink & Slavens, LLP Announces Filing of Derivative Lawsuit Against Unico, Inc. (OTCBB: UNCO) Officers and Directors

SAN DIEGO, Aug. 15 /PRNewswire-FirstCall/ -- Krause Kalfayan Benink & Slavens, LLP filed a derivative lawsuit yesterday in San Diego Superior Court on behalf of Unico, Inc. shareholders charging Unico, Inc.'s officers and directors with gross negligence and breach of fiduciary duty in connection with dozens of cookie-cutter settlements with Unico creditors that caused significant harm to Unico.
Unico, Inc. (http://www.unicomining.com) is a publicly-traded company in the precious metals mining business with offices at 8880 Rio San Diego Drive, 8th Floor, San Diego, CA 92108.
The lawsuit alleges that under the leadership of Unico's Chairman of the Board Ray Brown, CEO Mark Lopez, and CFO Ken Wiedrich, Unico issued 72 convertible debentures to third parties ("creditors"), primarily located offshore in the Turks and Caicos, during the past four years. Although the debentures were convertible to common shares at a share price of 50% of the prior day's closing price, Unico entered into settlement agreements with the creditors which required it to issue shares at conversion prices of 8% to 20% instead.
According to the lawsuit, the settlements were not products of arms-length negotiations. Instead, defendants colluded with the creditors utilizing court-approved settlements as cover to issue hundreds of millions of freely-trading and cheaply-obtained shares to the creditors under a securities registration exemption, Section 3(a)(10) of the Securities Act of 1933. Section 3(a)(10) provides that securities issued in exchange for bona fide claims where the terms are approved by a Court, need not be registered for offer or sale with the Securities and Exchange Commission ("SEC".)
The lawsuit points out that all of the settlements were approved by a state court in Sarasota, Florida, a jurisdiction with no connection to any of the parties and without notice to Unico's shareholders. The attorney representing Unico in the Sarasota actions and the attorney for the third-party creditors share the same office space in Sarasota.
Also named in the lawsuit was Shane Traveller, who is Ken Wiedrich's son-in-law and Traveller's company, Javelin Advisory Group, Inc., a consultant to Unico. Traveller was recently named as a defendant in an SEC civil action and has been a principal of other publicly-traded small-cap companies.
The suit seeks not less than $20 million.

Something Happening at WAMU This Minute!

THIS IS ALL MY OPINION BASED UPON WHAT I PERSONALLY VIEWED AT TWO LOCAL NORTHERN CA WAMU BRANCHES. I HAVE RECEIVED NO REPORTS OF THIS HAPPENING ANYWHERE ELSE OR NATIONALLY.
I was just out and noticed a line out of my local WAMU branch this morning. I then drove a few miles away and saw another branch with many people in line. I talked to someone there and they said the lines started before the bank opened and many people are sweeping their accounts. They did not say ‘everyone’ but they did say ‘many people are sweeping their accounts’.
Today is not payday or Government check day. I could be wrong but I do not think this is to open an account and get a free toaster.
To prevent runs on other regional banks holding similar mortgage paper is exactly why I think they tried to cover up the IndyMac bank seizure by calling it a bank-initiated shut down of the mortgage unit, which was essentially all they were.
This is all visual speculation on my part at this point, but in my short years on this planet I have never seen anything like this.
It is also my opinion, that WAMU is too big to fail if anything bad was happening somebody would come to the rescue. However, due to the extent of their mortgage problems and volume of subprime, HELOC and Pay Option loans on their books, a bailout might not be able to come solely from the private sector. -Best Mr Mortgage.

In connection with that, there has been some frenetic postings by some - inclusive of a high level of unwarranted deletions by moderators.
That aside, a strange anomaly has occurred. This week there has been a high number of Javelin and or Sarasota courtroom stocks listed. Some are even grouped strangely close together. I spoke again with Lonnie- (President) at Jim Palmer Trucking. This deal could be huge for shareholders of ActionView.
Acquisition is going to be done with restricted shares. He said Co. revenues in the 30-40 million range. Would not give me to much specifics. Said that things should be PR’d and the deal closed real quick… The stock prices will jump through the roof. How often do you find an OTCBB company with 30+ million in revenues. Acquisition is a cheap way for JPT to go public and mgt there will retain mgt functions etc.. That all for now..
I saw one poster claim to have spoken with the President of JPT and that revenues were $72 million as per this call.
I feel important if you are following me. You guys are nothing but pumpers on the other board. Lilke I said. Keep pumping. I might buy in to flip a few. Pump away!

768 million court ordered shares issued. I bet Peacock was the recipient yet nobody on the AVWI board cares to discuss it. Someone called the pres. of Jim Palmer trucking and was told 35 million in revs. Another poster called the same guy and was told 76 million in revs. One of those stories that stinks from the get go.

Since DTC is starting to "chill" or global lock quite a few stocks I thought it might be interesting to start gathering information on the various "chilled" stocks here. I'll be adding a list of the ones I know about in the near future. Please post information on any stocks you know of that have a DTC "chill" on them.
Not all DTC "chilled" stocks are scams, but, the end results to the long term shareholders appear to be the same.

EYII closed it's doors on April 2, 2009. Website came down and nobody heard from the company again. A number of reps are now trying to file a class action lawsuit against the company. They stopped paying reps after this point. In the weeks and months leading up to April 2009, they had begun putting caps on distributor checks. After this time, the patent holder/inventor of Calorad took his product to ASANTAE, inc to allow them to distribute. EYII never owned Calorad or the rights to distribute it. Try googling for EYII distributors, and you will not find a single one that is active. There are a few that have moved onto other MLM companies, and have maintained their old telephone numbers, but they will tell you that EYII went out of business last year. Evidently, the story is that 2 people embezzeled or defrauded the company of all their cash and they went belly up. They left all their reps high and dry and even wiped out their downlines of customers, because they took down the website and they were not able to access their downlines.
