SPYR: SEC Charges Executives and Director with Lying to Auditors

On September 22, 2022, the Securities and Exchange Commission filed charges against the former Chief Executive Officer of Spyr, Inc., James R. Thompson, the company's former Chief Financial Officer, Barry D. Loveless, and director, James A. Mylock, Jr., for making false and misleading statements to Spyr's auditors. The SEC also charged Thompson and Loveless for filing periodic reports with the SEC that failed to include required information in the financial statements.
According to the SEC's complaint, filed in the United States District Court for the District of Nevada, Thompson, Loveless, and Mylock provided Spyr's auditors with false and misleading information about an SEC investigation into Spyr's investment in a biotechnology company. The SEC alleges that the defendants told Spyr's auditors that they were not aware of "any situations where the company may not be in compliance with any federal or state laws or government or other regulatory body regulations," even after Spyr had received a Wells notice, settlement discussions with SEC staff had broken down, and management believed that an SEC action would be filed soon. The complaint also alleges that Thompson and Loveless signed Spyr's 2017 Form 10-K and 2018 first quarter Form 10-Q, neither of which disclosed the potential SEC enforcement action. According to the complaint, Spyr was required by generally accepted accounting principles to disclose the potential SEC enforcement action because it was reasonably possible that it could lead to a material loss for the company.
The SEC's complaint charges each of the defendants with lying to auditors and thereby violating Rule 13b2-2 of the Securities Exchange Act of 1934, and charges Thompson and Loveless with violating the antifraud provisions of Section 17(a)(2) and (3) of the Securities Act of 1933, and aiding and abetting Spyr's violations of the reporting provisions of Exchange Act Section 13(a) and Rules 12b-20, 13a-1, and 13a-13 thereunder. Without admitting or denying the SEC's allegations, Thompson, Loveless, and Mylock consented to the entry of final judgments, subject to court approval, permanently enjoining them from violating the charged provisions; requiring Thompson, Loveless, and Mylock to pay civil penalties of $50,000, $75,000, and $10,000, respectively; and barring Thompson and Loveless from acting as an officer or director of any public company for three years.
The SEC's investigation was conducted by Matthew L. Skidmore and Michael F. D'Angelo with the assistance of Christopher E. Martin. The investigation was supervised by Mary S. Brady and Jason J. Burt.

Since Fiori had obvious control of this company and then told by government, that he couldn't have anything to do with public companies, ( I think that's accurate) through all the proceeding Fiori puppets and their stupid pie in the sky plans to include cartoon games, electronic resale, and last but not least some kind of tracking chip there's been no revenue/sales. Now I give everyone the benefit of doubt, time it takes to get started but come on. This entity doesn't exist to be successful or turn a profit it exists to allow unethical and corrupt individuals and attorneys to operate within the law to manipulate stock numbers and trades. Their goal is to make money by having the edge of market manipulation not real work to franchise the shareholder. Isn't that common knowledge by now?

750K shares traded today. MKT closed at .0109 to .013 last sale was .011. What is to keep this from going sub penny. Are there interesting sales or new exciting inventions? Stay alert.
I guess you are using the 2 numbers most commonly used to measure stock value ie. "over sold." There's more to that story and it's wrapped within the comment that the market tells us the value. Well, share/issue size divided into hard asset value (in this case treasury cash) gives us the value of the stock. Great indicator but not the whole story. maybe the market is taking into account the history and players. What do I mean? Trust, for one thing. Joe Fiori who was always less than savory, crooked manipulation and SEC lawsuits. Gruden retires to Florida, Fiori gains power and the company records taken to Florida are destroyed by fire. Really? Fiori's lackey Marlin Molinar promised progress, nonsense for years and nothing. What ever happened to the promised dividends to share holders? Again nothing. Then we have a revolving CEO wheel of friends of Fiori who did nothing. CEO's who can't pee without Fiori's permission. The new CEO is a long time pal of Fiori, need I say more? What ever happened to the cartoon/game nonsense? It went to the same bone yard as the greasy spoon dinner at the Phili airport, with a quiet whimper. Where did all that money go? There's a lot more but you get the point. Obviously the MKT doesn't believe.
I've been saying for months, wait and I thought the stock would go down to .01 or lower. Now that could vary up or down but at a penny this group of crooked slime will realize an opportunity. Buy stock in size, when doing so they will probably coordinate their buying with some empty news further legitimizing the stock and when for .05, .10 or much more when retail buyers come in to take stock the crooks will unload their .01 stock for very substantial profit. This really works if the news is good or at least believable. This effort can be further enhanced by the cooperation of other less than ethical dealers in to make a profit playing the game for a quick profit. Your play is that of banking on their greed. Be there or be square. At some point you want to be long at the lowest possible price. LOL By the way, I have no proof of misdeeds. I am merely presenting my thoughts. It's a shot.

Solidly below .02. ,015 is the next milestone. if we can get there, "Katy bar the door." (did I spell it right?)

After about 8K of stock trading at .02 the offering of about 200K shares
at .02 was reduced around .018 or .019. Clearly there's no appetite in the market for this thing at .02 right now. If that feeling persists why would anyone pay up. That said, anything can happen considering the "random walk theory," ie. this afternoon an idiot can decide he/she wants or needs to own this stock and buys 1,000,000 shares pushing it to 10 cents. likely no, possible, sure. Or a retail investor with the plan and has purchased this on the dips decides to push the stock eventually sells their position for a penny or more profit. Could it be two MMs working to coral the market flow, sure and really hard to prove. There are many ways to manipulate. Our trick is to be prepared for when they are ready to push to make a profit and be in position before and sell near a high. Not as hard as it sounds. Remember you are less capable of trading than MMs. They have clear advantages.
100K taken at .018, about 100k still bid .018. When that bid is filled this could be at .015 or lower unless someone feels it's time to work on moving it up. A .02 profit is $2k for every 100k shares. This is not the realm of professional shorters because this crappy company is unpredictable and could for no reason shoot up to unpredictable levels. (isn't that what everyone's praying for "could happen") Well it's just stupid to take on unlimited loss potential in a short but it is reasonable to limit your loss potential by your own acceptable level of loss by going in the size you like. Your choice. Responding to often repeated trends in stock price up and down week after week. Now, I know most of you are heavy hitters and profit 100s of K a month but those of you are just regular every day people might think 100k or 200k shares become a .02 stock traded for a .02 profit yields a $4000 trade. Sometimes more sometimes less. No matter what you do you can sometimes lose but this thing isn't going out of business, (I don't think), they have money in the bank, I'm told. I'd take a small profit every time happily.

That's very interesting, although I hate the word expect and still have a very negative opinion of Matula for good reason, the more info makes me more comfortable. The key is always the same. Can they market any of their products. Tracking by cell may offer advantages to GPS for any number of applications.

In reality how long does it take for a nothing company to progress from value destruction, no income to a progressive profit making self sufficient organization/company. Usually much longer than most people are willing to tie up their money for, with only losses. After all how long ago did they announce the security products, (which I thought were good products and were merely going to remarket) but knew it would never sell enough quick enough to make any difference to fulfill their future looking statements. Bush leaguers and right now money manipulators. Smells like Joe and crew doesn't it?

The numbers for a trade even look better today. Can this go to .10?An after thought, if MMs agree on future trades that's manipulating a mkt. Very hard to prove. At .10 I'd be tempted to see if it would go higher. I'm weak too but if the mkt was strong and told me it could be higher, I'd have to think twice.
325,000 on the sell side. .015 something was just too tempting to pass up. Stock has traded up to .022 or higher. There was a lot more than .005 in many of these trades but if 500k to 1million shares are involved $5000 could be made. If only $2500 is made, that's a trade I'd make every week. Now if management or insiders are involved that may be another issue. I don't know if it's illegal but it's something to think about especially consider which MMs are involved etc. Smells like Joe and crew.

SPYR has been trading somewhere between ho hum to discouraging for the last while. Today there was some more aggressive buying and the price moved up a little.
I’ve given up prognosticating what anything anything might mean anymore.
Guess we’ll just have to wait and see.
Further more, if you really think this stock will be successful or just think these fools can make it go up a little, the best way to buy it is highly leveraged so better to take a shot cheaper. Even these bums at SPYR might make a correct move or put out a news release so over the top but believable that all the internet amateur traders buy this thing in size. All I need is a dime. Remember, 100k shares with a 10 cent profit is 10k dollars. I know some of you big time traders out there think that's not enough profit but really, it's not supposed to be a career. Even Fiore and his clone Matula might be able to put a dime in this thing. That's why under a penny is better. Sretch your money.
Opened at .017 traded down to .016, LS is .016. MKT is now .016 bid with 370,500 shares overhanging the market at .017. Well, what does that tell you? Who's to buy this stock at .017. If someone thinks .017 is the cheapest, maybe but if anyone smells .01 or sub penny .017 doesn't look cheap. Over hang is over hang.
This morning I called telephone number at bottom of their news release page with all their contact info labeled "let's talk." The number was not in service.
Why was I not surprised, typical, they don't want to speak to shareholders or the pubic. Matula is a Fiori clone. Stock at .017. Do I hear sub penny?
