In an aggressive attempt to capture burgeoning market share potential across the pond, American content publishers Derycz Scientific, Inc. announced today they had reached a deal to acquire Techniques Appliquees aux Arts Graphiques, S.p.A. (TAAG), a Grigny, France information logistics server for the European life sciences industry.
The closing date for the deal is set for March 31st, 2011, but is still subject to meeting regulatory requirements and conditions. The acquisition values TAAG at about U.S. $1.34 million. TAAG offers information logistics services to the European life sciences industry by producing and distributing clinical trial kits and clinical articles reprints out of their offices throughout northern France.
Derycz is swapping 368,000 shares of common stock in exchange for 100% of TAAG. Shares of Derycz are trading today at $3.65 a share, down just over 2.5% on the acquisition announcement. With 23% of the company’s shares being owned by institutional ownership and a market cap of around $56 million, Derycz is likely undervalued as the acquisition news spreads.
The reason is because Derycz expects the transaction to add more than 50% to its top-line consolidated revenues based on the unaudited financial statements from TAAG which reported $13 million in revenues for 2010. Assuming revenue trends continue for both Derycz and TAAG through 2011, the company believes that both EBITDA and gross margin will also immediately improve.
Founded in 2000, TAAG supplies life science companies with scientific literature in evidence-based promotions and is increasingly becoming the European industry’s single-source supplier. The company’s 52 employees reach health care professionals and consumers both in mature and emerging markets.
The terms of the acquisition call for Derycz stock to be issued to the founders/owners of TAAG, Mario Vendemiati and Patrice Chambin. The shares will be subject to a three-year lock-up period. During that time, Vendemiati and Chambin may receive additional payments in cash or stock at Derycz's discretion based on net income milestones achieved within 5 years. Vendemiati and Chambin will continue to run TAAG’s French operations.
Why the aggressive bid? Derycz CEO Peter Derycz has said that he and his team are following the digital information and logistics capability integration models that Amazon and Netflix have successfully leveraged in recent years.
"We realized the benefits of production and distribution logistics in the U.S. through our acquisition of Pools Press nearly four years ago, and now we will replicate that proven model in Europe through our acquisition of TAAG”, Derycz said.

Company Expects Significant Sales Increases in Fiscal 2011
SANTA MONICA, Calif., Nov. 15, 2010 /PRNewswire-FirstCall/ -- Derycz Scientific, Inc. (OTC Bulletin Board: DYSC), a company pioneering a fresh way of facilitating the flow of information from content publishers to enterprise customers and their constituents, today reported financial and operating results for the three months ended September 30, 2010.
Revenues for the first quarter of fiscal 2011 increased 26% to $6.0 million from $4.8 million for the first quarter of fiscal 2010. Revenue from the Reprints Desk subsidiary increased 31% to $5.3 million from $4.0 million for the prior year period, while revenue from the Pools Press subsidiary decreased slightly to $750,379 from $758,032 for the first quarter of fiscal 2010.
Cost of goods sold increased 28% during the first quarter of fiscal 2011 compared with the prior year period, which is roughly in-line with revenue growth. Gross margin was 14%, compared with 15% for the prior year period.
General and administration expenses for quarter ended September 30, 2010 increased 9% to $1.0 million compared with $945,433 for the quarter ended September 30, 2009. The increase was due to higher expenses from Reprints Desk, including increases in sales and marketing, information technology and accounting personnel. Marketing and advertising expenses for the first quarter of the current fiscal year of $114,526 compare with $38,453 for the prior year period, with the increase due to expanded marketing efforts.
Derycz Scientific reported a net loss of $405,269 or $0.03 per share for the three months ended September 30, 2010, compared with a net loss of $310,691 or $0.02 per share for the three months ended September 30, 2009.
The company had cash and cash equivalent of $2.0 million as of September 30, 2010, compared with $1.9 million as of June 30, 2010.

Survey findings showed that many challenges exist today in the adoption and use of ePrints in areas such as licensing, user experience, technology integration, and pricing.

Survey results highlights included:

This line of credit gives us the ability to borrow against the receivables in order to manage our business more effectively at a reasonable interest rate. It also gives us more flexibility to make payments to our suppliers that may result in more favorable terms.&;
According to the terms of the Agreement, the line of credit bears interest at the prime rate plus 2% for a period in effect where Derycz Scientific and its subsidiaries maintained an account balance with the Bank (less all indebtedness owed to the Bank) of at least $800,000 at all times during the prior calendar month (a &;Streamline Period&;), and at the prime rate plus 4% when a Streamline Period is not in effect. Derycz Scientific and its subsidiaries must pay the Bank a non-refundable commitment fee of $22,500 and a monthly collateral monitoring fee of $1,000 when a Streamline Period is in effect and $2,500 when a Streamline Period is not in effect. The line of credit is secured by all of the assets of Derycz Scientific and its subsidiaries.

Financial and Operational Highlights for the quarter and nine months ended March 31, 2010, include:
-- Quarterly revenues increased 62% to $6.2 million in 2010 from $3.8
million in the same period 2009;
-- Nine-month revenue rose 77.8% to almost $18.6 million for the period
ended March 31, 2010, from $10.4 million for the same period prior year;
-- Quarterly EPS of $0.01 represents Derycz's second consecutive profitable
quarter;
-- Nine-month income reached $22,000, or $0.00 per fully diluted share, for
the period ended March 31, 2010, against a net loss of $244,000, or

Quarterly Results of Operations
Our revenues increased 62% compared to the same period in 2009. We achieved revenue of $6,201,431 for the three months ended March 31, 2010, compared to revenue of $3,818,500 for the three months ended March 31, 2009.
Our general and administrative expenses increased 30% from $826,770 for the three months ended March 31, 2009 to $1,154,177 for the three months ended March 31, 2010. Pools&; share of these expenses was approximately $52,000 for the 2010 period and $49,000 in the 2009 period. These expenses include Reprints&; salary costs, which were $657,494 in the 2010 period and $499,099 in the 2009 period, an increase of $158,395 or 32%. Both our sales and marketing team and our information technology team have increased during the past year and we have added other additional employees as needed. We continue to attempt to contain the expansion of our workforce. However, because of the expansion of our sales volume and in order to continue to develop our computer system, we expect to add a small number of new employees in the next year.
We recorded net income of $123,640 for the three months ended March 31, 2009 compared to net income of $93,705 for the three months ended March 31, 2010.

Nine-Month Results of Operations
Our revenues increased significantly from the same period in 2009. We achieved revenue of $18,575,589 for the nine months ended March 31, 2010, compared to revenue of $10,448,179 for the nine months ended March 31, 2009, an increase of 78%.
Our general and administrative expenses increased 38% from $2,409,883 for the nine months ended March 31, 2009 to $3,333,872 for the nine months ended March 31, 2010. Pools&; share of these expenses was approximately $174,000 in the 2009 period and $166,000 during the 2010 period. These expenses include Reprints&; salary costs, which were $1,352,533 in the 2009 period and $1,911,565 in the 2010 period, an increase of $559,032 or 41%. These costs have increased at a slower rate than our revenues as we have tried to limit our hiring of new employees and to contain other costs.
As a result of the foregoing, Derycz recorded net income of $16,288 for the nine months ended March 31, 2010 compared to a net loss of $243,492 for the nine months ended March 31, 2009.
As of March 31, 2010, the Company had cash and cash equivalents of $2,248,767, compared to $1,854,093 as of March 31, 2009. This increase is primarily attributable to an increase in accounts payable of $1,020,733 and a decrease in prepaid royalties of $182,210, partially offset by an increase in accounts receivable of $638,611. The Company believes that its current cash resources will be sufficient to sustain current operations for at least one year.

Highlights for the quarter and six months ended December 31, 2009, include:
•Quarterly revenue growth of 121% to $7.6 million in second fiscal quarter 2010 from $3.4 million in the same period of fiscal year 2009.
•Six-month revenue growth of 87% to $12.4 million in the half year ended December 31, 2009 from $6.6 million in the same period of the prior year.
•Quarterly income for the quarter rising to $235,734, or 2 cents per fully diluted share, in the second fiscal quarter of 2010 compared to a loss of $132,177 or one cent per fully diluted share, in the same period of fiscal 2009.
•Delivery of its 5 millionth article of 2009.
•Addition to Derycz's document delivery system of titles from Informa Healthcare, The American Institute of Physics, IOP Publishing, the Royal Society of Chemistry, The British Medical Journal (BMJ), the American Academy of Family Physicians, IOS Press, Annual Reviews, and the IEEE.

Quarterly Results of Operations Â
Revenues more than doubled compared to the same period in 2008. Â We achieved revenue of $7,590,459 for the three months ended December 31, 2009, compared to revenue of $3,426,953 for the three months ended December 31, 2008, an increase of 121%. Â
General and administrative expenses increased 30% from $810,441 for the three months ended December 31, 2008 to $1,052,645 for the three months ended December 31, 2009. Pools' share of these expenses was approximately $52,000 for both periods. Â These expenses include Reprints' salary costs, which were $447,539 in the 2008 period and $699,884 in the 2009 period, an increase of $252,345 or 56%. Â Both the sales and marketing team and the information technology team have increased during the past year, and the Company has added other additional employees as needed. Â Management will continue to attempt to contain the expansion of the workforce. Â However, because of the expansion of sales volume and in order to continue to develop the computer system, the Company expects to add a small number of new employees in the next year. Â
Derycz recorded net income of $234,734 for the three months ended December 31, 2009 compared to a net loss of $132,177 for the three months ended December 31, 2008. Â This is the first quarter Derycz has achieved significant profitability. Â This result is attributable to strong sales at Reprints during the 2009 period.
Half-Year Results of Operations
Derycz achieved revenue of $12,374,158 for the six months ended December 31, 2009, compared to revenue of $6,629,679 for the six months ended December 31, 2008, an increase of 87%. Â Â
General and administrative expenses increased 38% from $1,583,113 for the six months ended December 31, 2008 to $2,179,695 for the six months ended December 31, 2009. Â Pools' share of these expenses was approximately $114,000 for both periods. Â These expenses include Reprints' salary costs, which were $853,434 in the 2008 period and $1,315,320 in the 2009 period, an increase of $461,886 or 54%. Â These costs have increased at a slower rate than our revenues as we have tried to limit our hiring of new employees and to contain other costs. Â
Derycz recorded a net loss of $364,843 for the six months ended December 31, 2008 compared to a net loss of $75,957 in the 2009 period.
Liquidity and Capital Resources Â
As of December 31, 2009, Derycz had cash and cash equivalents of $2,686,281, compared to $1,854,093 as of June 30, 2009. Â This increase is primarily attributable to an increase in accounts receivable of $2,167,186 and an increase in accounts payable of $3,659,601, partially offset by an increase in prepaid royalties of $474,848.
