If you can do it, why not? It all depends on your investment strategy. It looks pretty conservative on this one, but that's okay. We all need some conservative parts to our portfolios. Right now, mine is called "cash in the coffers" more than any investment. I'm rolling more and more into PPs and really not doing much with stocks. Just holding what I have.
It all depends, Tim. Yes, your offering will be less than when the stock hits the streets. But . . .will the stock hold value? Many questions to ask.

Under the terms of the offering, the Fund will issue to its common stockholders on the record date, which is July 24, 2007, or such later date as the Fund's registration statement is declared effective by the Securities and Exchange Commission, rights to subscribe for an aggregate of 32,143,181 shares of the Fund's common stock. The rights will entitle stockholders to acquire, at the subscription price, one share of common stock for each right held. The subscription price per share will be the lower of (a) 94% of the average of the last reported sales price of a share of the Fund's common stock on the New York Stock Exchange on the Expiration Date and the nine preceding business days and (b) 94% of the net asset value per share as of the close of business on the Expiration Date. The Fund's rights offering is expected to commence on the record date and expire at 5:00 p.m., Eastern time, on August 20, 2007, unless extended, at the discretion of the Fund.

Hmmmm. That's a very interesting statement to be coming out of a company like Pfizer. Their IR personnel need a good spanking. That is not crisis management, that is stupid statements.

Pfizer Warns Shareholders: Steer Clear of Below-Market Bid

Pfizer warned investors this afternoon not to sell their shares in the drug maker for less than market price.
Sure, Pfizer shares have seen better days, but do investors really need to be told not to sell for less than the market offers? Evidently, sometimes they do.
The drug maker’s caveat applies to a “mini-tender offer” made on June 27 by a company called TRC Capital. Pfizer says TRC is offering $25 a share, a 2.3% discount to the price on June 26. Securities law requires companies to tell shareholders their position on such offers, and Pfizer opposes it.
Pfizer courteously points shareholders to the SEC’s Web page on mini-tenders, which offer to buy less than 5% of a company’s outstanding shares, avoiding the regulatory filings necessary for larger purchases. “Some bidders make mini-tender offers at below-market prices,” the site warns, “hoping that they will catch investors off guard, if the investors do not compare the offer price to the current market price.”
UnitedHealth issued its own press release warning against a TRC offer on June 27. In recent years, TRC has papered investors with mini-tenders for shares of Schering-Plough, Halliburton, Chevron and Tiffany.
Canadian Business magazine called TRC the one-man brainchild of Toronto securities lawyer Lorne Albaum in a profile from 2003. The Health Blog couldn’t reach Albaum. A person answering the telephone at his law firm listed in an SEC filing said Albaum’s out of the office until Thursday.
Albaum, whose been making mini-tenders since 1999, can make a tidy profit by buying up shares at a discount, and even selling them before paying the original owners, Canadian Business wrote. Albaum defended the offers as giving small shareholders a way to sell odd lots without a commission, despite the fact that many companies offer similar services at market prices. The article says he recruits brokers by paying them eight cents a share, up to $2,000, to find sellers.
Tim, this is a lot like the structure Brittany and Chris (musicians) will be setting up out of Nashville but they will be forming an LLC (private company) where the investors become the "owners" of the music (on a percentage basis) and therefore receive the same type of quarterly payout distribution in accordance with their position/ownership percentage in the company.

Master limited partnership (MLP) is a limited partnership that is publicly traded on a securities exchange. It combines the tax benefits of a limited partnership with the liquidity of publicly traded securities.
Master Limited Partnerships are limited by US Code to only apply to enterprises that engage in certain businesses, mostly pertaining to the use of natural resources, such as petroleum and natural gas extraction and transportation. Some real estate enterprises may also qualify as MLPs.
In practice, MLPs pay their investors through quarterly required distributions (QRD), the amount of which is stated in the contract between the limited partners (the investors) and the general partner (the managers). Failure to pay the QRD may constitute an event of default.
Because of such stringent provisions on MLPs, and the nature of the QRD, the vast majority of MLPs are pipeline businesses, which earn very stable income from the transport of oil, gasoline or natural gas.
Because MLPs are a partnership, they avoid the corporate income tax, on both a state and federal basis. Additionally, the limited partner (investor) may also record a pro-rated share of the MLP's depreciation on his or her own tax forms to reduce liability. This is the primary benefit of MLPs and gives MLPs relatively cheap funding costs.
However, this makes MLPs unattractive to tax-deferred funds, who must lose this tax saving advantage. To encourage tax-deferred investors, many MLPs set up corporation holding companies of LP claims which can issue common equity.
An example is the pipeline company Kinder Morgan Energy Partners. The main corporation is traded in the NYSE as KMI and is the operator of the pipelines and other assets. However, the pipelines themselves are owned by the MLP Kinder Morgan Energy Partners, L.P. (NYSE:KMP). Finally, part of KMP's limited partner interests are held by the corporation Kinder Morgan Management LLC (NYSE:KMR) which allows tax-deferred investors to participate in KMP's operations.
Usually, in the MLP structure, the general partner starts with a small (usually 2%) stake in the company but is given incentive distributions from net income after the QRD. Since these distributions are usually paid in the form of increased equity claims, over time, this allows the general partner to attain higher and higher percentage of ownership in the company.

This type of partnership usually targets the energy sector and is highly liquid where investors can purchase ownership interests of MLPs through a stock exchange. As a financing tool, the MLP structures enable companies to receive cash from investors for its assets while maintaining control at the general partner level. Profits and losses are passed on to MLP investors or unit holders through distribution payments. MLPs are not taxed at the corporate level on both a state and federal basis, resulting in a lower effective tax rate for businesses using this structure. This lower cost of capital creates a significant competitive advantage for businesses utilizing this structure.

Raising capital can be fun. But what is really fun is helping organizations with a strong product or service find their initial cashflow for operations and to watch them succeed. That is part of the reason for this board.
At present, I am working with professional musicians, a private music shop, and Hollywood. It's very fun. The necessary funds needed for the combined three in this paragraph is about 35 million dollars. Peanuts, right? Then one has to establish the fact that they can not only pay their investors back, but that their investors will get a return on their investment that will make it worth their while. Sound familiar?
I have watched tens of dozens of companies tank because they failed to develop the right support system. Some of them were never really "companies" in the first place. It is amazing to see how some people try to pass off an office in the basement of a home as an office where something is actually being produced. Finding the right "jewels" in the market for your investors and to generate revenue can be more difficult than one thinks.
Lets keep this board rolling forward. There is a lot of potential in a lot of people out there. The same is true with new and emerging companies. Keep your eyes peeled and lets see what ideas we can come up with to help them raise the capital they need to become successful.

Okay. It's been a long week. On Raising capital, what type of questions to people have? There are many ways to initiate the process. Keep in mind you are working with the capital systems and the fiat system of exchange. So, if you go overseas, you are going to have to adjust for monetary changes.
So, how much do you need? Who are you raising capital for? Are they worthy? Will they create a profit for those who plug their capital into the system? If you truly believe you have found something worthwhile, the capital will come.
Where do you start first? Lets hear some ideas and then I'll put some forth that have worked well for me (and most others involved in the markets).

No. I would not recommend even pursuing it. What the intent of this board is related to is how public companies or private companies can pursue ways to raise capital for growth and acquisitions. Also, for private individuals who need to raise capital to promote their craft (singers, musicians, entertainers, entrepreneurs, small businesses, emerging companies, etc.). I have no interest in "shell shock" so to speak. I do, however, like to believe there are a good many "straight forward" companies and individuals that are moving forward with their goals and aspirations to benefit others that will feed this board with a good dose of surprise.
The focus is. . .raising capital. I really have no interest in China related stocks. However, it would be very noteworthy to see what companies want to go over to China to exploit their craft.

Well, we don't worry about those companies. Obviously. That is one of the reasons why this thread was created. Most of the companies that do R/Splits or the like aren't companies at all. That's where one needs to learn how to invest. Investors Business Daily is a good place to start. Here, we focus on raising capital not reducing the float.

BRK. . .yes, I can provide you with some creative ideas and can also help you out of the gateway by providing you with some clients. I will be a little slow out of the gate today, because I have a couple of meetings (in the entertainment business) today. You may wish to stay "private" rather than going "public" unless you really want to endure listing a managerial services entity. SOX regulations and compliance issues really make it difficult for companies of your desire/nature. Nonetheless, you can go either way.
Perhaps you might want to think about staying "private" for now and then going public when you get enough clients. ?? The expenses will be "eye opening" to say the least. The benefits of staying private for a while will give you more time to get familiar with the industry and the individuals who you will be serving.

Very intriguing board here. I am one who would be extremely interested in finding ways to raise capital. I am an entrepreneur in the entertainment field. I'm extremely interested in raising funds to develop a personal management business, that I would one day like to grow into a full service management firm by offering Business Management services to my client's among other things. If one was interested in raising funds for such a venture, but understands the complexities of using the traditional methods. What alternatives are available? I've considered buying a shell to take public, to "raise" additional start-up capital... I've considered a private placement... Can you guys help me with some creative ideas?
I just wish MORE companies raised it OTHER ways that just becoming a printing press! They print all those shares, and then r/s, and screw over investors! I hate the way SO many companies do that!
Any ideas on finding Chinese Company's in the process of buying American shells?

There are no "secrets" when it comes to this type of thing. There are merely those who go out and create opportunity. That, in turn, creates great possibility for those who chase their coat tails.
In short, yes, I part of my responsibilities as an IR Rep are to attain capital for growth and acquistions. And for other dynamic organizational objectives. So, the answer will forever be, Yes.
