PainCare is a world-class leader in the delivery of pain management solutions, including interventional pain management, minimally invasive spine surgery, orthopedic rehabilitation, physiatry, ambulatory surgery centers, and diagnostics. PainCare provides practice-enhancing services in two distinct ways, either as an ancillary service provider to existing practices or through mutually beneficial practice acquisitions.

PainCare's rapidly growing network of well-established, highly profitable owned practices and partner practices reflect the fulfillment of a need in the field of pain management to provide patients with better, more accessible solutions for pain-related diagnosis and treatment. Partnering with PainCare addresses this need, while increasing practice profitability and raising the level of care for patients.

Through the strategic acquisition of successful pain management, physiatry, orthopedic, and neurosurgery practices, PainCare is rapidly creating a comprehensive network of centers that are individually and collectively leading the way in providing excellence in pain management, minimally invasive surgery, and orthopedic rehabilitation, as well as less traumatic treatment of back, neck, and extremity pain.

Our commitment to success drives our core business objectives: deliver state-of-the-art pain management, orthopedic rehabilitation, and minimally-invasive spine surgical services, achieve notable and profitable long-term growth,
The Benefits of PainCare Managed Healthcare Practices
PainCare is dedicated to developing a network of centers of excellence in pain management, minimally invasive spin surgery, and orthopedic rehabilitation. We have established a structure for rapid growth to provide state-of-the-art services and facilities and to build and expand our network based on the existing practices of the highest quality pain management physicians, physiatrists, and orthopedic spine surgeons in the world.

PainCare provides financial, medical, and organizational resources to develop and operate a world-class network of centers, which is revolutionizing the less traumatic treatment and cure of back and neck pain. Our vision and objective is to create a comprehensive network system consisting of:
• The highest levels of medical care available
• Alternative, easy, effective and less traumatic treatment for back and neck pain
• Centers of excellence in pain management, minimally invasive spine surgery, and orthopedic rehabilitation

The PainCare network brings together key players (investors, physicians, outpatient healthcare facilities, and patients) who respond to the needs of each other in an innovative, effective, and mutually beneficial manner. We believe that this approach creates value for all involved. The Company plans to continue to acquire, merge, or manage a substantial number of existing pain management, physiatry, and orthopedic spinal surgery practices and develop centers of excellence around these practices. The network is built upon the foundation of these established medical/surgical and orthopedic rehabilitation centers. It is the goal of the company to respond to the ever-growing demand for these medical services and to continue to establish PainCare as a leader in the field.

Why Minimally Invasive Spine Surgery?
During our lifetime, nearly 80% of the population is affected by back pain. However, some patients do not respond to conservative treatment and require surgery, but resist for the following reasons:

• Fear of major traumatic spinal surgery
• Painful & lengthy recovery
• Increased surgical risks
• Much higher expenses related to surgery, hospitalization and recuperation
• Inconsistent results

Instead, many patients avoid surgery and opt to modify their lifestyles and live with pain. Therefore, a huge market of candidates exists, anxious for an alternative, offering a less traumatic treatment option. Minimally invasive spine surgery (MIS) can relieve the symptoms of the majority of herniated disc patients and satisfy their concerns and anxieties with:

• Outpatient, same day surgery
• Tiny incision (with band-aid)
• Less expensive and generally a quicker return to normal activities when compared to open disc surgery

Minimally invasive spinal surgery provides the perfect response to a glaring patient demand.

Market Opportunity
For the previously mentioned reasons, this huge candidate population, dissatisfied with conventional and more traumatic spinal surgery, has created an untapped worldwide market niche. Pain management, orthopedic rehabilitation, and MIS surgery practices complement and enhance each other to the highest extent for physicians and patients. In response, PainCare is seeking to add qualified pain management and orthopedic spine surgeons practices to our network team, in a way that will be stimulating professionally and lucrative for all participants
