On May 19, 2018, Bonanza Goldfields Corp. (“BONZ” or the “Company”) entered into a new Share Exchange Agreement with Middle Verde Development Co., LLC (“Middle Verde”), Clark Gold & Copper, Inc. (“Clark Gold”), Clark Copper Mines, LLC (“Clark Copper”) and four members of the Bauman Family to acquire Hercules Mines, LLC (“Hercules”) and Golden Gem Mines, LLC (“Golden Gem”). Hercules has an option to acquire the Hercules, Badger, Rambler and Payroll Mines. Golden Gem has an option to acquire the Golden Gem, O’Brien, Columbus, Daisy Twins, Summit and Towne Mines. That is a total of ten (1) mines in and about Chloride, Arizona. The new Share Exchange Agreement replaces a previous agreement that was terminated during March, 2018. Under the new Share Exchange Agreement, BONZ will acquire Hercules and Golden Gem in exchange for 240,000 shares of BONZ Series B Preferred Stock. This Agreement is subject to customary closing conditions.

Peaceful Ocean has an option to purchase approximately 66 acres of patented mining claims and real estate known as “Tuxedo Park” and located in and adjacent to the Chloride Townsite in the Wallapai Mining District, Mohave County, Arizona; and

I am Shocked no one has put 2 and 2 together today or I have missed the Post.

BONZ and ONSS (currently now trading at .20 and getting loaded) did a Joint Venture today.

BONZ received 500,000 shares of ONSS At .10 a shares which has already doubled in Value today alone.

BONZ gave ONSS 25 Mill shares at a Value of .002 a share. The current BONZ Price is .002


Fred Bauman is the Lawyer for BONZ and Registered Agent for ONSS

His Wife Barbara is. CEO of Both Companies.


Fred Bauman represents Joseph Arcaro and Joseph has Massive connections in the Mining industry.

Not saying Joseph is involved here but I would not be surprised if you see a Major Merger soon linking Both companies somehow. The higher BONZ goes the More Valuable the 25 Million shares become that ONSS now owns and Vice Versa the higher ONSS goes the more Valuable the 500,000 shares BONZ owns of ONSS.

Lastly BONZ has been making so many Joint Ventures that they have quietly set themselves up for some serious price appreciation. Which once again Links it’s Joint Venture with ONSS.

Control here is now evenly split between Vietnam and Singapore and we expect a move soon a both parties seek clear control.

Trai Thien USA Inc (OTC Markets:TRTH), through its subsidiary Trai Thien Logistics, announced that it is planning to establish Singapore as a new Shipping and Trade Hub for the Company to expand ahead of the formation of the ASEAN Economic Community (“AEC”) in 2015. The AEC is ASEAN’s most resolute step to date to transform the region into a single market and production base by 2015.

The Port of Singapore is the busiest in the world, surpassing Rotterdam and Hong Kong. In addition, Singapore’s port infrastructure and skilled workforce, due in part to the success of the country’s education policy in producing skilled workers, is also fundamental in providing easier access to markets for both importing and exporting.

Trai Thien currently has six vessels operating at full shipping capacity. The six vessels realized 26 trips in the first quarter 2012, and are projected to make a total of 120 intra-regional voyages for the 2012 fiscal year. When factoring in down time for scheduled maintenance and repairs, a TRTH vessel completes a commercial voyage every 18 days on average. The full operational capacity status reflects the ability of Company management to fulfill its long-term plan of becoming a key player in inter-ASEAN cargo shipping.

Year-end 2011 revenues increased over 20.9% as compared to the previous fiscal year, from $12,232,991 in 2010 to $14,794,939 in 2011.

Income from Operations increased over 148% from 2010 to 2011, from $1,051,543 to $2,615,000.

Net Income increased from a loss of $539,452 in fiscal 2010 to a positive $1,377,391 in 2011.

The Company is operating a 21,990 DWT fleet comprised of six geared bulk vessels specialized in providing ocean transportation services for raw material input items such as coal, ore, grain, lumber, cement, steel and fertilizer throughout the Southeast Asia region.

The new Singapore Hub is expected to add to the capacity of Trai Thien beginning in late 2012 and early 2013.

I understand, I was fortunate to not take as much of a loss. I think it will go up. As you see they are releasing updates. It looked pretty bad for a while so I called and spoke to the company. I explained investors believed they were out of business because it had been so long and lots of rumors saying such. Then within a week they released info and looks like that will continue. News has been positive too!

Well I hope so as it will have to climb quite a ways for me to make up for the 200:1 reverse. I still have considerable doubts, but certainly more to gain then lose (already lost 75%) at this point. As I sad, likely in it till the end.

I already thought I was a bag holder as I'm sure most still in believed! Last real news out of Vietnam (Google translate) was crews were not paid, had no money for fuel, ships were rusting away, office was vacant, the Air cargo never flew, and officers were AWOL. They also had ventures in developing deep water port for bigger ships and seafood processing (no idea what happened to those). Then out of nowhere comes a 200 to 1 reverse split and now trickling of news from the Co. Frankly I still don't know what to think as I tried tracking ships but haven’t seen where they sailed since 2011.

As I recall, several of the ships were owned and a couple leased and had deposit on 5 ships to be built, but the recent new seem to indicate all are leased with 6 on order. What may have happened, or is happening, is they worked out a deal whereby they sold the ships and leased them to keep the business going. Shipping was only profitable element, their core, and other ventures were spreading the company too thin in my opinion – a recipe for disaster. So they may have wised up, reorganized and refocused on core business (shipping) ... which would be a good thing.

As for debt, it is only bad if you can’t pay the bills. And growth companies seldom have profits as all goes back into the company to spur the growth. To be sure, this would be a growth co, so would not be worried about profits if assets are growing. Problem is their book keeping is poor which is why they were delisted (or volunteered to be delisted officially).

Now I would need $5 after split to break even here, and since I’ve already called it a total loss, I’m a hold = no change. If I could get out without a loss short term, I probably would as there are risks, but as it is, think I'll have to play this out out till the end...

Well the financing of the ships wasn't cheap. Hopefully they can transfer more goods on these ships and they run more efficiently. Might be a cost savings on fuel and reduction in salary payout because it's easier to load and unload the new ships.
