6-Mar-2014
Unregistered Sale of Equity Securities
Item 3.02. Unregistered Sales of Equity Securities.
On March 3, 2014, Argentia Private Investments Inc. ("Argentia") converted 4,770,542 shares of Class B common stock, par value $0.01, of Noodles & Company (the "Company), it owned into the same number of shares of Class A common stock, par value $0.01, of the Company. The rights of the holders of our Class A common stock and our Class B common stock are identical in all respects, except that our Class B common stock does not vote on the election or removal of directors. The Company issued the shares of Class A common stock pursuant to the exemption from the registration requirements afforded by Section 3(a)(9) of the Securities Act of 1933, as amended.
After giving effect to the conversion, Argentia owns approximately 24% of the voting power of our outstanding common stock.
At this point.. I hope it shoots to $48 because that will be a nice put price. This stock; if everything goes right, should be $45 per share@ a 30multiple in 2016! It's way ahead of themselves, and companies spending this much cash to expand always get burned
how to tell where this is going. I'm going to sell the rest of my shares at 41$ and wait for a good entry below 37$
Puts if it goes above 40 and buyer at 33. The quarter wasn't really that good if you look at it.
I agree. Are you planning to buy back below 35? That's what I'm waiting for
Good call. If this quickly moves back to $40 I'm thinking puts this stock is good but not deserving of these multiples. After the report and guidance down it's proving to have gravity.
I'm glad I sold half shares at 39
Sorry man.. I had a feeling this was coming, I hate people who bid it up just to dump it after hours. I'm getting in this finally soon enough
Wow... People really wanna get in for earnings!
In all honesty I feel like the earnings will be awesome.
If this trades at a reasonably high multiple of 30X, they would be projected to be worth a $40 stock towards the end of next year 2015. So I'm not a buyer in the 40s but low 30s is in your favor. This won't trade at 150X earnings for ever
It is odd. I'm not going to lie. I expected this to be trading over 40 bucks already.
There is just a lot of unknowns and the stock is trading weird. Up 5% one day, down 5% the next. Hard to know what to expect
If we get a %5 rise in pps tomorrow, i'll sell half my shares just in case of bad earnings.
Still 81-85% very good number. I just can't decide if I should buy this before the report Wednesday. It could go down 20% like PBPB or shoot up and raise guidance. Institutions don't like to lose money so a good report card may be more likely
85% IO
As Google says
In fact lowered from 98%
I see institutional ownership of 81% right now.. So I'm not sure if there has been some selling by the big boys but it is not in the 90s anymore
94% to 98% institutional ownership! I am going to buy more shares! incredible to see how institution load up shares at low prices.
Institutional ownership up to 94% from 89%. SOON GUYS!!! The share price will start creeping up soon. They were loading for a few months now.
Your saying there is some insider buying at the $33 level? So the owners own 45% of NDLS now instead of 35%?
Huge pops coming! Selling aroung $43!
Not sure why the stock pop, but i'm not complaining. Just remember the institutional ownership for the company went up 35-45% around the 33$-38% mark. I'm sure they wont let this stock fall below that number. I expect a move north slowly from this point. Follow the money. It never let me down.
Might... Institutional ownership went from 45% to 89% in 2 months. I didn't add to my position because of earning. It was because big Money added heavily. Earning wasnt that bad and looks like they are ready for this one pop
Hmm.. I don't think this is last of the selling. I'm waiting for the real quarter results to come out, expecting a small drop, and then step into noodles
Preliminary results showing growth, but not the growth investors were looking for. I can see this testing 30
yeah... looks that way. hopefully it wont fall below $35.5.
Eww, this is not what I was looking for today. NDLS is erasing the recent gains, suggesting it might test under the low of 33.50
Good company, I have eaten there. Like it very much!
Retracing. Hopefully it'll move pass 40.
We will see after today. Not a lot of volume yesterday so I'm not sure. But the upward movement at the close looks promising.
Looks like the bottom might have been hit.
Agreed. Hoping for a great Q4.
I'm not sure where this stock is going and it's hard to buy a stock dropping every day
Avg. down today now 36.12 help -- need run on slippy nooodles= Go NDLS
The next quarter report will be huge for NDLS. If they post same store growth and a high demand for additional franchising, it's back to $45. But if it's weaker then expected demand to expand and weak store sales, this will be a $20 stock. Tough to call. But NDLS seems like a good business plan so I like the risk/reward here.
I average at 38$. Plan on holding for at least 3 years.
NDLS is testing levels below their first day trading price. If anyone bought on the ipo they would now be down on their investment, because it opened at $36. I'm going to get in this one but I'm letting the dust settle.
Why do you say that?
I don't think there will be a secondary offering laid out. But you're right, NDLS for the long haul is still questionable with their stability growth. Currently it is being accumulated by the hedges though. Maybe in the next 2-3 years we'll get a better clear look on how it all plays out. For now, swing trading is the methodology/strategy for this. GLTYA
I've even wanting to get in NDLS for a long time, and I've had my limit order set at 36. Does anyone have any idea where they will price the secondary offering?
Noodles is some great food. It's delicious, quality, perfect price, it's expanding, growing, franchising. But I don't think it'll reach where chipotle is now. Chipotle is a darn cash cow being for many people taking it as a daily, weekly food. It had carbohydrate, proteins, veges, and all the essential every day nutritions in one bowl. Noodles will be a mini chipotle, I feel like they have the same sorta take too.
Who thinks the stock will pop on an earnings beat? (The last CC, the company beat well, but the stock sold off) What are the chances this time!
NDLS slapped PT $43-45
Eat em noodles up~!

In the next 3-5 years, CEO wants to open near 2500 Noodles and Co chain restaurant. Is it possible? Well, he does have over 20 years experience as COO @ Chipotle. If anyone, he's the most qualified for the position to make that happen. GLTYA

Noodles & Company Prices Its Initial Public Offering
“Noodles is an attractive, early stage growth company with strong unit economics and a unique value proposition for consumers, but scarcity has chased valuation beyond where we think fundamentals offer much upside. We see a balanced Risk/Reward and initiate with an EW rating…Early stage fast casual growth company in unique ‘category of one’ (no direct competitors of scale). First fast casual IPO since CMG creates scarcity value. Rapid unit growth. From its current ~350 store base, we see the opportunity to expand to 2,500 units nationally. Unit growth rate of 12-14% over next few years among fastest in retail. Strong unit economics, led by naturally low food costs and modest build out costs, produce 30%+ cash-on-cash returns.,” the firm’s analyst wrote. (July 25, 2013)
