That’s debatable, because I’m pretty sure peeps weren’t buying 270,000 shares after hours. But I could be wrong as usual
I guess some peeps didn’t read Walnut’s quote from the q. And I guess some peeps don’t understand a non binding term sheet. Funny the company NR’s a previously reported item. Their typical pumper style. 20 days until they need $3.30 plus with volume or need to repay debts. Hope they have better than this fluff to achieve that.
Easy to do when all the shares are gobbled up inbetween
We don’t need a $.70 gap to close after the opening bell. Haha
And back down to the closing price dang it
Thanks for posting the link!
I think your FOMO is a GOGO after hours!
I would also note that it appears a company PR has substantially more impact on trading than what gets posted on this board. 😂
Wow after hours volume 261,000 up to $3.24
I don't have a breakdown of the after hours trades but it did spike over $3.00.
Indicative Term Sheet (non binding)

Lotta action post market into 2.70 area then down
He got it from the companies last quarter report
This is an actual PR.
Walt told us that last week yeah? Good to hear progress though

Good Questions Demo! I can't say for sure but it seems like the SPAC'lers found a weasel clause or a loophole whereby they were able to still participate (thru Warrants) without having to pony up that money$$$..... in other words it appears they had their proverbial Cake and Ate it TOO!! not a bad deal.... If you can get it!! .......
And the beat goes on..... and on.... and on......
Yadddda.....
NCT- in reflective mood/mode......
Haha, I agree NorcalTommy, Even Johnnie Cochran would yell to jury members “IF THE SPAC DEAL DON’T FIT YOU MUST CONVICT” LOL
I do have a question from those who have done a SPAC or how a SPAC Deal should have worked out. When Mark and team did the SPAC/Reverse Split deal did, we the shareholders have any rights to see what information was involved before we voted on this??? For example, did we as shareholders have any say before the vote so we could see what we were truly voting for?? Did we have any assurance that GXII would not do a rug pull? Could we have asked management to have certain out clauses for worst case scenarios?? Did we as shareholders know we had to give up 20% of the company for next to nothing in return? If we knew this, I assume 99% would have voted against this… I am asking these questions because I sincerely want to know what rights we have as shareholders. Thanks NorCal and anyone else if you can help with these questions.
Like it or not what is done is done but that doesn’t mean investors will not investigate/explore this further. I will die on the hill and stand behind my comments that if this company was run by a full-time not greedy management team, we would be talking about dividends right now and not begging for corporate Govt welfare to save us….
With so many disgruntled investors and so many parties to be upset with where does one even start??? Is it GXII, BOD,NIOCORP management, the SPAC/RS pumpers??
"Under US law, corporate directors have a fiduciary duty to make decisions in the “best interests” of the company, which is often interpreted as maximizing shareholder return. Directors are often advised that pursuing mission at the expense of shareholder return risks litigation and perhaps even personal liability." Maybe magic Mark may get the chance to use his law degree and show he did act in the shareholders best interest 100% of the time??? Only the shadow knows.

No thanks
But perhaps someone will take up your spam offer.
Most posters are sleeping at this hour, I get to read your post because I am in Pacific time zone.
Sorry about your pains.
Where is MaxZ and Skiluc? The SPAC pom pom carrying cheerleaders leading the SPAC cheers and browbeating investors into realizing that the SPAC was a real good thing.... ya'll were just too dumb to understand the financing complexities...........
BUT remember, sometimes it's skill sometimes it's luck and sometimes it's
just good'ol snake oil, spin and charm........ then the next thing you know badda bing... badda boom.... a goup
of Drexell Alumni/GX SPAC'ler sharks own 20% of your company when the dust settles!! Nobody quite knows how they pulled it off, but they are masters at buying at 11th hour, distressed sales and foreclosure-like financing scenarios, and though unsuccessful (merger) somehow they own much of our company...... say WATTTT!!!!
We can only hope that EXIM will wash away that foul Spacle taste in all of our mouths......
I'll say it again...... why don't our new BOD friends (GX Mgmt. SPAC'ler Gekko get rich and screw the common shareholder crew) who just got granted 20% of our company in a head-spinning, stilll not completely understood (by our management and shareholders) turn of events..... Why don't they show some goodwill and 'skin-in-the-game' by taking a guaranteed/short term, low-interest equity line out on one of their 10 vacation homes across the world (i.e., Vail, Sonoma, VI, Monaco.... yadda....) in order to raise some non-dilutive/short-term desperately needed funding for NB to get the FS out and finish the engineering testing...... comon', aren't we all in this together? or are some in this for a quick buck!!?? Like our long-time legacy shareholders are fond of saying - " You know mines take time..".. and yaddddy yadddddy..... blah blah........
Cups.... handles.... candles.....and tigers and bears.... oh my...............support shla-bort...... blah blah blah..... and the beat goes on and on and on....

Yes, where is Scooter?
I copied and emailed the links from my phone to my pc so I can print them off and compare. It actually involves several documents. Then I walked the dog and did house maintainence. Of course we’re interested if the floor has been dropped. Not sure I’ll get around to it. Where’s Scooter when we need him?
How can a double candle continue?
Wouldn't that make it a triple candle?
Good Idea, 3 White Soldiers Pattern!
Why didn't I think of that!
https://blog.chartprime.com/three-white-soldiers-pattern
And yes that will be on Nasdaq (If)
The only thing the TSX was able to pull off was the Bullish Engulfing Pattern.
Both create confirmation JMO

I'm trying to figure if we rate in the long term scheme of chart things.

But that's a never ending story that just ended.
Talk about unsubstantiated Rhetoric
You either post other peoples Due Diligence, without giving them credit for the original find, or you make dumb statements like this!
I don't need any Luck, as I am as vulnerable as (almost) everyone else to the lack of clarity and the dogma, whether it be corporate forward looking statements or unsubstantiated rhetoric, posted cheerfully, or otherwise!
I just hope the removal of the TSX is for a specific reason, other than what the company stated in the NR, as saving a few dollars in comparison to what they gave away @ shareholders expense.
Merger, Acquisition, Equity/Debt Financing, etc.

Some People will swallow anything, right AlwaysOptimistic?
The NB Quarterly Report was filled on time this time around after firing BDO and I think this is the first one using Deloitte as the accounting firm!
Will be very interesting to get an official update about the process from NB instead of reading only things from the website.
But as Walter wrote with Jims email attached things turning into the right direction.
By end of this year we will know the interested parties by name...
The market capitalisation is far below the half of financing we will get.
A FS is not nessary to run the process of Exim otherwise we would get a notification.
I am looking forward into a run which will not be destroy by Yorkville...
The Federal Register now shows 5 comments received on the RFI on Financing Support for Critical Minerals Projects. Only one is visible. Tomorrow is the posted final day for submissions.
Here it is, I'd appreciate hearing your thoughts.

Seems to me that you would have to dive into the original agreement and look at the deleted items to have a hope in trying understand this.
NB Double Candlestick, will it continue on Monday? Better chance since trading of NB ended on the TSX on Friday!…
The phrase deliberately obtuse did come to mind. Have a good Sunday putz and good luck on Monday.
Yes I read them all. Terminology deleted and replace.
Particular funny to me is the replacement of the term “Share Price”, and replaced with
“Exchange Cap”
This just tells me that they are immediately making things more difficult for the average shareholder to understand what they are doing.
*******
I wonder if anyone would argue that point?
Thanks putz you're probably right. I thought maybe with a price dropping below $2.14 this week that a renegotiation was necessary. Does not seem like that's the case.
Changes were made to the SEPA though, did you click to this link
https://archive.fast-edgar.com/20240503/A8ZZAQ2CZ222KZZ2222K2ZZZCK7NZ3AS7P62/exh10-1.htm
Various sections are deleted and some replaced with other wording but not all of them
I don’t speak legalese either, but what I’m gathering from the link you provided is all the legal terms that were (Before) to be approved by the TSX, will no longer come from the TSX being the guard dog.
Everything that used to be needed to go by the TSX will no longer need to do so.
*********
This tells me that any changes that MAY be made, have to be made by written instrument, approved (only) by both the company and the investor.
It looks like the floor is only breached if the daily VWAP of the Common Shares being less than the Floor Price for any 10 out of 14 consecutive Trading Days
No still not any help from me. EOM
I don't understand the filing so I'm asking for help. Have you read it? Aren't you curious about how the agreement with Yorkville was modified?
I don't see myself as basher but it's fine with me if you do. And I hope you get to sing your na-na-na-na song. As an American I want minerals like these mined here. I'll chime in with congrats to you all if financing happens.
And as I said a few days ago, I did buy some shares for a swing trade hoping that $2.00 is bottom.
I wonder why you want that someone do your DD, without any shares?
I won’t give an answer to a basher.
I think your family bashers will have your answers shortly. Wait and see
Last year's Yorkville agreement was amended per this 8k released after hours on Friday.
https://archive.fast-edgar.com/20240503/A8ZZAQ2CZ222KZZ2222K2ZZZCK7NZ3AS7P62/
I don't speak legalese, any insights anyone? Was the floor removed? Thanks in advance.
Maybe the delisting had to do with Yorkville?
On May 3, 2024, in connection with the delisting of the Common Shares from the Toronto Stock Exchange (the “TSX”), the Company and Yorkville entered into an amendment to the SEPA (the “Amendment”) pursuant to which certain provisions of the SEPA relating to requirements of the TSX were deleted or revised.

NioCorp Developments Ltd. is a U.S.-based mineral development company focused on developing several superalloy metals from the proposed Elk Creek, Nebraska Critical Minerals Mine. NioCorp plans to produce three commercial mineral products — Niobium, Scandium, and Titanium — from a single ore body in the Midwestern United States. NioCorp's Elk Creek Project is highly unique. It is North America's only niobium / scandium / titanium project. It is the highest grade niobium project in North America. It is one of the largest prospective producers of scandium in the world. Once in production, it will initiate the first production in the U.S. in decades of Niobium and Scandium. All three of the Project's proposed superalloy metals have been designed as "Critical Minerals" by the U.S. Government.
NioCorp is a publicly company that is listed on both the Toronto Stock Exchange under the ticker symbol "NB" and on the U.S.-based OTCQX exchange under the symbol "NIOBF." Shares are also traded on the Frankfurt Exchange, under the ticker symbol "BR3."

Overview of the Elk Creek Project: http://www.niocorp.com/elk-creek-project/
U.S. Geological Society description of Elk Creek Carbonatite
"The Elk Creek carbonatite, located south of Lincoln, has the potential to be one of the largest global resources of niobium and rare-earth elements (REE). These REE's have many important applications in industry, including petroleum-cracking catalysis, steel alloying, and glass polishing, and as sources of permanent magnets and phosphorus for television and lighting.
The Elk Creek carbonatite is buried beneath about 500 feet of overlying rock and is known only from drill cores, which, until recently, have remained proprietary. Scientists from the USGS and the Conservation and Survey Division (CSD) of the Institute of Agriculture and Natural Resources at the University of Nebraska--Lincoln have studied drill cores."

About NioCorp
NioCorp is developing a superalloy materials project in Southeast Nebraska that will produce niobium, scandium, and titanium. Niobium is used to produce superalloys as well as High Strength, Low Alloy ("HSLA") steel, which is a lighter, stronger steel used in automotive, structural, and pipeline applications. Scandium can be combined with Aluminum to make super-high-performance alloys with increased strength and improved corrosion resistance. Scandium also is a critical component of advanced solid oxide fuel cells. Titanium is used in various superalloys and has extensive uses in aerospace, defense, transportation, medical, and other applications. It also is a key component of pigments used in paper, paint and plastics.
