The shelf will go out to the market as well not just Big institutional investors.
Volume at a high SP is needed for the shelf to be a success. JMO
I’m sure there is a financial institution that would be handling that, when that reality occurs.
If niocorp is able to pay $8mil to Yorkville with shares (and I don't think they want this), then the company will have received a little less than $7mil in exchange for over 3.5 million shares with the warrants included.
Mark has been trying to use the shelf offering for close to 3 years now with only one tiny nibble to show for it. That is why the above happened.
I am thinking about starting a 'Go Fund Me' Page for Niocorp...... I just found a bunch of change in the couch cushions that i can donate..... perhaps if everyone shakes their couch cushions real hard (and don't forget to check under your car seats too) then sends a few bucks to NioVille Accounts Recievable Department- then maybe, just maybe we can help pay these bloated management salaries and get the FS funded..... comon' people.... do your part... our NB team is working around the clock and busting their asses daily (don't laugh.... hehehe)........ ok, agreed, there ain't much to show for it YET, and we have reset the clock many times over the last 5 years with many false alarms on imminent financing......... but they (NB fearless leaders) deserve our undying loyalty..... hey, the GX Drexel Burnham BOD sharks are checking in every other month like clockwork- to see how things are going in Centennial, and while they no doubt feel badly about how the GX SPAC debacle turned out, they are still not willing to help out on any company loans to help the fledgling NB company coffers (the NB SP is less than a McDonlad's cheeseburger* with their tight financial situation)....... all they (GX SPAC'ler crew who got 20% of our company for nothing) would have to do is ETF/wire $20M from their yacht in Monaco or the den of one of their vacation homes (during a CNBC commercial).....
Comon' SPAC'ler sharks!!! help your company out...... it'LL pay off...... maybe not as well as the failed SPAC or the Global Crossing liquidation sale in the early 2000's, but you will receive a few multiples of your investment....... Gordon Gekko is watching... and Buddy is on the beach watching the sun rise while short selling Blue Star Airlines....... Do the right thing to show your allegiance!!
NCT
Maybe not, But what I do know, since the Shelf belongs to me as a shareholder, is that I would rather use it all up @ $40.00 rather than 20% of it @ $2.38 to pay the monthly bills.
Do we even have a Shelf any more? Or did it Disappear with the TSX?
That is a perfect example that you have zero understanding of what a shelf financing is.
Because they already used the Shelf once already @ a higher price.
Don't want to look desperate! 💪👌
Take the hit @ a lower price and empty the shelf, when the SP is higher/ more favorable?
Do you know what a shelf is? Why would they not use it instead of doing a butt reaming deal that would result in a ton of dilution. A million plus in fees. 600,000 plus $3.25 warrants. A shelf needs a buyer. There are no buyers except for the Walnut cult posting bids. This is going to get very ugly and very soon. However ugly it is now it’s nothing compared to what’s coming. Walnuts f’d a bunch of bozo’s.
Unless I’m on holidays, and then I tell the Bank to go F themselves lol
When the rent is due on the 1st of the month you date it the 1st. No?
My apologies for mixing up who posted what.
Anyways, since we are talking about the most recent private placement and dates and holidays and all that good stuff trying to figure out when shit has to happen, why is it that August 1 is an exception to the rule in pay dates? It’s not a trading holiday.
Is it because it’s in the middle of summer and everybody’s going to be spending our money on holidays?
***************
Yeah just rub it in Mark Smith and you focking clowns who are running the show.
My guess, and that's all it is...probably unlikely they would ever fully halt the exports unless we were at war, but that doesn't mean there won't be some other tit-for-tat as a result of the increased tariffs. I don't think they can be trusted one way or the other. The Western world is making concerted and coordinated efforts to find non-China sources and enforce ESG requirements. China will likely lose dominance as these new global sources and refining capabilities come online, which can't help their own economic issues, but can the West produce enough on its own to fill the coming demand? Who knows?!
So whatever happens needs to happen between now and the Thursday before the long weekend.
Unless, because June 1 is a Saturday they could move to a mutually agreed-upon date, As you stated in your posts quote.
I think someone else offered that information. I’m sure it wasn’t me. These predictions about dates, volume, and share price are above my pay grade.
Curious if NioCorp plans on using the shelf registration to satisfy these conditions.
Are we missing the boat :

Hopefully, Stellantis will do for NioCorp what GM has done for MP Materials.

"MP Materials’ new fully-integrated rare earth manufacturing factory in north Fort Worth is quickly approaching completion. A first-of-its kind U.S. facility with an ambitious goal of restoring the domestic rare earth magnetics supply chain, MP Materials has partnered with General Motors to produce the vital NdFeB magnets that serve as critical components for GM’s electric vehicle line."

Must meet the conditions each of the five days
As mentioned above, the Company is required to make payments on each Payment Date until the entire outstanding principal is repaid, but will not have an obligation to make a payment on a Payment Date if the Equity Conditions are satisfied. The “Equity Conditions” means (i) on each of the five consecutive trading days prior a Payment Date (the “Measuring Period”) the Underlying Shares Registration Statement (as defined below) is effective and available for the resale by the Purchasers of all Underlying Shares, (ii) the Company has no knowledge of any fact that would cause the Underlying Shares Registration Statement not to be effective and available for the resale of the Underlying Shares, (iii) on each day during the Measuring Period, the Common Shares are designated for quotation on Nasdaq, or on such other market or exchange on which the Common Shares are then listed or traded to the extent such other market or exchange is the principal U.S. trading market for the Common Shares (the “Principal U.S. Market”), and have not been suspended from trading nor have delisting or suspension of trading been threatened or pending, (iv) during the Measuring Period, an event of default has not occurred, (v) on each trading day during the Measuring Period, the daily U.S. dollar volume-weighted average price (“VWAP”) for a Common Share on the Principal U.S. Market as reported by Bloomberg Financial Markets is greater than 120% of the Conversion Price, (vi) on each trading day during the Measuring Period the average daily volume traded exceeded US$500,000, and (vii) there is no limitation on conversion under the terms of Notes. In addition, any Payment Date and the amount payable to the holder of a Note on any such Payment Date may be modified from time to time upon mutual written consent of the Company and such holder.
Interesting that they would wager to reach those 2 thresholds without a pre arranged plan to get there. Should be an exciting week ahead.
If stark is right 24 May which is a Friday as Monday is a holiday in USA.
https://www.niocorp.com/niocorp-announces-closing-of-financing-agreement/
Do we need both an average share price of $3.30 and an average volume equalling $500,000? If that’s the case then we could do it in four days or three days as long as the five day average equals those numbers.
JMO , But I don’t have time to read the news release again.
Shrug
By what date do they have to raise the share price to $3.30 with a volume of 500K/day?
3 months ago our 52 week high was 2 times higher than our current 52 week high is now. And four times higher than our current share price.
Thank you Mark Smith
Thank you GXII SPAC
Thank you institutional buyers
Thank you NASDAQ piece of shit
Who is going to remedy our situation?
Will China halt exports of Rare Earths to the US????
Shareholders got flushed down the toilet no matter how this turns out. Some have moved on and some have watched their p&l go into the abyss. They have zero funding but give raises out. Honest companies do not do that. They also do not hand out multi-million dollar deals to hyenas.
Roller Coaster? More like falling off a cliff.
Hopefully, Stellantis will do for NioCorp what GM has done for MP Materials.

FACT SHEET: President Biden Takes Action to Protect American Workers and Businesses from China’s Unfair Trade Practices

Well said DM. Management continues to take salary increases and bonuses, yet makes excuses for lack of funds to complete a current FS. If Management TRULY believed in this Project, they would do WHATEVER IT TAKES, including a PAY CUT to raise the funds to get a current FS completed. But instead, we get smoke-and-mirrors, lies, excuses....
I doubt the minerals/elements in the ground at Elk Creek, are to the level previously claimed...and that is the primary reason there is NO SERIOUS PASSION to get an updated FS.....
Management is milking every dime from investors....
NB will be near zero by this time next year
Thanks for all your answers on your own questions.
I still believe in this massive project! SP?it’s like a rollercoaster, but the ore is still the same…we only need some leaders who want to stand up to get this done…. I’ll wait and see…
They must be confident on domestic supplies coming on board otherwise don't see the logic in raising tariffs "25% on certain critical minerals, up from zero".
Should have an impact, Mr Market reaction later......
Here come the boot lickers defending trash team Niocorp no matter what F up they caused. It is beyond pathetic man; Marky could kill someone right in front of you and you would immediately say it’s not mark’s fault. Remember the 2015 article?? We were supposed to be up and running in 2016??? Wait, I bet it was Obama’s fault? Or maybe it was pre-covid fault 3 years early? Maybe it was Trumps fault?? Maybe it was Hillary Clintons email servers fualt?? Silver lining, mark might fly 10,000+ miles to Belgium...again to get his ego stroked?? That would be what 3 Belgium trips in 6-8 months??? Can you ask #teamNB why they don’t visit Elk Creek?? You know the place where our mine is located?? Oh, silly me It must be cheaper to fly 10,000+ miles then drive 545 miles to Elk Creek, NE?? Hmmm, I wonder why NioCorp has such a high burn rate?? We should vote and give team NB even bigger pay raises so they feel better about themselves and work 40 hours in a single week?? Damn, I love trading at .23 a share just like we all hoped...we did make it on Nasdaq so that’s awesome!!! Thank you GXII for not using lube before you F us... It was not right for GXII to take advantage of mark and jims Intellectual disabilities. I wish mark or NioCorp had a law background so they could understand the contract/partnership mark signed?? Oh wait, Mark is a lawyer?? Wow! I learn something new every day about this All-Star team.

Stellantis might be puck shy about investing in juniors that have long noses. Learning the hard way. Look at LIT on the TSX-v.
Thanks for sharing LA34
We are trading at $2.35 - $2.42 (.235 -.242 for the majority of us from the 1 for 10 split 😭) with less thank 15k shares traded so far. Looks like the boys in Centennial are going to need to cough up some $$$. Pisses me off how they are always falling short on their projections. Management’s constant failure to execute is why we are trading at decade lows.
It fair to say that Mark constantly misses the target. Mark never fails to disappoint.
I think that for some reason the Stellantis deal is taking much longer than anticipated.
In September Mark stated that it would be closed by November. Then they did the weirdly small 1 million private placement at the end of December, seems like they thought they were close at that point.
This has to be good news for Nb, just not sure why it isn't being covered more

I forgot that memorial day is the 27th. The first day with the $3.30 vwap and $500k in trades requirement is Friday the 24th. 8 trading days after today.
Whatever happens has to maintain momentum over a long holiday weekend.
The big question we need to be asking Jim.
Why are we having trouble raising money to complete the feasibility study now?!?! We are more de-risked than ever, trading on NASDAQ, and have a stellar 🙄 management team.
We know nothing until it happens only the atl in the chart mixed with one seller...
This is once again the typical throwing of flash rockets. What do you know about junior mining companies? We were told many years ago that funding was imminent and here we are with a SP at 10 Year low.
That’s also not a very smart question, what do you know about junior mining companies?
Where did you get the idea that BDO was involved with preparing the last FS? I see them nowhere. I don’t think CPA firms are involved in mining FS preparation.
I agree that this will be a dramatically different feasibility study, and that's great because it needs to be.
Reading emails from Jim that have been posted here it's pretty clear that lack of money is holding things up. Remember when he said as soon as possible in 2023 for the new feasibility study?
That's not a very smart question. If the project was so economical, why didn't we get funding in the past?
Why should the project be uneconomical now when it was already very economical in the first FS?
I think it's time to say the unpleasant things as well. It is also possible that the feasibility study will come to the conclusion that the project is simply not economical and will therefore be withheld from us. We've been waiting for this for far too long. Initially it was said that the update would only take a few weeks. Until at some point the statement came that the update would cost millions. That's no longer credible. You would just have had to forego the exorbitant salary increases to finance it. I know that I'm calling out the management fans again who are now telling us that that's not the case and that other CEOs earn a lot more and so on and so forth instead of dealing with my core message, the usual distraction from the topic ...
The process flow is a complete redesign. The economic calculations are different including market analysis, costs, inflation adjustments. Big change is everything dealing with REE. Not a simple update. If they go with rail that requires a redesign of the mine shaft (I think).
Previously we were told the scandium-aluminum alloy facility would not be part of the feasibility study. But we’ve been told a lot of things in the past.
We really need to give credit to Dean Kehler, Mikey Maselli and Jay Bloom of GXII. We should be thankful that Dumb (Mark) and Dumber (Jim) added two of the GX team to the BOD. If it weren’t for the GX goons, we wouldn’t be where we are today!!! Let’s all give thanks to their expertise in mining and financial services.
Mark and Jim have really hit it out of the park with their new presentation!!! I love the rebranding of Niocorp. Prestige Worldwide has much broader appeal.

NioCorp Developments Ltd. is a U.S.-based mineral development company focused on developing several superalloy metals from the proposed Elk Creek, Nebraska Critical Minerals Mine. NioCorp plans to produce three commercial mineral products — Niobium, Scandium, and Titanium — from a single ore body in the Midwestern United States. NioCorp's Elk Creek Project is highly unique. It is North America's only niobium / scandium / titanium project. It is the highest grade niobium project in North America. It is one of the largest prospective producers of scandium in the world. Once in production, it will initiate the first production in the U.S. in decades of Niobium and Scandium. All three of the Project's proposed superalloy metals have been designed as "Critical Minerals" by the U.S. Government.
NioCorp is a publicly company that is listed on both the Toronto Stock Exchange under the ticker symbol "NB" and on the U.S.-based OTCQX exchange under the symbol "NIOBF." Shares are also traded on the Frankfurt Exchange, under the ticker symbol "BR3."

Overview of the Elk Creek Project: http://www.niocorp.com/elk-creek-project/
U.S. Geological Society description of Elk Creek Carbonatite
"The Elk Creek carbonatite, located south of Lincoln, has the potential to be one of the largest global resources of niobium and rare-earth elements (REE). These REE's have many important applications in industry, including petroleum-cracking catalysis, steel alloying, and glass polishing, and as sources of permanent magnets and phosphorus for television and lighting.
The Elk Creek carbonatite is buried beneath about 500 feet of overlying rock and is known only from drill cores, which, until recently, have remained proprietary. Scientists from the USGS and the Conservation and Survey Division (CSD) of the Institute of Agriculture and Natural Resources at the University of Nebraska--Lincoln have studied drill cores."

About NioCorp
NioCorp is developing a superalloy materials project in Southeast Nebraska that will produce niobium, scandium, and titanium. Niobium is used to produce superalloys as well as High Strength, Low Alloy ("HSLA") steel, which is a lighter, stronger steel used in automotive, structural, and pipeline applications. Scandium can be combined with Aluminum to make super-high-performance alloys with increased strength and improved corrosion resistance. Scandium also is a critical component of advanced solid oxide fuel cells. Titanium is used in various superalloys and has extensive uses in aerospace, defense, transportation, medical, and other applications. It also is a key component of pigments used in paper, paint and plastics.
