i like this from yahoo - Nextwave Wireless' EBITDA Turns Positive for its Fourth Quarter
04/20/2010
New York, NY, April 20, 2010-Ebitda News reports that EBITDA for Nextwave Wireless, Inc. (NASDAQ:WAVE) for its fourth quarter ended December 31, 2009 was a positive $23,581,000, compared with a negative EBITDA of $(926,000) for the comparable year earlier quarter. Prior to this positive quarter Nextwave Wireless had generated fifteen consecutive quarters of negative EBITDA. EBITDA for the most recent quarter also reached a three year high.
For Nextwave Wireless' twelve months ended December 31, 2009 EBITDA was $(32,828,000), compared with $(164,323,000), a 80% improvement over the comparable year earlier twelve months. EBITDA for the most recent twelve months also reached a three year high.
The shares of Nextwave Wireless were recently trading at $0.47.
EBITDA defined by Ebitda News:
EBITDA is an acronym for (Earnings Before Interest Taxes Depreciation & Amortization) and it is calculated by taking Operating Income and adding or subtracting depreciation and/or amortization.
EBITDA is a relatively new performance metric that came into vogue during the 1980s.
The reason why is because corporations in the 1980s significantly increased the use of debt to finance their operations and acquisitions. Many investors and analysts believe that the increased interest expense as a percentage of total income due to the significant increase in debt masks the performance of an operating business and thus reduces the valuation of that business when traditional valuation metrics such as after tax income are utilized. EBITDA was created so that investors and analysts would be able to understand a company’s cash earnings power before non-cash items such as depreciation and amortization and interest and taxes were expensed. EBITDA has also become an increasingly popular performance measure for global investors and analysts because many countries have varying corporate tax rates. The simple theory behind EBITDA is that it is the actual profit that a business or corporation would generate if it were to be sold to an all cash buyer.
Ebitda News is currently the only "EBITDA" news source for over 8,000 public companies for monitoring and reporting on EBITDA. It currently publishes over 30,000 stories per year related to EBITDA and is the leading global source for EBITDA related news. Number of Smartphones Worldwide Exceeded 180 Million Units in 2009
CONNECTIONSTM Europe to Discuss New Roles for Mobile Application Integrators, Solution Enablers, and Payment Technology Providers
DALLAS, TX--(Marketwire - April 13, 2010) - New research from Parks Associates, host of the upcoming executive summit CONNECTIONS™ Europe, indicates that the number of smartphones shipped in 2009 topped 180 million units worldwide, with Nokia, Research in Motion, and Apple sharing 60% of the market. Annual sales will reach almost 400 million by 2014, and as the number of users approaches one billion, consumer demand will grow for mobile broadband services that can share content, particularly high-quality video, across connected devices and the home network.
CONNECTIONS™ Europe, April 27 at the Mövenpick Hotel in Amsterdam, will feature consumer research and analysis on these new service opportunities in the mobile sector in the session "Mobile Video: The Cloud, The App Store & the Connected Home."
"Applications will have to diversify with the growing population of users, creating huge opportunities for mobile application integrators, solution enablers, and payment technology providers," said Kurt Scherf, session moderator and VP, principal analyst, Parks Associates.
Session speakers:
Klaus Milczewsky, Senior Manager, Deutsche Telekom AG
Peter Percosan, CTO, Cable Europe Labs
Andy Tiller, Marketing Vice Chair, Femto Forum
In a recent Parks Associates survey on mobile convergence, over one-third of U.S. smartphone users expressed an interest in streaming multimedia content stored on home CE to their mobile device. Service providers will have to adapt their mobile and video strategies to meet the demands of multiple platforms, and the panelists will discuss these challenges, plus the impact of new devices such as the iPad and the HP Slate.
CONNECTIONS™ Europe Advisory Sponsors are Accedo Broadband, ActiveVideo Networks, Advanced Digital Broadcast (ADB), Intamac, Latens, and PacketVideo. Companies in the Premier Program include ActiveVideo Networks, PacketVideo, RedMere, and Rovi. CONNECTIONS™ U.S. Sponsors also include Allegro, Cisco, IBM, Intel, iTOK, and Roxio.

AIG and others have been succesful. Hopefully this gets approved.
There still is tonnes of time.
Dilution then R/S, come on Eco you know this man. companys love to milk there stock by dumping millions of shares then screw everyone over with a bloody R/S.
You are right there will most likely be a selloff..
They are trying to get closer to $4.00 . Over $4.00 and it becomes marginal . But it may not make it because this could lose %50 of its value on pending reverse news. Thats why you see the one for every seven reverse. If they split at .25 cents where would a 1 for 3 get them?? Not over $1.00....
either dilution first, then reverse or reverse then dilution? Which way would be better? the chicken or the egg.......
Thats what they want you to do..they want you to sell and get back all the stock. THe RS is actually not even official and there is no reason to panic.
WAVE has billions in Spectrum, and will only get stronger from here as Spectrum value is rising daily and Packet Video is growing worldwide.
Further, the stock will be easily supported now with only 18M s/o if the split goes through. From now until May alot can happen which could ultimately cancel the split as well. It is going to be tough to get the split through seeing that this is 52% owned by institutions anyways. I would be voting YES if it comes down to it because WAVE with 17M s/o is a lot stronger than WAVE with 150M S/O.
Could be some great buying opportunity..
SP
They did not need to do a 7-1 to meet the 1.00 requirement, 3-1 would have been more than sufficient. That coupled with the fact that revenues dropped 12%, and operating expenses increased makes this a no brainer.
the history with these types of stocks is that they will do a rs and the price will fall again unless they do a rs that brings the price to 2 or 3 dollars which screws the current holders as the price will never go high enough to get the gains everyone was hoping for at this current price. I will make my money elsewhere. I know this was a gamble and as long as I can get out before it hits .38 I will be fine.
It's what they had to do to stay on the NAS and it does make the share structure much better
There's some good in this too
I'm out first think Monday morning. A reverse split, unbelievable!

Press Release Source: NextWave Wireless Inc. On Wednesday March 17, 2010, 8:00 pm EDT
SAN DIEGO--(BUSINESS WIRE)--NextWave Wireless Inc. (NASDAQ: WAVE - News) today announced that it has entered into an Amendment and Limited Waiver (the “Amendment”) to its first, second and third lien note agreements. The Amendment received unanimous note holder approval.
The Amendment extends the maturity date of the Company’s senior secured first lien notes (“first lien notes”) to July 17, 2011, with an additional extension to October 17, 2011 if certain conditions are met, including the pendency of asset sales sufficient to repay all outstanding first lien notes. The Amendment also extends the maturity date of the Company’s senior-subordinated secured second lien notes (“second lien notes”) to November 30, 2011. The maturity date of the Company’s third lien subordinated secured convertible notes (“third lien notes”) remains at December 31, 2011.
In connection with the Amendment, affiliates of certain existing first lien lenders have also committed to provide up to $25 million in new financing through the issuance of additional first lien notes with the same interest rate, maturity, security and additional terms as the existing first lien notes (the “incremental facility”). Funding under the incremental facility remains subject to customary conditions including the accuracy of representations made by NextWave.
After the redemption of approximately 30% of the first lien notes, and the repayment of any borrowings under the new $25 million incremental facility, the Amendment permits the Company to retain up to $37.5 million from the proceeds of future assets sales to fund operations (the “proceeds retention basket”). Under the terms of the Amendment, the proceeds retention basket will be reduced by any amounts borrowed under the incremental facility, providing the Company access to a maximum aggregate of $37.5 million of capital under the combination of the incremental facility and the proceeds retention basket.
To preserve the Company’s cash resources, the Amendment eliminates the requirement of cash pay interest, and allows the Company the option to make future interest payments in-kind through the issuance of additional notes. Under the Amendment, the interest payable on the first and second lien notes has been increased to a rate of 15% per annum. Additionally, interest is now payable on the third lien notes at a rate of 12% per annum initially, increasing 1% per annum on each of December 31, 2010, March 30, 2011, June 30, 2011 and September 30, 2011 to a maximum of 16%. In connection with the Amendment, note holders will be paid a 2.5% fee, payable by the issuance of an aggregate of approximately $21.4 million of new notes.
“We believe this strategic step is another indicator of the confidence our note holders have in NextWave’s business opportunities, the value of our global wireless spectrum portfolio and the operations of our PacketVideo subsidiary, the global leader in multimedia software for mobile devices,” said James Brailean, President and CEO.
The Company was advised by Moelis & Company in connection with the debt maturity extension. Moelis & Company will continue to assist the Company in evaluating strategic alternatives.

Do you know when the earning is?
Patience is always a virtue.
The company seems to doing well lately-hopefully the price will catch up sooner rather than later.
It reiterates that the Financiers believe in NextWave, and that if the funds can not be repaid, they would accept common shares of Nextwave at the price of $11.05 per.
Big difference accepting at $11 dollars per share and not $0.11 per share.
what does this do to the current share price?
$11.05 per share offered to debt holders if they would like to convert to common shares of NextWave (WAVE).
Yes, eleven dollars and five cents.
Per Share.
re-post for noob's
very good analyzation augustafriends.
thanks for that, I am 200% with you.
WAVE traded very well 2day
Volume for the week was the largest since Oct 2009 link back
ide say we might have some conviction here folks. pretty lookin consolidation. in @ .50 closing in the upper 50's would bode well for next week
so what are you saying in regards to where we are headed. the last 2 days (since we hit .60) has been down.
You misread the PR. AT&T is using Packet Video.
Sprint, Verizon and others will join also IMHO.
Telus and Rogers in Canada have already locked in.
Remember the offer to the debt holders of $11.05 per share.
That was done for a reason.
Anything under a dollar for WAVE is a buy and hold unless your a daytrader.
:)
Hey guys how u all been??? Sold out of this last year and kept this on my watchlist for another monster run. looks pretty good technically making higher highs w impressive volume on up days. holding trendline. Ule b aight @ that price imo. im gonna do lil buyin headin into earnings on 3/31. put a limit order in @ .42
You were so smart to dump this and buy again cheaper. I guess this is not a long term stock, but a day trading stock as that seems to be the pattern. I think we fall back again and I will stick with my sell at .38. I was thinking this was going to be a good long term stock seeing a dollar, especially after yesterdays pr. AT&T does not mention anywhere on their pr's that they are dealing with or puchasing anything from WAVE/PACKETVIDEO. That's not a good sign.
“AT&T has built a robust, best-in-class, new mobile music experience for very affordable but powerful phones,” said Ted Woodbery, vice president of Wireless Data, Voice and Ancillary Products for AT&T Mobility and Consumer Markets. “In collaboration with PacketVideo, we were able to bring to life our vision for the kind of seamless integrated mobile music features that we feel will really resonate with our customers.”

Below is the actual quote from the AT&T website. It does NOT mention Packetvideo. Please show me the statement from AT&T that states otherwise.
"The new AT&T Music experience is available today on the LG Xenon, Samsung Solstice and Samsung Impression. AT&T plans to make the service available as a download on additional handsets soon and will begin preloading the service on devices beginning this summer."
AT&T Re-Imagines Its Music Services
Today AT&T announced a brand new music application for its handsets. The AT&T Music application combines a number of different apps that typically appear on AT&T handsets into one, multi-faceted application. It lets users listen to 40 commercial-free genre radio stations; customize unlimited personal radio stations; use song match to identify the tune by holding their phone up to music playing on the radio, TV or elsewhere; search for lyrics to identify song title and artist; preview, buy and download songs and albums straight to their phone; and listen to personal music saved on their mobile device, including the ability to create and manage playlists and find music by artist, album, song or genre. The new AT&T Music experience, which was developed by PacketVideo, is available today on the LG Xenon, Samsung Solstice and Samsung Impression. AT&T plans to make the service available as a download on additional handsets soon and will begin preloading the service on devices beginning this summer. The service costs $7 per month to those with unlimited data plans. That doesn't include music downloads, which will be billed a la carte.
