(NESS.PK) announced that effective 7 January 2008 a group of North Texas investors have obtained, via purchase and through a Stock Rights Agreement, greater than 52% of the issued shares of NESS. In the board meeting regarding the Stock Rights Agreement, which was approved and executed by the Director and President Mr. Sha Stephens, the board also voted to appoint Mr. Alan D. Stricklin as director and President. Upon this vote Mr. Stephens tendered his resignation as Director and President effective immediately.
An additional signatory to the Stock Rights Agreement was Mrs. Mary Gene Stephens, the widow of Mr. Hayseed Stephens. All the shares of Mr. Sha Stephens and those of Mrs. Mary Gene Stephens, as well as other members of the Stephens family, were involved in this transaction. Terms were not disclosed.

Christian Oil Prospecting in Israel

The latest issue of Mother Jones has an interesting article (subscription only) on attempts by American Christians to find oil in Israel. The author, Mariah Blake, concentrates mainly on Ness Energy, a shell company devised by Hayseed Stephens in 1997:
In late 2002 he told Prophecy Club listeners that "experts from Israel and around the world" had studied his planned drilling site and concluded that "18 to 50 billion barrels of oil" were hidden beneath the surface, reserves worth up to a trillion dollars. "You cannot find such good odds in Vegas, Atlantic City, or anywhere else in the world, even if you are nothing but a gambler."
However, investors discovered that shares could not be re-sold; they watched them rise in value, then fall dramatically. Ness has acquired $10 million, despite not actually digging anywhere. Blake notes that several Ness insiders also have links with a company called Safescript Pharmacies, which had its license revoked by the SEC allegedly "for artificially inflating its stock value through a fraudulent accounting scheme": the head of Safescript was Stanley Swanson, who was also founding CEO of Ness, while a Safescript consultant was Ivan Webb. Webb was Ness's financial officer and was also involved with a firm called Broadband Wireless that had allegedly cheated investors. Ness, according to the article, purchased $1 million dollars of shares from Safescript which became worthless soon after.
Blake also travelled to Jerusalem to look through Israel's oil register; she says that she discovered that Stephens controlled a second private company, named Hesed, which would receive any profits from drilling undertaken by Ness - leaving Ness investors with nothing. In 2003, Hesed and another firm owned by Stephens were sold to Ness, according to Blake at inflated prices. Stephens died a month later.
Ness, though, is still going, and for a month a businessman named Anthony Allenby was appointed CEO - leading to a raise in stock prices and payouts to executives, but no actual oil. Blake describes Allenby as "British"; he is actually South African, although based in the UK. In the last few months (this isn't in Blake's piece) Allenby has established Allenby-Ness Oil, much to the displeasure of Stephens' son, who has fired off transatlantic legal threats on behalf of Ness Energy to Allenby in Uckfield in East Sussex, where he is associated with an obscure "Churchill and Associates Limited".
Blake's article also draws attention to some other figures who have promised oil bonanzas for Christians but then failed to deliver: Andy Sorelle, who was puffed by Pat Robertson on the 700 Club in the 1980s; Bernard Coffindaffer, "who searched for oil using scriptural clues and a vial of his own blood"; and Covenant Energy, which ended in fraud convictions.
There is also a profile of Zion Oil, whose banner appears often at the head of the WorldNetDaily homepage. I've been following Zion Oil (see here, scroll down to "Oil Prospecting") ever since Hal Lindsey encouraged his readers on WND to buy shares, without disclosing that his cousin Ralph DeVore was a member of the board or that he himself had received a gift of shares worth $337,500 (DeVore's shares are worth $4.9 million; the significance of DeVore was first noticed by me. Blake's article avoids going into DeVore's spat Zion CEO John Brown, which I blogged here). Blake observes that
Unlike Ness, Zion is a legitimate wildcatting venture, with respected geologist on its board of directors.
However:
Zion was never close to striking oil; at its very first stockholders' meeting in June, the firm announced plans to temporarily abandon its only well due to technical problems.
I wrote a piece for Talk to Action about this meeting at the time, where I also explored the religious thinking and strange Biblical exegesis that inspired Zion Oil's founder.

Dear Stockholders and Friends,
An article by a Europe based journalist is likely about to be published in a relatively obscure magazine. It is to cover the "Christian Oil Business", and is likely to be highly critical of both Ness Energy and several other companies who have publically linked their Christian faith and beliefs to their oil exploration and production operations in both USA and Israel.
I refused an interview with the Journalist as I am still formulating the rescue plan. Based on correspondence from the journalist we believe she has misunderstood some of the information given to her by third parties, and jumped to false conclusions, and these errors will likely appear in her article. In particular she may target Gary Houghton, the newly appointed General Manager, who is a man of integrity and operates with a "wise as serpent and innocent as dove" approach to business, and with whom I have an excellent working relationship. I stand by and support this man 100%.
Simply put she is likely to be throwing a lot of mud, and some of it will stick in the minds of our stockholders, professional advisors, and creditors, govt officials etc etc. I see this as part of the Lord's work to "purify" this Company, and perhaps even the whole "Christian oil business" in preparation for what He is about to do. In fact, this is the answer to our prayers for the Company, please see my post under the Prayer Prophetic thread. This "purification" is never very pleasant to go through, but we must see it as a scourging from the Lord.
Now, in itself this is a very minor issue, but I believe there is a strong possibility that the enemy is going to use this small spark to start a major fire. Much of the media is controlled by the enemy, and is used for his purposes. Given the major impact Ness Energy and probabally other Christian companies will be making over the coming months and years we should expect the "big guns" to be aimed at us. Thus whether it be the National Enquirer or CBS News or whoever, the story could well become an issue the editors of the national media will want to cover. And of course if one picks it up they all pick it up, and it turns into a "feeding-frenzy".
With the recent change over of CEO, and the problems inherited from the previous administration, one could argue this is the worst possible time for Ness Energy to be scrutinised, criticised and mocked under the public spotlight. But on the other hand, one can see it is gathering the enemy around us, so that in the Lord's time and plan, we shall see the destruction of our enemies before our very eyes.
This is a table which the Lord is preparing for Ness, in the presence of our enemies. To those who remain faithful, I tell you, we shall eat of it and be satisfied.

Lotta shares getting dumped today. Its been forever since the last update from Sha or Allenby. I heard the audio of the Nov 12 meeting but it was kinda fuzzy and unclear what was being done with the company. It would be nice if someone could clarify this.

I am breaking my promise ,that I would not post anymore for you , I was the most devoted NESS share holder, been with NESS for 9 years, even had my poster name to Paulness , Hayseed had the vision , Sha doesn't, he sold everything and NESS has nothing now , you cannot force GOD in doing what you want , GOD has his own plan , happily He showed me the writing on the wall for this company , and it said move on , I was sick about it but I did , found a few good Biotechnology stocks and put it in them PVCT Provectus can cure cancers tumor and such very sweet way of doing it read about the company, and also CYGX Cytogenix can make synthetic DNA for vaccines that won't make you sick very nice next generation technologies that are cutting edge technology , that have Billion dollar potentials . Also today look at NESS sells today over 700 thousand shares sold you have the opportunity to get out and invest in somthing that has a future . Good luck .

I sold out, the new CEO was our best chance in making it, he is gone, and so am I ,this was my first stock and I learned a lot over the years on what to look for ,I hope the people of God get the same wisdom as I did . Anthony Allenby is not the bad guy in this case ,he just found out the truth, when he was trying to get the paper work in order , and the financials were just to far gone to do anything . If this was looked into by the SEC , people would have to answer for this total mismanagement .

OKT Resources, LLC, a privately owned oil and gas company located in Edmond, Oklahoma has purchased Ness of Israel, Inc. and all of its assets from Ness Energy International, Inc. One of the managing partners of OKT is David M. Boyce, who was a friend of the late Hayseed Stephens and former consultant for Ness Energy International, Inc. Mr. Boyce met Mr. Stephens in 1990 and assisted him periodically with the Dead Sea Project through 1998. Mr. Boyce spent the majority of four years in Ness’s office from 1999 through early 2003 and made several trips to Israel with Mr. Stephens. The purchase includes any stock that may remain in Modi’in, a publically traded Israeli company along with all files and data concerning the work in Israel collected by Mr. Stephens and Ness Energy through the many years of work there.
When the agreement is finalized there will be a transfer of a few more files along with the Ness Energy website. OKT will give updates and information as the plans develop in carrying forward the goal of discovering commercial quantities of oil and gas in the Dead Sea Area.
On 02/10/2009, the United States Bankruptcy Court granted a Motion to Dismiss the Chapter 7 Bankruptcy for Ness Energy International, Inc. The company is no longer in bankruptcy.
Negotiations are on-going for control of the company to be transferred to the largest creditor. There is no set time-frame for the creditor to take control.
As more information is available, a notice will be sent.
